Cadence announced on April 16, 2025 that it would acquire Arm’s Artisan foundation intellectual-property business, initially without disclosing a price. Cadence completed the transaction on August 26, 2025, and announced the completion the following day. Its FY2025 Form 10-K later reported aggregate purchase consideration of $128.5 million ( $128.491 million in the detailed allocation table).

The acquired portfolio consists of standard-cell libraries, memory compilers and general-purpose I/Os (GPIOs) optimized for advanced process nodes at leading foundries. Cadence said the assets and engineering team would expand its design-IP portfolio and presence in system-on-chip designs.

What Cadence bought

The transaction covers Arm’s Artisan foundation IP business. The assets are core physical-design building blocks used in chip implementation:

  • Standard-cell libraries for commonly used logic functions.
  • Memory compilers for generating embedded-memory instances suited to a target process.
  • General-purpose I/Os (GPIOs) for basic chip-level connections.

Cadence and Arm described these products as optimized for advanced process nodes at leading foundries. The cited announcements and filings do not specify current licensing terms, every supported foundry or process node, or a post-acquisition product roadmap.

Why Cadence said the deal mattered

Cadence presented the purchase as an entry into foundation IP and an expansion of its design-IP portfolio. Its existing and planned offerings included protocol and interface IP, memory-interface IP, SerDes IP and embedded-security IP; not every item in that broader list was acquired in the Artisan transaction.

Cadence said adding foundation IP would increase its footprint in SoC designs and support customers’ efforts to shorten time to market while optimizing cost, power and performance. Those are Cadence’s stated objectives, not independently measured results from the deal.

Arm said the sale was intended to keep the foundational physical IP needed to deploy Arm technology available to the wider ecosystem.

Announcement, closing and filing timeline

Date What happened
April 16, 2025 Cadence announced a definitive agreement to acquire the Artisan business. The arrangement was described as an asset purchase agreement, with a concurrent technology-license agreement to be signed at closing, subject to existing rights. Cadence expected the transaction to close in the third quarter of 2025, pending regulatory approvals and other customary conditions.
August 26, 2025 Cadence’s Form 10-K and Arm’s annual report identify this as the acquisition or sale date.
August 27, 2025 Cadence announced that the acquisition had been completed.
FY2025 filing Cadence disclosed aggregate purchase consideration of $128.5 million; its allocation table totals $128.491 million.

How much Cadence paid

Cadence did not disclose a purchase price in its April 16 announcement. The $128.5 million figure became public later, in Cadence’s FY2025 Form 10-K. The filing’s more precise allocation-table total is $128.491 million, which rounds to the reported $128.5 million.

That sequence matters: “undisclosed” accurately describes the price at announcement, while $128.5 million is the consideration Cadence subsequently reported after the transaction closed.

Why Arm’s $131 million figure is different

Arm’s annual report for the fiscal year ended March 31, 2026 records a $131 million pretax gain on the divestiture dated August 26, 2025. A seller’s accounting gain is not the buyer’s purchase consideration. It can reflect the carrying value of the assets and other accounting effects, so it should not be treated as evidence that Cadence paid $131 million.
