C.H. Robinson has agreed to acquire RXO in a reported $5.8 billion cash-and-stock transaction. Under the terms relayed in the October 5, 2026 announcement, RXO shareholders would receive $17.25 in cash plus 0.0856 C.H. Robinson shares for each RXO share. The reported $30.25 per-share value is an estimate based on a reference C.H. Robinson share price—not a guaranteed all-cash payment.

What C.H. Robinson is offering for each RXO share

The reported consideration combines a fixed cash amount with stock:

  • Cash: $17.25 for each RXO share.
  • Stock: 0.0856 shares of C.H. Robinson common stock for each RXO share.

The announcement described that package as worth $30.25 per RXO share, but that implied value uses a reference price for C.H. Robinson stock. The cash portion is fixed in the reported terms; the market value of the stock portion can move with C.H. Robinson’s share price. The $5.8 billion figure is the reported transaction value, not a promise to pay every RXO shareholder that amount in cash. Yahoo Finance, relaying the companies’ announcement via Business Wire, reported the consideration and valuation.

How the reported premium is measured

Investing.com reported that the offer represented a 27% premium to RXO’s 90-day volume-weighted average price and a 29% premium to RXO’s closing price on the preceding Friday. Those percentages compare the reported offer value with specific historical price benchmarks; they are not a forecast of RXO’s trading price or a separate cash payment. Investing.com’s October 5 report gives those comparisons.

Why RXO shares jumped

RXO shares rose more than 18.5% in pre-market trading on Monday, October 5, 2026, according to Investing.com. That is a pre-market observation, not the regular-session closing price. The reported acquisition offer and its premium to the stated benchmarks provide context for the move, but a pre-market change does not establish a settled market valuation.

What the companies say the combination would do

The announcement presents the businesses as complementary. It describes combining C.H. Robinson’s global forwarding and transportation network with RXO’s expedited and last-mile services, alongside their trucking brokerage and managed transportation operations. The stated aim is a larger network and a broader offering for customers. Those are management’s reasons for pursuing the deal, not evidence that operating benefits or cost savings have already been achieved. The announcement as relayed by Yahoo Finance outlines that rationale.

RXO describes itself as the third-largest North American freight broker, with 6% market share and a $750 billion total addressable market opportunity. These are RXO-provided company-profile figures, not independent estimates of the deal’s value or proof of future results. RXO Investor Relations provides the company’s overview.

Projected ownership and size of the combined company

The announcement says RXO shareholders would own about 11% of the combined company and that the combined company would have an enterprise value above $25 billion. These are projected transaction figures that depend on the deal closing; they do not describe a completed combination. Yahoo Finance’s report of the announcement attributes those estimates to the transaction announcement.

Has the acquisition closed, and when will it close?

The October 5 report describes an agreement, not a completed acquisition. The available reporting does not establish a closing date or specify the regulatory and shareholder approval conditions, financing details, or termination provisions. It is therefore not possible to say from these reported terms when the transaction will close. The SEC filing identified for RXO is its August 6, 2026 earnings filing, which predates the reported agreement and does not confirm the transaction terms.
