C.H. Robinson has agreed to acquire RXO in a cash-and-stock deal announced October 5, 2026. The companies put the transaction’s implied enterprise value at $5.8 billion; that is distinct from the approximately $5.3 billion implied equity value in C.H. Robinson’s presentation. The deal has not closed: the companies expect it to close in the first half of 2027, subject to approvals and other conditions.

What Dave Bozeman said about the RXO deal

Dave Bozeman, C.H. Robinson’s president and CEO, described the acquisition as “a natural next step in our transformation,” saying it would create “a more scaled, resilient North American third-party logistics provider” positioned to offer exceptional customer service and reshape the industry’s future. Those are management’s aims for the combined business, not results already achieved.

What the $5.8 billion figure means

The announcement describes the deal as having an implied transaction value of $5.8 billion on an enterprise-value basis. C.H. Robinson’s transaction presentation separately gives approximately $5.3 billion of implied equity value. Enterprise value and equity value are different measures and should not be treated as interchangeable.

The companies also said the combined company would have enterprise value above $25 billion. The merger agreement was entered into October 4, 2026, and the companies announced it the following day. Both boards unanimously approved the transaction.

How RXO shareholders may be paid

For each RXO share, holders may elect mixed, all-cash or all-stock consideration. The stated alternatives are subject to proration and adjustment provisions designed to deliver an aggregate mix of approximately 57% cash and 43% stock:

Election per RXO share Announced consideration
Mixed $17.25 cash plus 0.0856 C.H. Robinson common shares
All cash $30.25 cash
All stock 0.1992 C.H. Robinson common shares

Because elections are subject to proration and adjustment, an individual holder’s election does not guarantee that every share will receive exactly that form of consideration. RXO shareholders are expected to own about 11% of the combined company at closing; this is an announced expectation, not a final ownership result.

Why C.H. Robinson says it is buying RXO

The strategic case is to combine C.H. Robinson’s global, multimodal network with RXO’s North American brokerage, expedited and last-mile capabilities. RXO’s 2025 annual report describes its asset-light, technology-enabled platform as spanning truck brokerage, freight forwarding, customs brokerage, domestic services and last-mile transportation. The companies say a broader network could improve density, widen customer offerings across modes and geographies, and create opportunities for cross-selling and deeper customer penetration.

C.H. Robinson says it plans to integrate RXO primarily into its North American Surface Transportation division. The businesses also have overlapping brokerage operations, so combining them will require integration as well as coordination across complementary services. The companies’ stated strategic benefits remain prospective until demonstrated in operations.

Synergies and the execution test

C.H. Robinson forecasts approximately $300 million in net run-rate cost synergies within two years after closing, which it expects to pursue by applying its Lean AI operating model to RXO. This is a company target, not savings already realized or a guaranteed outcome. The transaction presentation also projects adjusted earnings-per-share accretion and a year-end 2028 leverage target; those, too, are forward-looking company estimates.

The execution questions are whether the companies can integrate overlapping operations, preserve customer service, deliver the forecast savings and manage the financing burden. C.H. Robinson says it will fund the cash portion with new debt and has a fully underwritten bridge-facility commitment from Morgan Stanley Senior Funding, Inc.

When the acquisition could close

The companies expect closing in the first half of 2027. Completion remains subject to regulatory approval, RXO stockholder approval and customary closing conditions. MFN Partners, LP, which held approximately 17% of RXO, agreed to vote its shares in favor, subject to stated exceptions. Until the conditions are met and the deal closes, RXO and C.H. Robinson remain separate companies.
