Butterfield’s 2026 Outlook: Fee Income, the CIBC Caribbean Deal and What “Double in Size” Means

Butterfield’s proposed acquisition of CIBC Caribbean could substantially expand the bank and its fee-income base, but it had not closed as of the latest reported update: Butterfield said on July 27, 2026, that it expected completion in the first half of 2027, subject to approvals and other conditions. Its latest quarter showed higher non-interest income year over year, while the deal’s longer-term fee-growth and scale claims remain management projections—not established outcomes.

What Butterfield reported in Q2 2026

In results released July 27, 2026, for the quarter ended June 30, Butterfield reported net income of $46.9 million, down from $62.6 million in Q1 2026 and $53.3 million in Q2 2025. Core net income, a non-GAAP measure that excludes items management considers non-core, was $63.9 million, compared with $63.2 million in Q1 and $53.7 million a year earlier. The core figure should not be read as a replacement for reported net income.

Butterfield recorded $16.9 million in non-core deal-related expenses in Q2, primarily tied to the CIBC Caribbean transaction and, to a lesser extent, integration costs for Rawlinson & Hunter (R&H) Guernsey. The difference between reported and core earnings is therefore material when assessing the quarter.

Measure Q2 2026 Q1 2026 Q2 2025
Reported net income $46.9 million $62.6 million $53.3 million
Core net income, non-GAAP $63.9 million $63.2 million $53.7 million
Net interest margin 2.74% 2.75% 2.64%
Non-interest income $63.4 million $62.6 million $57.0 million

Net interest margin edged down one basis point from Q1 but was higher than a year earlier; the reported cost of deposits was 1.25%. Non-interest income increased both sequentially and year over year. Butterfield attributed the sequential increase mainly to initial R&H Guernsey trust revenue, partly offset by lower foreign-exchange revenue and banking fees. Compared with Q2 2025, the increase reflected higher trust, foreign-exchange, banking, asset-management and custody fees.

  • 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.

R&H Guernsey is a separate, completed acquisition: it closed on April 15, 2026, and contributed initial trust revenue in Q2. CIBC Caribbean, by contrast, remained a pending bank acquisition.

Is Butterfield’s fee income growing?

The Q2 results show growth in non-interest income, which includes fee-related sources, but do not by themselves establish a reliable, sustained rate of fee-income growth. The quarter’s sequential increase was partly due to newly acquired trust business, while some existing revenue lines—foreign exchange and banking fees—were lower than in Q1.

Butterfield’s May 28, 2026 acquisition presentation provides a broader, but illustrative, comparison of fee income for fiscal 2025. The entities have different fiscal year ends: Butterfield’s year ended December 31, while CIBC Caribbean’s ended October 31. The issuer says these pro forma figures exclude purchase accounting and are not prepared under SEC Regulation S-X Article 11.

FY2025 comparison in Butterfield’s May 2026 presentation Fee income Fee income as share of revenue
Butterfield standalone $243 million 40%
CIBC Caribbean $225 million Not stated for the standalone entity in the presentation’s cited comparison
Illustrative combined business $468 million 34%

Butterfield also described a long-term target of approximately 50% for fee income’s share of revenue. That is a target, not a forecasted result or a demonstrated trend. The presentation identifies potential opportunities to cross-sell wealth products to CIBC Caribbean clients and introduce products in new markets, but it excludes potential revenue synergies from its financial modelling. A larger combined fee base is plausible; reliable growth will depend on execution and results over time.

What “double in size” means—and what it does not

Butterfield Chairman and CEO Michael Collins said in the Q2 results release that the acquisition was an opportunity “that we expect will double our size.” The wording matters: the transaction was proposed, and the scale figures below are issuer estimates, not combined-company results.

Scale measure Butterfield standalone Illustrative combined
2025 deposits $12.7 billion $24.5 billion
2025 revenue $607 million $1.38 billion
Total assets Not stated in the cited comparison Approximately $29 billion
Pro forma run-rate earnings Not stated in the cited comparison More than $400 million

The presentation estimates that about 70% of pro forma earnings would come from existing Butterfield markets, with the remainder primarily from the Bahamas, Turks and Caicos Islands, and Barbados. The comparisons combine entities with different fiscal year ends, so they illustrate possible scale rather than a common-period audited result.

Purchase price, funding and projected savings

Butterfield’s May 2026 presentation sets out a total purchase price of $1.794 billion, or $1.14 per CIBC Caribbean share. The proposed consideration is a mix of cash and Butterfield shares:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Cash: $1.091 billion, or 61% of the stated consideration.
  • Butterfield shares: $703 million, or 39%. Issuing shares means existing shareholders would be diluted, although the presentation does not quantify that effect here.
  • Planned debt financing: Butterfield said it had obtained commitments for $700 million of Tier 2 subordinated debt and intended to issue it in connection with the transaction.

The same presentation forecasts approximately $49 million in annual pre-tax cost savings, equivalent to 10% of CIBC Caribbean’s estimated 2027 non-interest expenses. It assumes the savings phase in at 25%, 50%, 75% and 100% across 2027–2030. It also estimates $175 million in one-time pre-tax expenses. These are assumptions, not savings or costs already realized.

What Butterfield forecasts for earnings

Butterfield’s transaction presentation projects 2028 accretion of 11.6% to GAAP earnings per share and 15.3% to cash earnings per share, for what it describes as the first full year of combined operations under its assumptions. It also estimates more than $400 million in pro forma run-rate earnings. These figures depend on the transaction closing and on the assumptions used for financing, integration, purchase accounting, credit and fair-value marks, cost savings and operations.

The company cautions that its combined forecasts are illustrative and may differ materially from eventual financial position or results. It also says some forecast non-GAAP measures cannot be reconciled to GAAP without unreasonable effort because future purchase-accounting, integration and other items cannot be estimated reliably in advance. The projected cash EPS figure should therefore be considered alongside, not instead of, the GAAP EPS projection.

When could the deal close, and what could change the outlook?

Butterfield’s July 27, 2026 Q2 release said it expected the CIBC Caribbean acquisition to close in the first half of 2027 and that initial regulatory filings had been completed across relevant jurisdictions. Its May 28 presentation says closing is subject to required regulatory approvals, Butterfield shareholder approval and customary closing conditions. The cited update does not establish that the deal has since closed.

The company’s filings and transaction materials identify risks that could alter the timetable or economics, including:

  • Regulatory approvals could be delayed, conditioned or denied, or shareholder and other closing conditions might not be met.
  • The transaction might not close on the expected terms or schedule; financing might not be available as anticipated.
  • Integration could take longer or cost more than planned, disrupt operations, or lead to customer or employee losses and reputational effects.
  • Share issuance could dilute existing shareholders, while revenues, cost savings or projected earnings accretion could fall short of assumptions.
  • Purchase-accounting estimates, credit and fair-value marks, and synergy assumptions could prove inaccurate.

Those risks make the distinction between current results and forecast benefits central to the outlook: Q2 earnings and income are reported figures, while the combined scale, savings and EPS effects depend on a deal that remained conditional in the latest cited update.
