Bonus Shares vs. Stock Splits: How They Differ for Investors

Short answer: A stock split subdivides each existing share into more shares and reduces the face value and per-share amounts proportionately. A bonus issue gives qualifying shareholders additional shares in a declared ratio while keeping the face value unchanged in the SEBI comparison. In either case, a bigger share count alone does not make the holding more valuable.

The mechanical difference

A stock split changes the denomination of shares you already own. If a company announces a two-for-one split, each old share becomes two new shares. The total number of shares rises, while the face value and the market price per share are adjusted in proportion to the split ratio.

A bonus issue creates and allots additional shares to shareholders who meet the issuer’s eligibility conditions. A ratio such as 2:1 generally means two bonus shares for every one share held on the relevant record date. You therefore finish with three shares for each original share, not two. In the Securities and Exchange Board of India (SEBI) investor-education comparison, the face value stays the same and reserves are transferred into share capital.

Both actions can make the number in your brokerage or demat account look larger. Neither action, considered by itself, promises a gain in the market value of your investment. The company notice, exchange rules and applicable market determine the exact entitlement, effective dates and when the new or adjusted shares can trade.

Stock split and bonus issue compared

Investor question Stock split Bonus issue
What changes? Existing shares are subdivided into a larger number of shares. Additional shares are allotted to eligible holders in the declared ratio.
Face value Reduced proportionately to the split ratio in SEBI’s comparison. Remains unchanged in SEBI’s comparison.
Reserves and share capital SEBI’s comparison states there is no impact. Reserves reduce and the corresponding amount moves into share capital in SEBI’s comparison.
Market price per share Illustrative split examples from Investor.gov and the U.S. Securities and Exchange Commission (SEC) show a proportional adjustment. No universal market-price outcome is established by the cited sources.
Dividend per share The SEC and Investor.gov examples show a proportional adjustment; this is an illustration, not a promise about a company’s future dividend policy. No guaranteed dividend-per-share result is established.
Investor value immediately after the action A split does not by itself change shareholders’ equity or the value of the holding in the official examples. Receiving more shares does not, by itself, establish greater wealth.
Eligibility and trading date Follow the issuer’s corporate-action notice and exchange rules. Follow the issuer’s notice and local rules; India’s September 16, 2024 SEBI circular provides a specific T+2 process for qualifying bonus shares, with T as the record date.

The accounting column for bonus issues reflects SEBI’s India-specific investor-education presentation dated February 2025. Other jurisdictions can describe or process corporate actions differently, so do not treat that accounting description as a worldwide rule.

How a stock split works

The share-count calculation

For a split, multiply your pre-split share count by the split factor. In a two-for-one split, 100 shares become 200. In SEBI’s illustrative 1:10 example, each existing share becomes ten shares, so 50 old shares become 500 new shares.

The phrase “two-for-one” describes the result: one old share is replaced by two. It is not the same convention as a 2:1 bonus issue, which means two additional shares for every one already held.

Face value and quoted price

In the SEBI comparison, the face value is reduced in the same proportion as the split. A share with a face value of 100 split 1:10 would have a face value of 10 after the action. Face value is a legal and accounting denomination; it is not the same as the price at which the share trades.

Investor.gov’s two-for-one illustration starts with 100 shares priced at $100 each. After the split, the investor has 200 shares priced at $50 each, for the same illustrative holding value of $10,000. The SEC gives the same style of example and explains that a split does not dilute existing ownership interests.

What the split does not do

A split does not create cash, improve the company’s assets or automatically increase your percentage ownership. It changes the units in which the ownership is represented. The quoted market price can move after the announcement or once trading resumes because investors reassess the company, but that movement is a market response, not value created mechanically by the split.

How a bonus issue works

Entitlement in a declared ratio

A bonus issue allots new shares according to the ratio approved by the issuer. SEBI’s February 2025 presentation illustrates a 2:1 bonus issue: a holder of one share receives two bonus shares and ends with three shares. A holder of 100 shares would therefore receive 200 additional shares and hold 300 after the allotment, assuming the holder is eligible under the notice.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Eligibility is tied to the issuer’s stated record date and other conditions. You cannot assume that buying on any nearby date will produce an entitlement. The official notice is the controlling document for the relevant market.

Face value and reserves in the SEBI framework

Unlike the split example, the SEBI comparison keeps the face value unchanged in a bonus issue. The presentation describes reserves being reduced and the amount being transferred into share capital. This is a balance-sheet reclassification accompanying the allotment; it is not a cash payment to shareholders.

Because the cited accounting explanation is an Indian investor-education framework, apply it cautiously outside India. Local company law, listing rules and accounting presentation can vary.

Why a bonus issue is not automatically a profit

The extra shares may represent a larger count in your account, but the market determines the value at which all of those shares trade. The sources do not establish a guaranteed price adjustment or a guaranteed increase in total wealth for every bonus issue. Treat the allotment and the subsequent market price as separate facts.

Why more shares do not automatically mean more money

The easiest way to test either action is to calculate total value as share count multiplied by market price. If a split doubles the number of shares while the price per share halves, the arithmetic total is unchanged at the moment of adjustment. Investor.gov and the SEC use the 100-shares-at-$100 example to demonstrate this point.

A bonus issue can also increase the share count without increasing the investor’s economic value at the instant of allotment. The precise market response depends on trading, expectations, liquidity and company-specific information. None of those outcomes can be guaranteed from the ratio alone.

Do not confuse a lower quoted price with a cheaper business. A split can make the displayed price per share lower while leaving the company’s overall market value and your proportional interest mechanically unchanged. Likewise, a bonus issue can make the account show more units without providing spendable cash.

Ratio notation: the mistake that causes most confusion

Corporate-action ratios use different conventions, so always translate the announcement into a resulting share count.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • 2-for-1 split: each one existing share becomes two shares in total. Holding 100 becomes 200.
  • 1:10 split in SEBI’s illustration: each one existing share becomes ten shares in total. Holding 100 becomes 1,000.
  • 2:1 bonus: two new shares are issued for every one held. Holding 100 produces 200 new shares and 300 total shares.

If a notice uses unfamiliar wording, look for the accompanying entitlement table or ask the exchange, registrar or broker how the ratio is defined. Do not infer the result solely from punctuation; the words “new shares for every share held” remove the ambiguity.

Dates, eligibility and when you can trade

Read the issuer’s corporate-action notice

The notice should identify the board or shareholder approval, the record date, the ratio, the face-value treatment where applicable, and the date on which the adjusted or bonus securities are credited or admitted for trading. It may also specify a temporary adjustment to the quoted price or trading symbol.

  1. Find the notice on the issuer’s investor-relations page, the exchange announcement system or your broker’s corporate-actions section.
  2. Record the stated record date and any ex-date, adjustment date, allotment date and trading-availability date.
  3. Check whether the notice requires the shares to be held in a particular account or settled by a stated cut-off.
  4. After the event, compare the credited quantity and the transaction history with the notice, rather than relying only on the portfolio’s headline value.
  5. If the quantity or tradability is missing after the stated processing window, contact the broker or registrar and quote the corporate-action reference in the notice.

Why there is no universal timeline

Settlement cycles, exchange procedures and issuer processing differ by market and event. Investor.gov’s investor-education material advises checking the relevant issuer and exchange information for entitlement and dates. A timeline that applies to one country cannot safely be applied to another.

India’s T+2 bonus-share rule

SEBI’s circular dated September 16, 2024, titled “Enabling T+2 trading of Bonus shares where T is the record date,” sets out an India-specific process intended to enable trading two business days after the record date for qualifying bonus shares. The circular does not establish a global standard, and it does not remove the need to read the individual issuer’s notice.

What changes in your portfolio and records

Quantity and average-cost display

Your broker may recalculate the displayed average price or cost basis after a split or bonus allotment. The screen label and method can differ between platforms. Save the original contract notes, account statements and the corporate-action notice so you can reconcile the old position with the new quantity.

Market-value display

During processing, a portfolio can briefly show an apparently wrong value, a zero price, a temporary placeholder or separate lines for old and new securities. Those display states are operational issues, not evidence of an investment gain or loss. Use the issuer’s stated effective date and your broker’s completed transaction record when checking the result.

Dividends and other per-share figures

In the SEC and Investor.gov split illustrations, dividend per share adjusts proportionately because the number of shares has changed. That example does not guarantee how a company will set future dividends. A board can change its dividend policy independently. For a bonus issue, the cited sources do not establish a universal dividend outcome, so consult the issuer’s dividend announcement rather than extrapolating from the bonus ratio.

Tax and reporting: what you can and cannot assume

Tax treatment is jurisdiction-specific and is not established by the sources cited here. A split, bonus allotment, sale, dividend or withholding event can each receive different treatment under local law. Rules can also depend on acquisition dates, holding periods, cost-basis allocation and whether the securities are held in a taxable account.

Do not use the illustrative ratios in this article as tax calculations. Keep the corporate-action notice, pre-event statement, post-event statement and any broker-provided cost-basis adjustment. For a filing decision, use your tax authority’s current guidance or obtain advice from a qualified professional in the jurisdiction where you are liable.

Common investor mistakes and their fixes

Mistake: treating a ratio as a return percentage

A 2:1 bonus does not mean a 200% investment return. It describes the number of additional shares issued. A two-for-one split does not double wealth; it doubles the units while reducing the per-share denomination in the illustrative mechanics.

Mistake: assuming the record date is the trading date

The record date determines which holders are considered for the action, but allotment, credit and trading can occur on later dates. Read every date in the notice and do not trade on an assumed timetable.

Mistake: using face value as the market price

Face value is the denomination used in the company’s capital structure. The exchange quotation is the market price. A change in face value during a split does not tell you what investors will pay.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: assuming the same rules apply everywhere

SEBI’s reserve and face-value explanation and its T+2 circular are India-specific materials. Other markets can have different terminology, settlement and tax rules. Identify the market and issuer before applying any example.

Mistake: judging the event from share count alone

Check total position value, the quoted price, the completed quantity credit and the issuer’s notice together. A larger number in one column is not a standalone performance measure.

A practical decision framework for investors

When a company announces either action, work through these questions in order:

  1. Which action is it? Determine whether the notice describes a subdivision of existing shares or an allotment of additional shares.
  2. What does the ratio produce? Rewrite the ratio as “old shares,” “new shares” and “total shares” using your actual holding.
  3. What happens to face value? Expect a proportional reduction for a split under the SEBI comparison; expect no change for a bonus issue under that comparison.
  4. What dates control eligibility and trading? Copy them from the notice and confirm any exchange-specific processing date.
  5. What will your records need? Preserve statements and cost-basis information before and after the event.
  6. What remains uncertain? Separate the mechanical action from future market price, dividend policy and tax treatment, none of which is guaranteed by the share ratio.

Bottom line for investors

A stock split changes the units of existing ownership: more shares, lower face value and proportionally adjusted per-share figures in the cited examples. A bonus issue adds shares to qualifying holders in a stated ratio while keeping face value unchanged in SEBI’s comparison and moving reserves into share capital. Neither action, by itself, creates investment value. To know what you actually receive and when you can trade it, follow the issuer’s corporate-action notice and the rules of the market where the security is listed.
