A bond ETF trades at a premium when its exchange price is above its net asset value (NAV), and at a discount when its price is below NAV. The gap describes two different measurements at a particular time; on its own, it does not say whether the fund is cheap, overpriced, or a good investment. Bond prices can be infrequently updated, so a reported gap may reflect both current trading and a mismatch in the timing of the prices used to calculate NAV. To judge one, compare the fund’s own history, trading spread, holdings, and risks—not just whether the number is positive or negative.
What does a bond ETF premium or discount mean?
An ETF’s market price is the price at which its shares trade on an exchange. Its net asset value per share, or NAV, is the value of the fund’s assets minus its liabilities, divided by its shares, calculated at a stated valuation point. The market price can change during the trading day; NAV is commonly calculated once daily. Because these are different measures taken on different schedules, they need not match exactly.

If the market price is above NAV, the ETF is at a premium. If it is below NAV, the ETF is at a discount. The SEC’s Investor.gov bulletin, Updated Investor Bulletin: Exchange-Traded Funds (ETFs), describes the terms in this way: “Shares that sell at a price higher than the NAV per share are said to be sold at a premium, and shares that sell at a price lower than the NAV per share are said to be sold at a discount.” The percentage expresses the difference relative to NAV:

For example, if an ETF’s market price were $99 and its NAV were $100 at the relevant valuation point, the calculation would be ($99 − $100) ÷ $100 × 100, or a 1% discount. If the market price were $101 against the same NAV, it would be a 1% premium. These figures are an arithmetic illustration, not a current quote or a recommended threshold.
This terminology concerns the ETF share price relative to the value assigned to the fund’s assets. It does not mean that the bonds in the portfolio are themselves trading above or below their face value, also called par. A fund can hold bonds trading above par and still have ETF shares at a discount to NAV, or vice versa.
Why can a bond ETF trade away from NAV?
The ETF and its bonds trade on different clocks
ETF shares can trade continuously during exchange hours. Many bonds do not trade as often, and there may be no fresh transaction price for every holding at the moment an ETF share changes hands. To calculate NAV, a fund may use evaluated prices or the latest available bond prices. Those inputs can be older than the ETF’s live market price.

As a result, the market price can incorporate current buying and selling interest, while NAV may reflect prices that have not yet moved to the same information. A reported premium or discount can therefore combine genuine repricing of the portfolio with a timing difference between live ETF trading and the prices available for the underlying bonds. A displayed gap is not automatically evidence that the ETF is mispriced or that its trading mechanism has failed.
The ETF price can reflect current information
When the underlying bond market is quiet or individual bonds are difficult to trade, the ETF share price may be one of the more current indications of what investors will pay for exposure to that portfolio. A difference from NAV can thus be useful price discovery, not simply an error to be corrected. Conversely, a gap can reflect changing supply and demand for the ETF itself. The observed percentage alone does not identify which factor is responsible.
Creation, redemption, and arbitrage can help—but do not promise instant convergence
ETF market participants can create or redeem shares in exchange for a basket of securities or cash, subject to the fund’s process. When ETF shares and the relevant basket diverge, market participants may have an incentive to trade in ways that narrow the difference. This mechanism can help keep market prices connected to portfolio value.

It is not a guarantee that every premium or discount will disappear immediately. Trading bonds can be costly or difficult, and the prices of less frequently traded holdings can be uncertain. In stressed or illiquid conditions, those obstacles may make it harder to trade the underlying basket or establish a clear value. SEC-filed commentary on ETF pricing notes that timing differences and small discrepancies can occur without necessarily indicating a departure from fair value. Vanguard likewise advises investors to consider the consistency of an ETF’s premium or discount rather than treating the mere existence of a gap as decisive.

How to check a bond ETF’s premium or discount
- Open the fund issuer’s page for the exact ETF. Confirm the fund name and share class, if applicable, so you are not looking at a similarly named product. The SEC says ETF websites provide prior-day NAV, closing market price, premium or discount, portfolio holdings, median bid-ask spread, and historical premium-and-discount information.
- Compare dates and valuation points. Put the reported market price beside the NAV for the same stated business day. Many issuer pages show values as of the prior business day, not a live NAV. A quote on your brokerage screen during today’s session should not be compared as if it were necessarily measured at the same time as yesterday’s NAV.
- Read the historical series. Check how the ETF’s premium or discount has behaved over time and whether the current reading is unusual for that fund. A single day does not establish that a gap is persistent, significant, or likely to continue.
- Check the live bid, ask, and spread. The bid is the highest displayed price a buyer is offering; the ask is the lowest displayed price a seller is asking. The difference is the bid-ask spread. The issuer’s reported median spread is a historical trading-cost indicator, not the same thing as the current spread or the NAV gap.
- Review the portfolio and fund documents. Look at holdings, investment objective, risks, expenses, prospectus, and shareholder report. The SEC’s investor materials point readers to issuer and SEC websites for these documents and advise considering whether a fund fits their objectives and risk profile.
- For a trade, use current market information. Review live quotes and consider whether an order with a specified limit price fits your plan. A limit order can control the highest price you are willing to pay when buying, or the lowest you will accept when selling, but there is no guarantee it will execute.
How should you interpret the number?
Look for a pattern, not a verdict in one reading
Ask whether the gap is consistent with the ETF’s own historical range or unusually large for it, and whether the issuer offers an explanation. A recurring pattern and a one-session observation are different evidence. Still, history is context rather than a promise: a past premium or discount does not determine where the ETF will trade next or predict its return.
There is no universal premium-or-discount percentage that tells every investor when to buy, sell, or wait. The same number may have different significance across funds with different portfolios, underlying bond liquidity, trading conditions, and historical behavior. Neither a discount nor a premium on its own establishes a valuation opportunity.

Separate NAV deviation from trading cost
A small NAV gap does not guarantee an inexpensive transaction. If the bid and ask are far apart, an investor buying at the ask or selling at the bid may incur a meaningful cost relative to the displayed midpoint. The premium-or-discount figure and the bid-ask spread answer separate questions: the first compares a market price with NAV; the second measures the difference between current displayed buying and selling prices.
Also consider when and how you trade. Quotes can change, and the displayed spread may not show the price available for the quantity you want. A limit price can prevent an execution beyond your chosen price, but the trade may remain unfilled if the market does not reach it. The NAV figure, especially if reported for the prior business day, is not a guaranteed price at which you can buy or sell ETF shares.
Put the gap beside the fund’s investment risks
Before comparing two bond ETFs, examine what they own and how those holdings behave. Useful dimensions include bond type and credit quality, duration and interest-rate exposure, expense and other costs, holdings transparency, historical premiums and discounts, ETF-share liquidity, and liquidity in the underlying bonds. A fund’s objective and risks matter to whether it suits your circumstances; a snapshot of its market price relative to NAV cannot answer that question.

What does the SEC’s 2%-for-seven-days disclosure condition mean?
U.S. Securities and Exchange Commission Division of Investment Management staff guidance issued in 2025 discusses a disclosure condition for an ETF with a premium or discount greater than 2% for seven consecutive trading days. In that circumstance, the ETF must disclose the condition and discuss factors it reasonably believes materially contributed to it. SEC staff guidance also says an ETF must post its current NAV, market price, and premium or discount, each as of the end of the prior business day.
The greater-than-2%-for-seven-consecutive-trading-days condition is a regulatory disclosure trigger, not a universal investor buy-or-sell threshold. It does not establish that smaller deviations are harmless, that crossing the threshold makes a fund unsuitable, or that a particular investor should act. Treat it as a disclosure requirement that can prompt further investigation, not as an investment rule.
A practical decision checklist
- Verify the comparison: confirm that the market price and NAV refer to the same fund and business day, and note whether either value is delayed.
- Use the fund’s own record: compare the observed premium or discount with its historical pattern rather than applying a universal cutoff.
- Assess execution separately: inspect the current bid and ask and the issuer’s median spread; decide whether a limit price is appropriate for your trade.
- Understand the portfolio: review holdings, objective, duration, credit quality, risks, expenses, prospectus, and shareholder report.
- Consider market conditions: infrequent bond trading or uncertainty in evaluated prices can make NAV and ETF prices diverge temporarily.
- Make the decision in context: a premium or discount is one data point, not a standalone instruction or return forecast.
This is general U.S. investor education, not personalized investment advice. A decision about a particular bond ETF also depends on the investor’s objectives, time horizon, risk tolerance, and the fund’s full characteristics.
