Boeing’s Board Committees Explained: Safety, Audit and Compensation Roles

Boeing’s three relevant standing committees divide oversight by the type of risk involved: the Aerospace Safety Committee monitors product and operational safety, the Audit Committee checks financial reporting and enterprise controls, and the Compensation Committee sets executive pay. They are separate mandates, but safety and compensation overlap when safety results are used in incentive decisions.

What the three committees are responsible for

Boeing’s board uses committees to examine specialized risks in greater detail than the full board can during regular meetings. The committees do not replace management, regulators, engineers, auditors or operating leaders. Instead, they review information, challenge decisions, approve or recommend actions within their charters, and report their work to the full board.

Committee Primary subject Main control mechanism Accountability inputs
Aerospace Safety Committee Safety of aerospace products and services Operational oversight, safety review and escalation Safety and engineering leaders, regulatory information, safety events and employee reports
Audit Committee Financial integrity, controls and broad risk oversight Assurance, independent-auditor oversight and control review Independent auditors, finance and control officers, compliance and risk functions
Compensation Committee Executive and equity compensation Pay-setting, performance assessment and clawbacks Executive performance, incentive metrics, shareholder say-on-pay processes and risk considerations

The most important connection is between the Aerospace Safety and Compensation committees. They jointly identify safety measures and consider safety performance when annual incentive outcomes are determined. That link is intended to make safety part of executive accountability rather than a subject reviewed only after an incident.

What Boeing’s Aerospace Safety Committee does

Boeing describes the Aerospace Safety Committee as assisting the board in overseeing “the safe design, development, certification, production, maintenance and operations of our aerospace products and services.” The scope covers the full product life cycle, not just factory quality checks or in-service events.

Design, certification and production oversight

The committee reviews whether management has systems for identifying and controlling safety risks as an aircraft or aerospace product moves from design through certification and production. Its remit includes the certification basis, production processes, maintenance arrangements and operational feedback. This is board-level oversight: the committee does not issue an airworthiness certificate or approve an engineering drawing, but it examines whether management’s processes and responses are adequate and whether significant concerns reach directors.

Regulatory and certification information

Recurring materials include FAA airworthiness directives, FAA type certificates and production certificates, and significant communications from the FAA. These documents give directors an external view of regulatory findings, required corrective actions and the status of approvals. Reviewing them alongside internal reports helps the committee test whether Boeing’s description of a risk is consistent with the regulator’s view.

Safety events and the Safety Management System

Safety events are a standing area of attention. The committee reviews material incidents and management’s corrective actions, looking for systemic lessons rather than treating each event as an isolated occurrence. It also reviews Boeing’s Safety Management System, the framework used to identify hazards, assess risk, assign controls and monitor whether controls work. A board committee can ask whether the system is producing timely escalation, reliable data and documented follow-through.

Speak Up submissions and employee escalation

The committee reviews Speak Up submissions, giving directors visibility into concerns raised through Boeing’s reporting channels. Such submissions can reveal production pressure, quality problems, retaliation concerns or weaknesses in escalation. Reviewing trends and material cases is different from investigating every report personally; management and designated compliance or investigation teams handle case work, while the committee evaluates whether the reporting and response system is credible.

ODA Ombudsperson program

The Aerospace Safety Committee also reviews the Boeing Organization Designation Authorization (ODA) Ombudsperson program. ODA arrangements allow an authorized organization to perform specified certification functions on behalf of the FAA. An ombudsperson channel is therefore relevant to whether technical employees can raise certification concerns independently and whether those concerns receive appropriate attention.

Safety and Quality Plan response

Boeing’s 2025 proxy reported that the committee oversaw management’s response to the January 2024 737-9 door-plug accident and updates to the Safety & Quality Plan. That historical example illustrates the committee’s role: reviewing management’s response, the resulting improvement plan and the governance needed to monitor implementation. It does not mean the committee itself conducted the accident investigation or substituted for the FAA and other investigative authorities.

What the Audit Committee oversees

Boeing states that the Audit Committee serves as the board’s representative for general oversight of financial accounting and reporting, systems of internal control, the audit process and compliance standards. Its central question is whether investors and the board can rely on Boeing’s financial information and control environment.

Financial reporting and internal control

The committee reviews significant accounting matters, financial reporting judgments and internal control over financial reporting. Controls include procedures designed to authorize transactions, protect assets, reconcile records, detect errors and support accurate filings. The committee does not prepare Boeing’s accounts; management does. Directors oversee whether management has designed and maintained an effective control system and whether identified deficiencies are addressed.

Independent registered public accounting firm

The Audit Committee directly appoints, compensates, retains and oversees Boeing’s independent registered public accounting firm. That authority is designed to preserve auditor independence from management. The committee reviews the audit plan, significant findings, relationships that could affect independence and the auditor’s assessment of internal controls. It can question the auditor without management present and determine whether concerns require escalation to the full board.

Enterprise risk, cybersecurity and artificial intelligence

The committee’s risk remit extends beyond traditional accounting. Boeing identifies enterprise risk, cybersecurity and artificial-intelligence matters among the areas it reviews. These risks can affect financial reporting, operations, intellectual property, regulatory compliance and business continuity. The committee’s involvement does not make it the sole owner of technology risk; rather, it gives the board a designated forum for assurance, controls and cross-enterprise risk questions.

Legal, ethics and compliance

Legal, ethics and compliance matters also fall within the Audit Committee’s oversight. This includes reviewing whether policies, reporting channels and investigations support compliance with applicable requirements. The committee can examine patterns in hotline activity, regulatory inquiries, litigation exposure and remediation. Its perspective complements the Aerospace Safety Committee’s focus on product and operational safety: an issue may require both safety analysis and compliance or control analysis.

What “oversight” does not mean

Audit Committee oversight is not a guarantee that no accounting error, cyber incident or compliance breach will occur. It is a governance process for obtaining information, testing management’s assertions and ensuring independent assurance. The committee relies on management, internal audit, the external auditor and specialist functions, while retaining authority to challenge or escalate their work.

What the Compensation Committee controls

The Compensation Committee establishes, reviews and approves executive and equity compensation. It determines how pay is structured, how performance is evaluated and how awards respond to results. The committee’s decisions cover annual incentives as well as longer-term stock-based components, aligning part of executive compensation with company performance over multiple periods.

Annual incentives and individual performance

Annual incentive decisions combine company performance measures with assessments of individual executive performance. The committee reviews whether executives met operational, financial, safety or other approved objectives and can use judgment when determining payouts. This allows directors to account for significant circumstances that a formula may not capture, while requiring a documented rationale for departures from calculated results.

Long-term and equity awards

Long-term stock-based compensation is intended to connect executive rewards with Boeing’s longer-term value and strategic performance. Because equity can encourage a focus on future results, the committee considers vesting conditions, performance periods and the risk that incentives could encourage excessive short-term behavior. The structure is reviewed alongside the company’s risk profile rather than treated as a separate compensation exercise.

Safety metrics and risk controls

The Compensation Committee consults the Aerospace Safety Committee on safety metrics and executive performance evaluations. Safety performance can therefore affect annual incentive decisions, making the safety committee’s information relevant to pay outcomes. The compensation framework also uses clawback and other controls intended to discourage undue risk-taking. A clawback can require repayment or forfeiture of compensation in circumstances defined by the applicable policy, such as a qualifying financial restatement or misconduct; the exact trigger depends on the governing plan and policy.

CEO pay mix in the 2026 proxy

Boeing’s 2026 proxy, filed in 2026 and describing 2025 compensation, reported that approximately 93% of the CEO’s 2025 target pay was variable. “Target pay” is the value assigned when an award is granted or set, not necessarily the amount ultimately realized. “Variable” means the value depends on performance, stock value or both. The figure therefore shows the intended pay mix, not a guarantee that 93% was earned or paid in cash.

How safety information can affect executive pay

  1. Safety measures are identified. The Aerospace Safety and Compensation committees work together to determine which safety indicators should inform executive evaluation.
  2. Management reports results. Safety and engineering leaders provide information on events, trends, corrective actions and system performance, alongside relevant regulatory and employee-reporting data.
  3. The Aerospace Safety Committee reviews context. Directors assess whether the measures accurately reflect safety performance and whether serious issues were escalated and addressed.
  4. The Compensation Committee evaluates performance. It considers safety results with other company and individual objectives when setting annual incentive outcomes.
  5. Risk controls are applied. Clawback provisions and other safeguards can limit or reverse awards when conduct or results meet the applicable policy thresholds.

This process is not a promise that every incident automatically produces a fixed pay reduction. Metrics, committee judgment, award terms and the facts of a particular event determine the outcome. The governance purpose is to prevent financial or production goals from being evaluated without considering safety performance and risk-taking.

Where the committees overlap—and where they do not

Question Aerospace Safety Audit Compensation
Is the product or operation safe? Primary responsibility for board oversight May review related controls or disclosures Uses relevant safety results in pay decisions
Are financial statements and controls reliable? Not its core mandate Primary responsibility, including external auditor oversight May consider financial performance measures in awards
How should executives be rewarded? Provides safety input May review compensation-related controls or risk matters Primary responsibility for executive and equity compensation
Who handles regulatory, ethics and compliance risk? Reviews aerospace-safety regulatory matters Broad oversight of compliance, legal, ethics and enterprise risk Applies compensation consequences and risk controls where relevant

The committees are distinct because their expertise and evidence differ. A safety event may involve engineering and certification questions, while an accounting issue may involve controls and auditor judgment. When the event affects executive performance or incentive risk, the relevant information crosses committee boundaries.

How to read Boeing’s proxy disclosures

Use the latest filing for current membership and activities

Committee membership, chairs, meeting counts and assigned responsibilities can change. Boeing’s 2026 proxy is the current source identified for 2025 activities, while the 2025 proxy provides 2024 historical context. The 2026 proxy reports the 2025 CEO target-pay mix; it should not be treated as a standing percentage for every year.

Separate a charter from an activity report

A committee charter describes the authority and recurring duties the board has assigned. A proxy’s committee report describes matters reviewed during a particular year. The charter may list a broad remit even when a specific issue is not discussed publicly in that year’s report.

Interpret “oversight” precisely

Board oversight means receiving information, questioning management, monitoring remediation and escalating significant matters. It does not mean directors perform engineering certification, operate factories, prepare financial statements or conduct every investigation. Regulators, management and independent assurance providers retain their defined responsibilities.

What these committees mean for stakeholders

  • Employees: Speak Up submissions and the ODA Ombudsperson program create channels for concerns to reach governance processes, although individual cases remain subject to company procedures and applicable law.
  • Customers and operators: The Aerospace Safety Committee’s life-cycle remit covers design, certification, production, maintenance and operation, so oversight extends beyond the moment an aircraft leaves the factory.
  • Investors: The Audit Committee’s authority over the independent auditor and internal controls provides a defined place to examine reporting reliability, while the Compensation Committee discloses how performance and risk influence pay.
  • Regulators: FAA directives, certificates and significant communications are among the information the Aerospace Safety Committee reviews; committee review supplements rather than replaces regulatory authority.

Bottom line

Boeing’s Aerospace Safety Committee is the board’s dedicated forum for product and operational safety; the Audit Committee is the forum for financial reporting, controls, independent-auditor oversight and broad compliance risk; and the Compensation Committee sets executive rewards while applying performance, safety and risk considerations. Their mandates remain separate, but the safety-to-compensation connection makes safety performance relevant to how executives are evaluated and paid. For current directors, chairs and committee activity, consult Boeing’s latest proxy filing and standing-committee charter materials because those details are time-sensitive.
