As of the company’s February 23, 2026 SEC roster, it has 12 directors, with Steven M. Mollenkopf serving as independent chair and Robert K. (Kelly) Ortberg serving as president and CEO. Bradley D. Tilden’s December 2025 election completed the latest refreshment step and gave the board an additional airline-industry perspective.
What changed on Boeing’s board
The current restructuring began in March 2024. Boeing announced that Larry Kellner would not seek re-election as chair, that Steve Mollenkopf would become independent board chair, and that CEO Dave Calhoun planned to leave at the end of 2024. This established separate chair and chief-executive roles during a period when Boeing was under intense scrutiny over aircraft safety, manufacturing quality and regulatory oversight.

Tim Buckley, the former chair and CEO of Vanguard, joined the board effective January 1, 2025. Boeing later elected Bradley D. Tilden, former chair, president and CEO of Alaska Air Group, on December 3, 2025. The company described Tilden as its 12th director and the 10th new director added since 2019.

These appointments are governance changes, not proof of a specific improvement in safety, quality or financial performance. Boeing’s public materials describe the experience and oversight the directors are intended to provide, but do not publish a causal statistic showing that board refreshment produced a measured business result.

Mortimer J. Buckley is the formal name shown in the roster for the director often identified in the appointment announcement as Tim Buckley. The board’s structure keeps the chair and CEO jobs separate: Mollenkopf leads the board independently, while Ortberg runs the company as CEO.

Why Boeing added new directors
To manage leadership succession
The March 2024 announcement started a succession process for both the board chair and the chief executive. The change was designed to give the board independent leadership while the company transitioned away from Calhoun’s tenure and installed a new CEO.
To refresh skills and industry experience
Buckley added experience as a major investment-management executive. Tilden brought more than three decades in aviation and direct airline operating experience. Board chair Steve Mollenkopf said Tilden offered “a distinct customer perspective, proven leadership in the airline industry,and more than three decades of aviation experience.”

To strengthen safety oversight
Aerospace safety is an explicit board responsibility. Tilden’s appointment to the Aerospace Safety Committee adds an airline operator’s perspective to a committee that already has dedicated leadership under David L. Joyce. That assignment signals the type of oversight Boeing says it wants the refreshed board to provide; it does not, by itself, establish that safety performance has improved.

What Boeing’s 2026 proxy says about governance
Boeing’s 2026 proxy says the board oversaw senior-management succession planning, reviewed board composition and director qualifications, continued board refreshment through Tilden’s election, and conducted annual evaluations of the full board, every committee and each director.
The proxy presented 12 director nominees for election through the 2027 annual meeting. The 2026 shareholder vote therefore served as the formal checkpoint at which investors considered the full slate, including the refreshed leadership and committee structure.
