Bitcoin vs. Bitcoin ETFs: Which Gives You the Exposure You Want?

If you want Bitcoin exposure through a brokerage account and do not want to manage wallet keys, a U.S.-listed spot Bitcoin ETP may fit your needs better. If you want to hold or use Bitcoin itself, direct ownership is the relevant route. Neither avoids Bitcoin’s volatility or the risk of loss.

“Bitcoin ETF” is common shorthand, but the SEC says U.S. spot Bitcoin products are exchange-traded commodity trusts, not ETFs registered under the Investment Company Act of 1940. They are also different from Bitcoin futures ETFs, which use futures contracts.

What do you own with each option?

With direct ownership, you hold Bitcoin through a platform or wallet. Depending on how you hold it, you may control the keys that authorize transactions, or rely on a service provider to hold the Bitcoin for you.

With a spot Bitcoin ETP, you buy exchange-traded shares in a trust that holds Bitcoin and seeks to track its price. You own shares, not the trust’s Bitcoin or the keys that control it. The SEC’s Sept. 9, 2024 investor bulletin explains this distinction and uses “ETP” for these products.

Bitkey Bitcoin Hardware Wallet, No Screen - Self-Custody, No Seed Phrase
  • BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
  • SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
  • NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
  • 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
  • BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.

How do the two routes compare?

Consideration Direct Bitcoin Spot Bitcoin ETP shares
What you hold Bitcoin, held through a wallet or service provider. Exchange-traded shares in a trust that holds Bitcoin.
Control and use May be transferable or usable according to the network, wallet, and service-provider setup. Shares traded through securities-market infrastructure; they do not give you direct control of Bitcoin keys.
Custody responsibilities You must decide how to safeguard keys yourself or which provider to rely on. You avoid some personal wallet and key-handling tasks, but rely on the trust’s issuer, custodian, and operating arrangements.
Costs to check Purchase and sale spreads, possible network transaction costs, and any custody or service charges. Sponsor fees, which reduce the Bitcoin represented by shares over time, as well as trading costs.
Price exposure Bitcoin’s spot-market price, with exposure to the platform used to trade or hold it. Bitcoin price exposure through shares that may deviate from Bitcoin’s price.
Additional risks Wallet, key, and platform risks alongside Bitcoin’s price volatility. Issuer, custodian, tracking, and fee considerations alongside Bitcoin’s price volatility.

Actual costs and custody arrangements vary. For a specific ETP, consult its current prospectus and fee disclosures; for direct Bitcoin, check the provider’s current trading, withdrawal, and custody terms. A product’s trading convenience does not remove the risks of the underlying exposure.

When might direct Bitcoin suit you better?

Direct ownership may be worth investigating if you specifically want Bitcoin itself—for example, to hold it in a wallet or transfer it subject to the network and your setup. That control comes with practical responsibilities: protect the keys and recovery information, understand how transactions work, and consider what happens if a device, wallet, or service provider becomes unavailable.

If you use a provider rather than self-custody, review how it holds Bitcoin, whether withdrawals are available, what fees apply, and what security and account protections it describes. The SEC’s Bitcoin investor alert cautions that Bitcoin held in a wallet or on an exchange does not have protections similar to brokerage securities accounts or bank deposits, and discusses risks including platform closure and hacking. Those are general cautions, not a description of every provider today.

When might a spot Bitcoin ETP suit you better?

An ETP may be worth investigating if you prefer to buy and sell through a securities account and do not want to handle wallet keys. Its shares trade on securities exchanges, but the product adds its own dependencies: the issuer and custodian, the trust’s arrangements, the sponsor fee, and how closely the shares track Bitcoin.

The SEC approved the listing and trading of a number of spot Bitcoin ETP shares on Jan. 10, 2024. That approval was not an endorsement of any particular product or its custody arrangements. In its Sept. 2024 bulletin, SEC staff also warned that shares may not track Bitcoin precisely and that sponsor fees affect the Bitcoin represented by shares over time. The bulletin is staff guidance, not a rule or Commission action.

What risks remain whichever route you choose?

Both options expose you to Bitcoin’s speculative price volatility and the possibility of losing money. An ETP adds the possibility that share prices diverge from Bitcoin’s price; direct ownership adds decisions and risks around custody, keys, and trading platforms. Neither structure turns Bitcoin exposure into a guaranteed or stable investment.

In his Jan. 10, 2024 statement on the spot-product approvals, then-SEC Chair Gary Gensler said: “While we are merit neutral, I’d note that the underlying assets in the metals ETPs have consumer and industrial uses, while in contrast bitcoin is primarily a speculative, volatile asset that’s also used for illicit activity including ransomware, money laundering, sanction evasion, and terrorist financing.” This was Gensler’s statement, not an endorsement of a product or a substitute for assessing the risks of either route.

How should you think about taxes and records?

The IRS treats digital assets such as Bitcoin as property for federal income-tax purposes. Selling or otherwise disposing of Bitcoin can create a gain or loss. Direct holders should keep transaction dates, values, and basis records so they can determine their tax position.

Do not assume that every ETP share has the same tax treatment as directly held Bitcoin. The result can depend on the product’s structure and your circumstances; review the fund’s current tax disclosures and relevant IRS guidance, and consult a qualified tax professional for advice about your situation.

How to make the choice

  • Start with what you want to own. Bitcoin itself points toward direct ownership; a security that provides Bitcoin price exposure points toward an ETP.
  • Decide what responsibilities you want. Direct ownership may involve key and wallet management or reliance on a crypto provider. An ETP shifts those tasks to product and custody arrangements, while leaving you responsible for evaluating the shares and their costs.
  • Compare the real costs and terms. Check current ETP prospectuses and fees, or direct providers’ spreads, transaction costs, custody terms, and withdrawal options. Costs differ by product and provider.
  • Consider your tolerance for loss. Both routes retain Bitcoin’s volatility; the additional risks differ rather than disappear.
