Under U.S. GAAP, Bitcoin generally falls within the fair-value model in FASB’s ASU 2023-08 when the asset and arrangement meet the standard’s scope criteria. U.S. federal tax treats digital assets as property, and a book-value change is not automatically a taxable event. The company also needs to manage price, liquidity, custody, control, and recordkeeping risks.
This is a U.S. GAAP and U.S. federal tax overview. State and local rules, non-U.S. requirements, and the accounting or tax treatment of a particular custody, lending, pledge, or other contractual arrangement may differ.

How Bitcoin is accounted for under U.S. GAAP
FASB Accounting Standards Update 2023-08, Intangibles—Goodwill and Other—Crypto Assets (Subtopic 350-60): Accounting for and Disclosure of Crypto Assets, requires an in-scope crypto asset to be measured at fair value after initial recognition. Changes in fair value are recognized in net income in each reporting period. Bitcoin generally appears to have the characteristics the standard describes, but the treatment depends on whether the specific asset and arrangement meet all of its scope conditions.
Check all six scope conditions
The asset must:
- Meet the Codification definition of an intangible asset.
- Not give its holder enforceable rights to, or claims on, underlying goods, services, or other assets.
- Be created or reside on a distributed ledger based on blockchain or similar technology.
- Be secured through cryptography.
- Be fungible.
- Not be created or issued by the reporting entity or its related parties.
Do not assume that every product or contractual claim described as Bitcoin is within the model. Rights created by a custody, lending, pledge, or other arrangement can affect the analysis and require company-specific accounting review.

- BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
What changes in the financial statements
For assets within scope, the company presents crypto assets measured at fair value separately on the balance sheet. It also presents remeasurement changes separately in the income statement from changes in other intangible assets. A rise or fall in Bitcoin’s reporting-date fair value can therefore affect reported net income even if the company has not sold the holding.
FASB added disclosures intended to show the size and nature of holdings. They include each individually significant holding’s name, cost basis, fair value, and number of units; aggregate fair values and cost bases for holdings that are not individually significant; and details of contractual sale restrictions, including their fair value, nature, remaining duration, and circumstances that could cause them to lapse. The standard also specifies cash-flow presentation for certain crypto assets received as noncash consideration in the ordinary course of business and converted nearly immediately into cash.

When the standard applies
The amendments are effective for fiscal years beginning after December 15, 2024, including interim periods within those fiscal years. That date refers to the beginning of the company’s fiscal year, not simply a calendar-year label. Early adoption is permitted for interim and annual financial statements not yet issued or made available for issuance; if adopted in an interim period, adoption is as of the beginning of the fiscal year containing that period. Confirm the company’s fiscal calendar and adoption history.

1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsBefore this standard, qualifying crypto assets were generally accounted for as indefinite-lived intangible assets under an impairment model. FASB said stakeholders considered that model insufficiently informative about fair value and asset economics. That history explains the change; it is not the current model for an asset within ASU 2023-08’s scope.

How U.S. federal tax differs from book accounting
The IRS treats digital assets as property for U.S. federal income-tax purposes, so general property tax principles apply. Financial-statement carrying value and tax basis are separate measures. A GAAP fair-value remeasurement alone should not be treated as a taxable sale or other disposition; tax consequences depend on the company’s transactions and applicable tax rules.
Transactions that may require gain-or-loss analysis
A company may have a tax disposition when it sells Bitcoin for dollars, exchanges it for other property or digital assets, or uses it to pay for goods or services. A disposition can require tax analysis even when the company receives no cash. The applicable tax result and character depend on the company’s facts and rules; it is not accurate to assume that every corporate Bitcoin gain is capital.

Records to retain
IRS guidance calls for records of digital-asset purchases, receipts, sales, exchanges, and other dispositions. For assets received as income or as payment in the ordinary course of business, preserve fair market value in U.S. dollars. For a sale or other disposition, relevant details include asset type, date and time, units, fair market value at the time, and basis.
A practical transaction ledger can reconcile those tax records with the company’s accounting records. Include wallet and exchange movements, acquisition lots, transaction timestamps, U.S.-dollar values, fees, and basis. This is a useful way to organize records, not an IRS-prescribed software format.

What Form 1099-DA does—and does not do
IRS broker-reporting materials require Form 1099-DA reporting for covered broker transactions on or after January 1, 2025. This is broker information reporting, not a substitute for the company’s own tax return, records, or responsibility to report applicable digital-asset income, gains, and losses. Do not assume that the form covers every wallet-to-wallet movement or supplies complete basis information.

Bitcoin’s price can move substantially, affecting the value of a company’s holdings and, for in-scope assets under the fair-value model, reported earnings. Liquidity is a separate concern: an SEC-filed annual report by one issuer described the risk that difficulty converting Bitcoin to U.S. dollars could leave a company unable to meet liabilities and operating costs. That is an issuer-specific risk disclosure, not a measure of how likely the problem is for every company.
Questions for the board and finance team
- Liquidity runway: Could the company meet payroll, operating costs, and liabilities if Bitcoin’s value falls or conversion to cash is delayed?
- Custody and keys: Who controls the private keys, how is access protected, and how can the company recover access if a key or custodian becomes unavailable?
- Counterparty exposure: Is custody or access concentrated with one exchange, custodian, lender, or other service provider?
- Authorization and segregation: Who can approve acquisitions, transfers, and sales, and are authorization and execution duties appropriately separated?
- Valuation and unit controls: How will the company verify units held and control the valuation inputs used for reporting?
- Restrictions and pledges: Are holdings subject to contractual restrictions, collateral arrangements, or other limits on sale or transfer?
- Tax-lot reconciliation: Can the company reconcile transactions across wallets and platforms to acquisition lots, basis, and accounting records?
Compare treasury choices using the same tests
A decision to hold Bitcoin should be compared with alternatives against the company’s actual obligations and control capacity—not on price outlook alone. A useful framework is to evaluate each option across:
- Access to cash and ability to meet near-term obligations.
- Price exposure and capacity to absorb downside.
- Custody, key control, and counterparty arrangements.
- Balance-sheet and earnings volatility under the company’s applicable GAAP.
- Tax consequences when an asset is disposed of.
- Governance, reporting, and recordkeeping burden.
The right balance depends on the company’s financial position, operating needs, contracts, and risk controls. The accounting and tax treatment of a particular arrangement should be reviewed against its terms and the company’s circumstances.
