Bitcoin ETFs vs. Bitcoin-Treasury Stocks: Which Gives You Better Exposure?

For most investors seeking straightforward bitcoin-price exposure through a brokerage account, a low-cost spot-bitcoin exchange-traded product (ETP) is the cleaner starting point. It holds bitcoin through a custodian and is designed to reflect the value of that bitcoin, less expenses. A bitcoin-treasury stock is different: it is common equity in an operating company that may borrow money, issue preferred securities or sell additional shares to buy bitcoin. Its market price can therefore move far above or below the value of the bitcoin it owns.

A treasury stock can outperform bitcoin when financing, investor demand and a rising market work in its favor. The same structure can magnify losses through debt, interest, preferred dividends, dilution, operating problems, custody failures or a shrinking premium to the company’s bitcoin holdings. The right choice depends on whether you want tracking fidelity or are deliberately accepting a more complex, leveraged equity bet.

What you actually own

A spot-bitcoin ETP is a trust interest designed to follow bitcoin

A spot-bitcoin ETP generally holds bitcoin with a designated custodian. Each share represents an interest in the trust’s assets, less liabilities and operating expenses. The objective is to reflect bitcoin’s value rather than to run an operating business. Bitwise’s filing, for example, describes exposure to the value of bitcoin held by the trust, less expenses and liabilities, with Coinbase Custody Trust Company as custodian.

The U.S. Securities and Exchange Commission’s Investor Bulletin cautions that products using the word ETF in their names are not necessarily registered investment companies under the Investment Company Act of 1940. In this context, “spot-bitcoin ETF” is common market shorthand for an exchange-traded bitcoin trust or similar ETP, not a guarantee that the product has the legal structure of a conventional stock-and-bond mutual fund.

A bitcoin-treasury stock is an equity claim on a company

When you buy a bitcoin-treasury stock, you buy common shares in a corporation. The company may operate a software or other business, hold cash and other assets, owe debt, have preferred securities outstanding and own bitcoin. Common shareholders receive whatever value remains after those obligations and after the market assigns a price to the company’s future operations.

Strategy’s 2024 Form 10-K describes issuing debt or equity and using the proceeds to purchase bitcoin. Its 2025 filing describes bitcoin as a core component of the balance sheet and capital structure. A share is not a redeemable claim on a fixed quantity of bitcoin. You cannot normally hand the share to the company and demand the proportional bitcoin represented by its holdings.

How each structure produces a return

Spot ETP mechanics

An ETP’s net asset value (NAV) is based primarily on the bitcoin held by the trust, after liabilities and expenses. Authorized participants can create new shares by delivering bitcoin or cash to the trust and can redeem shares under the product’s rules. That process gives professional market makers an arbitrage mechanism: if shares trade materially above NAV, creation can add supply; if they trade below NAV, redemption can reduce supply. The mechanism is intended to keep the exchange price reasonably close to the value of the underlying bitcoin, although it does not eliminate every premium, discount or trading spread.

Your return is therefore approximately bitcoin’s price change minus the ETP’s expense ratio and other trust costs, plus or minus the effect of buying or selling at a temporary premium, discount or spread. The vehicle does not create corporate earnings, issue debt to buy more bitcoin or dilute common shareholders through a financing program.

Treasury-stock mechanics

A treasury company can raise capital in several ways:

  • Common-stock issuance: selling new shares provides cash for bitcoin purchases but reduces each existing shareholder’s percentage ownership.
  • Debt: borrowing can increase bitcoin per common share when bitcoin rises, but interest, principal maturities and refinancing conditions remain obligations even during a bitcoin downturn.
  • Preferred stock or convertible securities: these can bring in capital while adding dividend, liquidation or conversion claims ahead of common equity.
  • Operating cash flow or asset sales: the company may use business revenue, cash reserves or bitcoin sales to meet expenses and obligations.

The stock price reflects all of those claims, plus expectations about management, the operating business, governance and future capital raising. As a result, the percentage change in the stock can be much larger or smaller than the percentage change in bitcoin.

Spot-bitcoin ETP versus bitcoin-treasury stock

Comparison Spot-bitcoin ETP Bitcoin-treasury stock
What you own An exchange-traded interest in a trust holding bitcoin, less liabilities and expenses Common equity in a company with bitcoin, operations, assets and liabilities
Exposure fidelity Designed to reflect bitcoin held by the trust, less expenses Bitcoin exposure combined with operating results, financing, liabilities and changes in the stock’s market-to-NAV relationship
Leverage and dilution No corporate balance-sheet leverage at the investor level; expenses reduce return Debt and preferred claims can add leverage; new common shares can dilute existing holders
Price versus NAV Premiums, discounts and spreads can occur; creation and redemption are designed to support alignment Shares can trade persistently above or below look-through bitcoin value, with no ETF-style redemption right for ordinary shareholders
Liquidity Exchange-traded through a brokerage; liquidity depends on the product and market Exchange-traded equity; liquidity and financing conditions depend on the issuer, its shares and investor demand
Custody Trust-level custodian, private-key controls and service-provider arrangements Corporate custody, counterparties, insurance or control arrangements and private-key security are issuer risks
Diversification Focused bitcoin exposure within a trust structure Bitcoin concentration plus operating-company, governance and capital-structure exposure
Best fit An investor prioritizing simpler, closer bitcoin tracking An investor intentionally accepting complex equity and financing risk for potentially amplified exposure

Why a treasury stock can rise more than bitcoin

Leverage increases bitcoin per common share

Suppose a company has a fixed amount of common equity and borrows to buy additional bitcoin. If bitcoin appreciates, the value of the holdings can rise faster than the company’s equity base, after subtracting the debt. That financial leverage can make the stock’s percentage gain exceed bitcoin’s percentage gain. It is not free amplification: interest continues to accrue, debt may mature at an inconvenient time and lenders or markets may impose conditions that force a sale or a new financing.

A market premium can expand

Investors sometimes pay more for a treasury company than the market value of its bitcoin after adjusting for debt, preferred securities, cash and the operating business. A rising premium can lift the stock even if bitcoin itself moves only modestly. The premium may reflect confidence in management’s ability to raise capital, expectations of future bitcoin purchases, access to public markets or the convenience of buying an equity security.

That premium is a market price, not a guaranteed asset value. If enthusiasm fades, the stock can fall while bitcoin is flat, or decline more than bitcoin because the premium contracts.

New capital can be accretive or dilutive

Issuing shares above the company’s look-through bitcoin value may raise more cash than the value given up by existing holders. Management can then buy bitcoin and potentially increase bitcoin exposure per share. Issuing shares when the stock trades below that value can have the opposite effect. The same financing decision can therefore help or hurt existing shareholders depending on the price, terms and amount issued.

Why a treasury stock can fall more than bitcoin

Debt and preferred obligations remain when prices drop

Bitcoin losses reduce the value of the company’s assets, but interest payments, principal repayments and preferred dividends do not automatically decline. A company that cannot refinance or generate enough operating cash may need to sell bitcoin, issue shares at an unfavorable price or restructure its obligations. Each response can pressure common shareholders.

The operating business matters

Revenue, costs, product demand, competition, management decisions and governance can move the stock independently of bitcoin. A strong bitcoin rally does not guarantee that the operating business will meet expectations. Conversely, a healthy business may not prevent the stock from falling if investors reduce the premium they were willing to pay for bitcoin exposure.

Liquidity can disappear at the wrong time

Exchange listing does not guarantee a narrow spread or continuous investor demand. Financing markets can tighten, trading volume can fall and a company may face higher borrowing costs precisely when bitcoin is weak. Those conditions can widen the gap between a stock’s market price and the value of its holdings.

Which tracks bitcoin more closely?

For tracking fidelity, the spot-bitcoin ETP normally has the clearer design. Its stated objective is tied to the bitcoin held by the trust, and its main recurring drag is expenses. The share price can still differ from NAV during market stress, at the opening or close of trading, or when spreads widen, but authorized-participant creation and redemption are intended to bring the price back toward NAV.

A treasury stock has no equivalent promise. Its look-through bitcoin value must be estimated by subtracting debt and preferred claims, adding cash and other assets, and deciding what value to assign to the operating business. The market can assign a premium or discount for long periods. A stock can therefore lag bitcoin during a rally, outperform it, or move in the opposite direction for a time.

Risk checklist before buying either vehicle

Questions for a spot-bitcoin ETP

  • What is the annual expense ratio, and are there additional trust, custody or transaction costs?
  • Who is the custodian, and what controls, insurance limits and subcontractors are disclosed?
  • How does the product calculate NAV and its reference bitcoin price?
  • How wide are normal bid-ask spreads, and how large have premiums or discounts been during volatile sessions?
  • What are the creation and redemption procedures, and are they limited to authorized participants?
  • Is the product available in your jurisdiction and account type?

Questions for a bitcoin-treasury stock

  • How many bitcoin does the company report, and on what date was that figure measured?
  • What debt, maturities, interest rates, preferred dividends and conversion terms rank ahead of common stock?
  • How many shares are authorized, outstanding and available for future issuance?
  • Has management disclosed a policy for buying, holding or selling bitcoin to meet liquidity needs?
  • What operating revenue and cash flow support interest and corporate expenses?
  • How is custody handled, and what would happen if a custodian, exchange, lender or other counterparty failed?
  • Is the stock trading at a premium or discount to an estimate of bitcoin value per share, and what assumptions are included in that estimate?
  • What regulatory, governance and concentration risks does the latest filing identify?

Market context and published figures

The Federal Reserve Board reported that crypto-ETPs represented approximately $100 billion in aggregate market capitalization in late December 2024. That is a market-size measurement for that period, not a forecast or a guarantee that all products had identical structures.

The same Federal Reserve analysis estimated that approximately 20% of crypto-ETP shares were held by institutions reporting on Form 13-F and roughly 80% by retail and other smaller investors, using filings through September 13, 2024. The estimate describes ownership at that snapshot and can change as holdings and reporting populations change.

Strategy’s reported bitcoin balance illustrates why dates and capital structure matter. Its 2024 Form 10-K reported approximately 447,470 bitcoins as of December 31, 2024. Its 2025 Form 10-K reported approximately 717,131 bitcoins acquired for approximately $54.5 billion at an average cost of approximately $76,027 per bitcoin, as of February 13, 2026. Those figures describe the company at specific filing dates; they are not a fixed amount represented by each common share, and later financing or bitcoin transactions can change the per-share exposure.

How to choose between the two

Choose the spot-bitcoin ETP baseline when

  • Your primary objective is for the investment to follow bitcoin as closely as practical.
  • You want a conventional brokerage security without analyzing corporate debt, preferred stock or operating results.
  • You prefer a transparent daily NAV framework and are willing to accept the product’s stated expenses.
  • You want to limit the investment thesis to bitcoin rather than bitcoin plus management and business execution.

Consider a treasury stock only when

  • You understand that the stock is common equity, not a redeemable bitcoin certificate.
  • You have reviewed debt maturities, interest costs, preferred claims, share issuance capacity and liquidity needs.
  • You are intentionally seeking the possibility of amplified gains and accept that leverage and premium compression can amplify losses.
  • You can evaluate the operating business, governance, custody arrangements and regulatory disclosures alongside bitcoin exposure.

A practical decision process

  1. Define the exposure you want. Write down whether your objective is bitcoin’s price, a leveraged equity strategy or participation in a company that holds bitcoin. If the answer is simply bitcoin’s price, begin with the spot ETP comparison set.
  2. Read the current filing or prospectus. Confirm the structure, custodian, expenses, valuation method and redemption terms for an ETP. For a treasury stock, identify bitcoin holdings, debt, preferred securities, cash, share counts and operating obligations from the latest filing.
  3. Calculate the relevant value. For an ETP, compare the trading price with published NAV and recent premiums or discounts. For a treasury stock, estimate bitcoin value, subtract debt and preferred claims, add other assets and assign a separate value to operations before comparing that estimate with the share price.
  4. Stress-test financing. Ask what happens if bitcoin falls sharply, refinancing costs rise, the stock trades below look-through value or the company must issue shares. A scenario that works only with rising bitcoin and easy financing is not a complete risk assessment.
  5. Check trading conditions. Compare normal spreads, volume and the hours during which you can transact. Use limit orders when a wide spread or fast market makes the displayed quote unreliable.
  6. Set a position limit. Bitcoin is volatile, and a treasury stock adds corporate and financing risk. Size the position so a severe move does not force an untimely sale or compromise the rest of your portfolio.
  7. Review periodically. Recheck expenses, custody disclosures, bitcoin holdings, debt maturities, share count, premium or discount and operating cash flow after each material filing or financing.

Common mistakes to avoid

  • Treating the stock as an ETF. The company can issue securities, incur obligations and change its bitcoin holdings; ordinary shareholders do not receive ETF-style daily redemption.
  • Using bitcoin per share as the entire valuation. Debt, preferred claims, cash, operating assets and the market premium or discount all affect common-equity value.
  • Ignoring dilution. More bitcoin on the balance sheet does not automatically mean more bitcoin exposure per existing share.
  • Assuming leverage is one-way. Debt can magnify gains, but interest, maturities and forced financing can magnify losses.
  • Comparing unmatched dates. Holdings and share counts change. Use figures from the same filing period when estimating exposure.
  • Confusing market access with safety. Both instruments trade on exchanges, but exchange trading does not remove bitcoin volatility, custody risk or the possibility of large price gaps.

Bottom line

A spot-bitcoin ETP is usually the better default for an investor who wants a simple, brokerage-based instrument designed to track bitcoin less expenses. A bitcoin-treasury stock is a different proposition: an operating-company equity position whose bitcoin exposure is filtered through debt, preferred claims, new share issuance, custody, liquidity, governance and the market’s changing premium or discount. Choose it only if those extra variables are part of the strategy you actually intend to own.
