Short answer: Selling Bitcoin gives you cash with no repayment obligation, but it can trigger a taxable capital gain or loss and permanently removes the sold units from future price moves. A Bitcoin-backed loan may let you keep economic exposure to unsold Bitcoin, yet it adds interest, fees, repayment risk, custody and counterparty risk, and the possibility that a price decline causes a margin call or forced liquidation. Neither choice is automatically cheaper, safer, or tax-free. Compare the after-tax proceeds from a sale with the net loan proceeds and a realistic repayment plan under a sharp Bitcoin decline.
What you are actually choosing
For tuition, payroll, equipment, inventory, or another large bill, the decision is between converting Bitcoin into cash and borrowing cash while pledging Bitcoin as collateral. The right comparison is not simply sale price versus loan interest. It is a comparison of after-tax cash, total financing cost, control of the coins, exposure to future Bitcoin prices, and your ability to meet the obligation if the market moves against you.

Selling Bitcoin
You sell specified units for U.S. dollars or another currency and use the proceeds. The transaction ends your exposure to those units. There is no debt, interest schedule, collateral account, or lender that can demand more money later. The trade-off is that a sale can realize a capital gain or loss and you cannot benefit from a later rise in the units you sold.

You receive cash and pledge Bitcoin under a credit agreement. The coins may remain economically yours, but the lender, custodian, or security arrangement can give another party control or rights over them. You owe principal, interest, and any contractual fees. If collateral coverage falls, the agreement may require additional collateral or partial repayment; an uncured deficiency can lead to liquidation.

U.S. federal tax treatment of a sale
The Internal Revenue Service treats digital assets as property for federal tax purposes, so general property tax rules apply. Its digital-asset FAQ states: “If you sell digital assets for U.S. dollars or similar currency, you must recognize any capital gain or loss on the sale subject to any limitations on the deductibility of capital losses.”
How the gain or loss is determined
For each group of units sold, compare the amount received (less applicable transaction costs) with the adjusted basis of those units. The result is a gain or loss. Your holding period determines whether the result is generally short-term or long-term under federal rules. Basis, acquisition date, disposal date, units sold, proceeds, and the method used to identify the units must be supported by records.
A gain can create a tax bill even when the cash is immediately spent on school or business costs. A loss may be subject to federal limitations on deductibility, so it should not be assumed that every loss offsets all other income. State, local, and non-U.S. rules can differ substantially from the federal treatment described here.

Bitcoin accumulated through multiple purchases, transfers, mining, compensation, gifts, or exchanges can have different bases and holding periods. Before selling, identify which units would be disposed of and obtain the basis and dates from your records. If an exchange or custodian uses a particular lot-selection method, preserve the confirmation showing what was sold.
Why a Bitcoin-backed loan is not automatically tax-free
The available IRS guidance does not establish one universal tax result for every Bitcoin-collateral loan. A pledge may be structured in different ways, and the documents and actual transfer or control arrangements can matter. Do not assume that receiving loan proceeds is always outside the scope of taxation, and do not assume that transferring coins to a lender or custodian can never be treated as a disposition.

Have a qualified tax professional review the actual agreement, collateral movement, recourse terms, and your jurisdiction before signing. The tax question is separate from the financial question: even if a particular borrowing structure does not produce immediate income, interest, fees, liquidation, and a later sale can still create costs or tax consequences.
How collateral calls and liquidation work
Loan documents define how Bitcoin is valued, how often it is marked, the collateral ratio or loan-to-value (LTV) limits, when a call is issued, how long you have to cure it, and what the lender may do after a default. Starting LTV alone does not tell you the full risk.
Illustrative terms from one filed facility
An August 27, 2026 U.S. Securities and Exchange Commission filing by USBC Inc. describes one Bitcoin-secured credit facility. It required collateral coverage equal to 150% of borrowings at inception, which is approximately a 66.7% maximum initial LTV. The agreement set a 130% margin-call level, gave the borrower 24 hours to post collateral or make a partial repayment, and permitted liquidation at a 120% coverage level if the deficiency was not cured. The lender used a Bitcoin spot rate for valuation and described custody arrangements.
These are terms of that particular agreement, not a retail-market benchmark or a recommended structure. They show the sequence to look for: a price decline reduces coverage, a call demands action, and a further decline or missed cure can allow liquidation. Your contract may use different percentages, prices, timing, valuation windows, notice methods, and remedies.
Questions that determine your real exposure
- What exact formula converts the Bitcoin price into collateral value, and which index or spot market supplies that price?
- Is the ratio checked continuously, at set times, or only when the lender elects to check?
- How is a margin call delivered, and when does the cure clock begin?
- Can you cure with more Bitcoin, cash, or partial principal repayment?
- Can the lender liquidate automatically, or does it have discretion? Is advance notice required?
- Who holds the coins, who controls the private keys, and what happens if the custodian or lender fails?
- When and how are collateral and any excess returned after repayment?
- Is the interest rate fixed or variable, how often does it compound, and which fees apply at origination, custody, repayment, or liquidation?
- What are the maturity date, permitted prepayments, default events, and consequences of missed payments?
Side-by-side comparison
| Decision axis | Selling Bitcoin | Borrowing against Bitcoin |
|---|---|---|
| Immediate cash | Proceeds from the amount sold, less transaction costs | Loan proceeds, potentially reduced by fees |
| Tax | A sale can realize a capital gain or loss under U.S. federal rules; calculate using basis and proceeds | No universal result is established for every loan structure; verify the transaction and jurisdiction |
| Future Bitcoin exposure | Sold units no longer participate in later price moves | You may retain economic exposure to unsold Bitcoin, while pledged units remain subject to lender rights and possible liquidation |
| Ongoing cost | No loan interest on the sold amount | Interest and fees accrue under the contract |
| Downside if Bitcoin falls | You avoid a margin call on the sold units but have already sold the asset | A fall can reduce coverage and trigger a call, repayment demand, or liquidation |
| Repayment | No debt repayment obligation for the sale proceeds | You must repay on schedule or face contractual remedies |
| Operational and counterparty risk | Exchange execution, settlement, and transaction risks | Custody, control, lender or custodian performance, valuation, and collateral-release risks |
Compare the dollars, not just the headline amount
Net cash from a sale
- Determine the number of Bitcoin units to sell and their adjusted basis.
- Estimate the proceeds at the execution price and subtract trading, network, withdrawal, and other transaction costs.
- Estimate federal, state, local, or foreign tax attributable to the gain, using the correct holding period and loss rules.
- Reserve the tax amount rather than treating every dollar of gross proceeds as spendable.
- Check whether the remaining Bitcoin still meets your liquidity and risk needs.
The result is usable cash with no future principal payment, but the sold units are no longer available for a later price increase.

Net cash from a loan
- Start with the approved principal amount.
- Subtract origination, arrangement, custody, valuation, withdrawal, and other fees charged before disbursement.
- Map every interest payment and principal repayment through maturity. Include variable-rate or compounding provisions.
- Set aside cash for scheduled payments and for an emergency collateral call.
- Stress-test the collateral at a steep Bitcoin price decline without assuming you can sell at the exact quoted price.
A loan can produce less spendable cash than its face value and still leave you exposed to a large obligation. The economic cost includes interest and fees, the value of any Bitcoin sold to cure a call, and the opportunity cost of losing coins through liquidation.
A practical decision process
1. Identify the cash need and its deadline
Tuition may have a fixed due date and late-payment consequences. A business expense may be recurring, seasonal, or dependent on revenue that could fall. Match the funding term to the cash-flow certainty. Borrowing against a volatile asset to cover a payment you cannot miss is especially risky when repayment depends on a future Bitcoin price increase.
2. Establish your downside capacity
List cash income, essential expenses, existing debt, and liquid reserves. Ask whether you could repay the loan and cure a collateral call without selling Bitcoin at a depressed price. If the answer is no, a loan converts market volatility into a time-sensitive obligation.
3. Calculate the sale alternative
Use lot-level basis and holding period data, then estimate execution costs and taxes. Separate the amount needed for the bill from any desired investment exposure. Selling only the amount required may reduce tax and market exposure, but lot selection and local rules can change the result.
4. Obtain the complete loan documents
Do not rely on a web calculator or an advertised starting LTV. Request the credit agreement, collateral-control agreement, fee schedule, rate provisions, valuation policy, default section, and release procedure. Confirm the governing law and dispute process for your jurisdiction.

5. Model adverse cases
Model a rapid Bitcoin decline, a delayed or failed bank transfer, a rate increase if applicable, and a missed payment. Include weekends and holidays in the cure period. Determine how much additional cash or Bitcoin would be required at each trigger and where it would come from.
6. Get tax and legal advice on the actual transaction
Tax treatment depends on your country and on what the documents and parties actually do. A professional can review basis, reporting, collateral transfer, recourse, and any state or local consequences before funds move.
When selling is usually the clearer risk decision
- You need a fixed amount and have no dependable repayment source beyond the Bitcoin itself.
- The tax cost of selling is known and affordable after calculating basis and holding period.
- You cannot respond to a margin call within the contract’s cure window.
- You value certainty over maintaining exposure to a possible future Bitcoin rise.
- The loan’s fees, rate, custody terms, or liquidation rights are difficult to verify.
Selling does not eliminate market risk for the Bitcoin you continue to hold, but it removes debt and collateral-call risk on the units sold.

- You have stable, non-Bitcoin cash flow for interest and principal.
- You can supply additional collateral or cash quickly under a severe price move.
- The agreement clearly states valuation, call thresholds, cure periods, liquidation powers, custody, and release of collateral.
- The total cost is acceptable even if the loan remains outstanding until maturity.
- You understand that retaining price exposure is a risk choice, not a guaranteed benefit.
Borrowing is not a way to make volatility disappear. It preserves exposure only while you continue meeting every contractual obligation.

For a loan, retain the signed agreement and amendments, collateral deposits and releases, valuation notices, margin-call messages, repayments, interest statements, fees, and any liquidation report. Keep evidence of how loan proceeds were used when that matters to your tax or business records. Do not rely on a lender’s portal remaining available indefinitely; export statements and retain backups.
Common mistakes and safer fixes
Assuming a loan has no tax consequences
Fix: Have the specific structure reviewed. The IRS materials do not settle every collateral arrangement.
Comparing gross sale proceeds with gross loan proceeds
Fix: Subtract estimated tax and transaction costs from the sale, and subtract all loan fees and scheduled interest from the borrowing option.
Focusing only on initial LTV
Fix: Read the valuation method, call trigger, cure period, acceptable collateral, liquidation threshold, and default remedies together.
Planning to cure a call with the same Bitcoin
Fix: Identify cash or unpledged collateral that is immediately accessible. A falling price can make selling Bitcoin to cure the call more expensive in units and dollars.
Ignoring custody and release terms
Fix: Confirm who controls the keys, whether collateral is segregated, what happens in insolvency, and how quickly coins are returned after full repayment.
Failing to preserve basis information
Fix: Reconcile every lot and transaction before selling; keep records that support the tax return position.

A final checklist before committing funds
- Have you identified your country, state, and applicable tax rules?
- Do you know the basis and holding period of every unit you would sell?
- Have you estimated proceeds, fees, and tax rather than using the market price alone?
- Do you possess the full loan agreement and fee schedule?
- Are the rate, maturity, repayment, collateral, valuation, call, liquidation, custody, and release provisions unambiguous?
- Can you meet a call and scheduled repayment without a favorable Bitcoin price move?
- Have you recorded wallet balances, transaction history, and fair market values?
- Has a qualified tax professional reviewed any uncertain collateral transfer or control arrangement?
The most defensible choice is the one whose worst credible outcome you can fund. Selling accepts a known disposal and its tax result; borrowing accepts an ongoing debt secured by an asset whose value can change rapidly. Compare both on a written, after-tax, stress-tested basis before using Bitcoin to pay tuition or business costs.
