What Binance.US is reportedly raising
The proposed financing would provide as much as $100 million for Binance.US, with the company targeting a valuation near $1 billion. The stated objective is to expand its U.S. business as crypto exchanges compete for digital-asset customers.

These are targets rather than completed transaction terms. The amount, valuation and investor group could change before a closing, and no signed closing date has been disclosed.

World Liberty Financial was told about the fundraising effort, but a person familiar with the matter said WLF is not currently participating. Representatives for Binance.US and WLF declined to comment. Being informed about a financing is not evidence of an investment, commitment or term-sheet agreement.

How the new target compares with Binance.US’s 2022 financing
Binance.US announced in 2022 that it had raised more than $200 million at a $4.5 billion pre-money valuation. The newly reported target of approximately $1 billion is therefore materially lower than that earlier reference point, although the figures describe different financing situations: the 2022 amount was announced as money raised, while the current figure is an unclosed target.

In the 2022 announcement, Binance.US CEO Brian Shroder said, “This funding and valuation validate the strength of Binance.US’s business today, as well as our long-term growth prospects.” That statement referred to the earlier financing and should not be read as confirmation of the new round’s terms.

Why Binance.US is pursuing expansion now
Reported initiatives point to a focus on rebuilding the company’s U.S. operating reach and improving the products and liquidity available to American customers. None of the following options has been reported as finalized:
- Restoring money-transmitter licenses in some U.S. states.
- Exploring prediction markets as a possible product area.
- Considering external trading liquidity, potentially including liquidity from the global Binance platform.
State-level access is an important constraint. Binance.US’s help guidance says some states currently operate on a crypto-only basis while the company works to restore U.S. dollar services. The company also says its referral program returned on September 10, 2025, a sign that customer-acquisition tools remain part of its operating plans.

Binance.US and global Binance are separate operations
Binance.US launched in 2019 and operates independently from the global Binance trading platform. Changpeng Zhao is a major shareholder of both entities, so the companies have common ownership ties even though they are operationally separate. Any potential use of external liquidity from global Binance would therefore be a business arrangement to be confirmed, not proof that the two platforms are the same company.

- Whether Binance.US will raise the full $100 million or a smaller amount.
- Whether the final valuation will be approximately $1 billion or another figure.
- Which investors, if any, will participate at closing.
- When a transaction will be signed and completed.
- Whether licensing, dollar-service, prediction-market or liquidity plans will proceed.
Until Binance.US or participating investors disclose definitive terms, the reported valuation should be treated as a fundraising target rather than a current, completed market valuation.

What to watch next
- A closing announcement: This would establish the actual amount raised, valuation methodology and participating investors.
- State licensing updates: Restored money-transmitter permissions could determine where dollar services and additional products can operate.
- Dollar-service changes: Updates to the crypto-only status in some states would show whether banking and payment access is improving.
- Product and liquidity disclosures: Prediction markets or outside liquidity would need separate confirmation before they can be treated as launched initiatives.
