Axe Compute Acquires Full Ownership of Columbus, Georgia AI Cluster

Axe Compute completed its acquisition of the special purpose vehicle (SPV) owning its Columbus, Georgia, AI cluster on September 30, 2026, according to the company’s October 5 announcement. The deal gives Axe Compute ownership of the compute hardware; Duos Technologies Group continues to own and operate the colocation facility, provide site services and cover colocation and energy costs under a separate five-year agreement.

What Axe Compute acquired

Axe Compute acquired 100% of the SPV that owns the cluster, rather than acquiring Duos’s data-center facility. The system is at Duos’s Columbus, Georgia, site and comprises 288 servers containing 2,304 NVIDIA B300 GPUs, according to Axe Compute’s announcement.

The division of responsibility is central to the transaction: Axe Compute owns the compute equipment through the SPV, while Duos retains the building and its colocation operation. Duos says it will continue serving the existing customer without interruption, leasing GPU compute capacity from Axe Compute instead of owning and financing the equipment itself. Its continuing services include the site, power, cooling, security and managed infrastructure.

How the purchase is being paid for

Axe Compute said it paid off approximately $87.8 million of the SPV’s asset-backed loan facility at closing, without issuing new equity. It also reported $42.9 million in remaining consideration payable to Duos in monthly installments of $715,000. The unpaid balance is due by the earlier of 12 months after signing or the date Axe Compute obtains financing secured by the Georgia Cluster. These are terms as described by Axe Compute in its transaction announcement.

Duos describes a separate financing effect: its SEC-filed announcement says the sale removes approximately $98.1 million of prospective equipment financing from Duos. That figure is not the same as the approximately $87.8 million asset-backed loan Axe Compute said it paid off at closing; the companies describe different financing amounts and contexts.

Customer contract and expected revenue

Axe Compute says the customer agreement was extended from three years to five years, through 2031, with renewal options afterward. The company expects approximately $364.6 million in revenue over the agreement’s life. That is a company projection, not revenue already earned or an independently verified forecast.

What the announcement does—and does not—establish

The companies’ announcements establish the transaction’s stated closing date, asset ownership structure, reported payment terms, customer-contract extension and division of facility responsibilities. They do not establish whether Axe Compute will achieve its projected revenue, margin or cash-flow outcomes. Independent coverage by Data Center Dynamics also describes the broad transaction structure.
