No—not necessarily. “Tokenized stock” describes a security or security-related interest represented in crypto-asset form. “Stock-backed crypto token” is an imprecise marketing label that does not tell you whether you own issuer-recognized shares, an indirect interest in shares held by a custodian, or a separate instrument that merely tracks a stock’s price. In the United States, the answer depends on the token’s legal documents, ownership records, custody arrangement, rights and redemption mechanics—not its name or blockchain format.
What “tokenized stock” can mean
A tokenized stock is not one standardized legal product. The token may be the security issued by a company or its agent, a digital representation of a beneficiary’s interest in securities held by another firm, or a separate contract whose value follows a referenced stock. Those structures can look similar in a trading app while creating very different legal relationships.

U.S. Securities and Exchange Commission (SEC) staff materials distinguish three broad models. The categories are useful for analysis, but the exact legal classification of a particular offering depends on its facts, economic substance and governing documents. A product’s use of a ticker symbol, a familiar company name or the word “backed” does not settle the question.

In an issuer-sponsored structure, the company whose equity is represented—or an authorized agent—issues the security in tokenized form. The token may carry the rights attached to its class of security. That does not automatically mean it is identical to the company’s conventionally issued common shares: a tokenized issue can be a different class with different terms.
To determine what you receive, review the issuer’s charter or other governing documents, offering terms, ownership ledger and transfer procedures. Those records should identify the class, voting provisions, dividend treatment, corporate-action process and any restrictions on transfers or redemption.

Custodial token or security entitlement
Here, a third party holds the underlying shares with a custodian and issues a token representing the holder’s indirect interest, often described legally as a security entitlement. You may have a claim through the intermediary’s books and records rather than being recorded by the stock issuer as a direct shareholder.
The practical result depends on the custody agreement, the intermediary’s obligations and how assets are segregated. Voting instructions, dividends, stock splits, tender offers and other corporate actions may pass through an intermediary and may be subject to its procedures, deadlines or fees.

Synthetic linked security or derivative
A synthetic product is issued by a third party and promises a return linked to a referenced stock. The SEC staff describes that linked security as the third party’s obligation, not an obligation of the company whose stock is used as the reference. It generally does not give the holder rights or benefits from that company.

Depending on its terms, a tokenized synthetic product could be a security-based swap or another type of security. The label “token” does not determine the classification. A synthetic holder can face the issuer’s credit risk and receive only the contractual payout described in the terms, even when the token’s price closely follows the stock.
Comparison of the three structures
| Structure | Who issues or controls it | What the token represents | Relationship with the stock issuer | Main rights and risks to verify |
|---|---|---|---|---|
| Issuer-sponsored | The company or its authorized agent | A tokenized security, potentially in a specific class | May be direct, subject to the issue’s records and terms | Voting, dividends, corporate actions, ownership records, transfer and redemption terms |
| Custodial | An intermediary that holds shares with a custodian | An indirect security entitlement to the custody position | Usually indirect; the intermediary’s records and agreements govern the claim | Asset segregation, intermediary insolvency, voting and dividend pass-through, fees and settlement |
| Synthetic linked | A third-party issuer | A separate instrument whose return references a stock | No direct claim against the referenced company | Issuer credit and bankruptcy risk, payout formula, collateral, termination, liquidity and regulatory eligibility |
Does owning a token give you shareholder rights?
Only if the product’s legal structure and terms provide them. A token balance in a wallet is not, by itself, proof that the stock issuer recognizes you as a shareholder.
Check each right separately:
- Voting: Find out whether you are listed on the issuer’s ownership records, whether votes are passed through a custodian, or whether no voting right exists.
- Dividends and equivalent payments: Determine whether cash dividends are paid, converted into another amount, reinvested, withheld for fees or replaced by a contractual adjustment.
- Corporate actions: Read how splits, mergers, tender offers, rights offerings and delistings are handled, including deadlines and who makes elections.
- Information: Identify what reports, notices and shareholder communications you receive and from whom.
- Redemption and settlement: Confirm whether you can exchange the token for shares, cash or only a value calculated by the issuer, and what conditions, windows or minimums apply.
- Ownership evidence: Ask which ledger, account statement or custody record proves your interest and how disputes are resolved.
Investor.gov’s investor-facing explanation similarly separates issuer-sponsored, custodial and synthetic tokenized securities. Its page reflects staff views and has no legal force or effect, so the product’s current contracts remain decisive.
Is a “stock-backed” token actually backed by shares?
The phrase “stock-backed” does not have a single standardized definition in the cited U.S. materials. It might mean that a custodian holds one share for each token, that an issuer has created a tokenized share class, or simply that the token’s payout is linked to a stock. These arrangements have different claims, protections and failure scenarios.

Look for specific evidence rather than promotional language:
- Identify the legal issuer named in the offering documents and determine whether the referenced company participated.
- Read whether the token represents the security itself, a security entitlement through an intermediary, or a separate linked obligation.
- Find the custody agreement, account-control arrangements and asset-segregation provisions if shares are said to be held in reserve.
- Check whether the documents promise one-for-one backing, describe permitted substitutions or rehypothecation, and explain reconciliation or audits.
- Confirm the redemption route: delivery of the underlying shares, cash settlement, or a calculation made by the token issuer.
- Review what happens if the issuer, custodian or platform becomes insolvent, loses access to the shares, suspends redemptions or terminates the product.
A statement that tokens are “fully backed” is not a substitute for these terms. Backing can reduce some market exposure while leaving substantial intermediary, operational or legal risk.
Counterparty, custody and bankruptcy exposure
Holding the underlying stock directly and holding a third-party token can expose you to different parties. A synthetic token depends on the issuer’s ability to perform its payment obligation. A custodial token depends on the intermediary’s records, the custodian’s control of the shares and the legal treatment of customer assets if one of those firms fails.

The SEC has warned that a third-party token can create counterparty exposure, including bankruptcy risk, that a holder of the referenced security would not necessarily face. Read the default provisions carefully: they may permit close-out valuation, substitute collateral, suspension or cash settlement instead of delivery of shares.
Operational details matter as well. A blockchain transaction can show that a token moved between addresses, but it does not by itself prove that a corresponding share was transferred on the issuer’s books or remains available in custody. Reconciliation rules, freezes, smart-contract permissions and the authority to mint or burn tokens should be disclosed.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How U.S. securities law fits
Tokenization does not automatically remove securities-law obligations. SEC staff materials explain that the format alone does not determine treatment; the structure and transaction do. A product that functions as a security-based swap may face rules concerning eligible contract participants, registration and exchange trading. The applicability of those requirements depends on the offering and the parties involved, so do not assume that a token available through a crypto platform is available to every U.S. investor on the same terms.
Best Value
SEC Commissioner Hester M. Peirce wrote on July 9, 2025: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” Her next sentence was: “Tokenized securities are still securities.” Those remarks explain the policy point, but they are not a replacement for the staff statement, the product’s documents or applicable law.
The SEC’s Office of the Advocate for Small Business Capital Formation notes that a digital security can have economic and voting rights that differ from those of conventionally issued stock. That is why the rights schedule matters more than the visual similarity of two tokens or tickers.
Why the Federal Reserve’s capital guidance is narrower
The Federal Reserve’s banking-capital FAQ addresses “eligible tokenized securities” that confer legal rights identical to the non-tokenized form. For those qualifying instruments, the technology used to issue or transact generally does not change capital treatment. This is a banking-capital rule, not a finding that every product marketed as a stock token has identical rights or qualifies as an eligible tokenized security.
For an individual investor, the relevant lesson is limited but important: legal equivalence can matter more than the technology. A blockchain record alone does not establish equivalence.
A practical document-checking workflow
Use this sequence before treating any token as a substitute for owning shares:
- Start with the issuer: Record the legal entity issuing the token and search the terms for the referenced company’s role, if any.
- Classify the claim: Mark the document’s description as direct tokenized security, indirect entitlement or linked instrument. If the language is unclear, treat that uncertainty as a material risk.
- Map the rights: Create a checklist for voting, dividends, corporate actions, information, redemption and transfer restrictions. Find the exact clause for each item.
- Trace the assets: If shares are held in custody, identify the custodian, segregation language, reconciliation method and access to records.
- Model failure: Read default, insolvency, suspension and termination sections for the issuer, custodian and platform. Note whether your remedy is delivery, cash or an unsecured claim.
- Check eligibility and access: Confirm geographic restrictions, investor-status requirements, registration status and where secondary trading is permitted.
- Save current versions: Keep the offering terms, risk disclosure and custody documents that applied when you acquired the token. Terms can change, and a ticker or app screen is not a complete legal record.
Common mistakes to avoid
- Assuming “tokenized stock” always means direct ownership of ordinary shares.
- Assuming “backed” guarantees one-for-one reserves, delivery of shares or protection in bankruptcy.
- Inferring voting or dividend rights from a stock ticker, token name or price chart.
- Treating an on-chain balance as proof that the issuer’s shareholder register records your name.
- Assuming a product available outside the United States has the same legal treatment or investor access in the United States.
- Relying on a general explanation instead of reading the current offering, custody and redemption documents for the specific token.
Bottom line for U.S. investors
Tokenized stocks and stock-backed crypto tokens overlap in everyday language but are not interchangeable legal categories. One product may give rights attached to a tokenized share class; another may give an indirect claim through a custodian; a third may only promise a return linked to a stock. The decisive questions are who issued it, what legal interest it represents, which rights are written into the terms, where the underlying assets are held and what happens if an intermediary fails. Treat the label as a starting point, not proof of ownership or protection.
