Architecting Financial Logic for the Web: Building an IOLTA Three-Way Reconciliation Tool

An IOLTA three-way reconciliation tool should keep three balances distinct—the adjusted bank balance, the trust-account journal balance, and the combined client-ledger balance—then show exactly why they agree or where they do not. For a law firm, the goal is not merely to produce a green “balanced” status: it is to trace timing differences and corrections while preserving a reviewable record. The workflow below draws on official guidance from California, Arizona, and Iowa; requirements vary by jurisdiction, and these sources do not establish a nationwide compliance checklist.

What does a three-way trust-account reconciliation compare?

It compares three views of the same trust funds for the same period. The bank statement reflects activity processed by the financial institution; the trust-account journal records the firm’s account-level activity; and each client ledger records funds held for a particular client. The combined client-ledger balance should account for the full trust-account balance, including an applicable bank-charges or administrative ledger.

View What it represents What the tool should make visible
Adjusted bank balance The statement balance after accounting for outstanding checks, deposits in transit, and other legitimate timing items. Statement activity, outstanding items, and the adjustments that produce the adjusted balance.
Trust-account journal The firm’s account-level record of trust receipts and disbursements. Journal entries and any book-side corrections or statement activity that must be recorded.
Combined client-ledger balance The total of individual client balances and any applicable administrative or bank-charges ledger. Each ledger balance and the calculation used to arrive at the combined total.

Arizona’s attorney guidance warns that a reconciliation is not a proper three-way reconciliation if a category is missing or the totals do not match. A tool should therefore display all three balances as separate evidence, rather than collapse them into one figure.

How should the reconciliation calculation work?

Adjust the bank side for timing

Start with the ending balance on the bank statement, then account for outstanding transactions that have not yet cleared. A common presentation is: statement balance + deposits in transit − outstanding checks ± other documented timing items = adjusted bank balance. The application should show each item behind the adjustment; it should not hide a difference inside an unexplained balancing amount.

Update the books for statement activity

Compare the statement with the trust-account journal and client ledgers. Statement activity not yet recorded in the books—such as a bank charge—may require an entry. The classification matters: under the California Bar’s training guidance, a charge for a particular client belongs in that client’s ledger; otherwise it should be recorded in a bank-charges ledger. Do not assume that every charge may be allocated to a client.

California’s training guidance also distinguishes interest by account type: IOLTA interest is automatically removed and paid to the State Bar, while interest on a non-IOLTA account belongs to the client and should be recorded in the journal and appropriate client ledger. This is California-specific guidance, not a universal rule for every jurisdiction or account arrangement.

Require all three figures to agree

Once statement activity is recorded and timing items are identified, the adjusted bank balance, journal balance, and total of the client ledgers should agree. A difference is an investigation queue, not permission to post a plug entry. The California Bar’s December 2025 course transcript describes the final process step as identifying errors and adding correcting entries so the journal, client ledgers, and adjusted bank statement balances match.

What records and workflow should a web tool support?

A sound product flow follows the accounting evidence rather than starting with a single “reconcile” button. The California Bar’s handbook and training materials describe monthly reconciliation and a written record, and the transcript advises resolving inconsistencies between the journal and client ledgers before proceeding to bank reconciliation.

  1. Open a period and gather source records. Collect the bank statement and available transaction images or check copies, the trust-account journal, all individual client ledgers, and a bank-charges or administrative ledger where applicable. Keep the selected account and period visible.
  2. Compare the journal with client ledgers. Match receipts and disbursements entry by entry, check running balances, and total the individual ledger balances. Flag missing, duplicated, mistyped, or differently classified entries for review before moving on.
  3. Enter statement adjustments with their classification. Record applicable bank charges, interest, and other statement activity in the appropriate books. Link each correction to the affected journal or client ledger entry and preserve its reason.
  4. Reconcile to the bank statement. Mark cleared activity and list outstanding checks, deposits, and other timing items separately. Calculate the adjusted bank balance from visible components.
  5. Investigate each difference and correct its cause. Trace unmatched amounts to source activity, document the error, and make the necessary correcting entries. Do not let users force the reconciliation to balance with an unexplained adjustment.
  6. Save a reviewable period record. Retain the three figures, supporting details, outstanding-item list, corrections, preparer information, and review status in a durable record that can be examined later.

These steps are an accounting workflow, not a substitute for checking the rules that govern the firm’s jurisdiction and account. California permits a written reconciliation record in paper, Excel, accounting software, or another suitable format; its State Bar templates are optional.

How should the product represent the accounting evidence?

Keep source balances and adjustments separate

Model the bank statement balance, journal balance, and client-ledger total as distinct values. Store adjustments as identifiable items with a date, amount, category, status, and link to supporting activity where available. For example, an outstanding check should remain visible as an uncleared transaction, not be merged into the journal balance as if it had cleared.

Make exceptions actionable

Useful exception states include unmatched statement activity, a journal entry without a corresponding client-ledger entry, a client-ledger transaction missing from the journal, and an entry whose amount or classification differs. Present the amount and the records being compared so a reviewer can investigate without guessing what generated the warning.

Preserve corrections and review

When someone corrects a transaction, retain the original value, corrected value, reason, date, and responsible user in the reconciliation record. A reviewer should be able to see which items remain unresolved and which were corrected, without relying on an overwritten balance. These are product-design implications of the regulator guidance, not a technical specification issued by a bar or court.

Separate reconciliation from other trust-account duties

A balanced calculation does not by itself establish that the account was properly opened, transactions were authorized, clients received required communications, records were retained for the correct period, or supervision was adequate. Build the tool so it does not present a passing reconciliation as certification of every trust-account duty.

What jurisdiction-specific rules should the product account for?

The official materials cited here cover California, Arizona, and Iowa only; they are not a fifty-state compliance matrix. California guidance calls for monthly reconciliation and a written record for IOLTA and non-IOLTA client trust accounts. Iowa Judicial Branch guidance identifies its own monthly three-way reconciliation requirement under Iowa Court Rule 45.2(3)(a)(9). Do not turn either state’s rule into a nationwide claim. Requirements and terminology should be reviewed for each target jurisdiction.

California designated-licensee reporting dates

Separate from reconciliation arithmetic, the State Bar of California says designated-licensee information must be provided to the financial institution when opening a new client trust account effective January 1, 2026. Existing accounts were required to provide the information between January 1 and July 1, 2026; as of October 2026, that stated window has passed. The information must be updated within 30 days when the designated licensee becomes inactive, ineligible to practice, or leaves the firm. A California-focused onboarding flow should account for this adjacent account-administration obligation, while firms should confirm their own status and applicable guidance with the State Bar.

What should firms evaluate in a tool or process?

  • Three-way visibility: Can the user inspect the bank, journal, and client-ledger figures separately?
  • Timing-item handling: Are outstanding checks, deposits in transit, and other adjustments explicit and traceable?
  • Classification and correction trail: Can users identify unmatched or misclassified activity and document corrections without overwriting history?
  • Reviewable records: Can the process produce a durable written record showing the calculation and its supporting details?
  • Supervisory review: Can the responsible lawyer or reviewer examine the work and unresolved exceptions?
  • Jurisdiction awareness: Does the product distinguish configurable workflow requirements from legal conclusions and identify which state-specific guidance applies?

Paper, spreadsheets, accounting software, and other suitable formats can all support a written reconciliation record under California’s guidance. The format alone does not demonstrate that the three balances were correctly reconciled, and the sources cited here do not verify any named commercial product’s features or legal coverage.

Which official guidance informs this workflow?

  • State Bar of California, Handbook on Client Trust Accounting for California Attorneys (official handbook, 2026 edition).
  • State Bar of California, Client Trust Accounting Rules and Regulations — Course Transcript (December 2025).
  • State Bar of California, Client Trust Accounting Resources and Training.
  • State Bar of Arizona, Trust Accounts.
  • Iowa Judicial Branch, Trust Accounts.
  • State Bar of California, Client Trust Account Guidelines for Attorneys.

The materials establish the core workflow and examples of acceptable record formats, not a complete state-by-state legal analysis. Confirm current rules, forms, and retention requirements with the regulator and court rules that apply to the firm.
