That makes a listing an active possibility, not a guaranteed near-term debut: the company has not disclosed a final exchange date, offer price or completed public prospectus.
The filing also explains why an IPO would not necessarily turn Anthropic into a conventional, shareholder-directed company. Its seven co-founders are proposing a structure that would preserve mission control while still allowing the company to raise public capital and give existing investors a route to liquidity.

What changed, and how soon could Anthropic list?
Anthropic’s public position changed sharply in less than a year. On December 5, 2025, chief communications officer Sasha de Marigny said, “Right now, we’re keeping our options open. There are no immediate plans to go public.” (Axios, December 5, 2025.) Reuters reported in June 2026 that the company had confidentially filed for a U.S. IPO.

Reuters reported in September that Anthropic could postpone the IPO until after the November 2026 U.S. midterm elections.

| Milestone | What it establishes |
|---|---|
| December 5, 2025 | Anthropic said there were no immediate plans to go public. |
| June 2026 | Reuters reported a confidential U.S. IPO filing. |
| September 2026 | Reuters reported that the offering could be delayed until after the November 2026 midterm elections. |
As of October 16, 2026, those reports do not establish a listing date, valuation, offer price or final public voting terms. “Could IPO any time now” is therefore best understood as “the process is underway and a debut is plausible,” not as a confirmed launch announcement.
Why the founders are not simply rejecting an IPO
The proposed arrangement is designed to combine public financing with durable founder influence. Reuters described a “Founder LLC” containing Anthropic’s seven co-founders, led by chief executive Dario Amodei and including President Daniela Amodei. Anthropic’s filing says the founders are “distinctly equipped to be stewards of our mission.”

The Founder LLC would direct a Class F share carrying 50.1% of total voting power over key corporate matters. That is control through governance rather than an attempt to keep all ownership private. Public investors could still buy shares, but the founders would retain the decisive vote on matters covered by the Class F arrangement.
Anthropic would remain a Delaware Public Benefit Corporation. That legal form allows its leaders to weigh investor interests alongside the interests of humanity, rather than treating near-term shareholder returns as the company’s only obligation. The filing warns that decisions made under this mission may conflict with short-, medium- or long-term financial interests and business performance, potentially reducing the value of Class A common stock.

How AI-safety choices can conflict with public-market pressure
Anthropic says frontier capability and safety reinforce each other, but its filing gives a concrete example of a choice that may frustrate investors seeking maximum commercial expansion. The company says it has chosen not to develop some commercially attractive offerings, including image and video generation models, so it can direct computing resources toward research and safety priorities.
That decision shows the practical trade-off an IPO would create. A public listing could supply capital, employee liquidity and a broader investor base. At the same time, Anthropic could choose to delay products, restrict model access or spend heavily on safety work even when those actions reduce near-term revenue or increase costs. The Class F voting structure would make it harder for ordinary shareholders to force a different mission decision, although financial performance and the market price of Class A shares would still create pressure.

What investors should examine if the filing becomes public
Private-company revenue claims are unusually difficult to compare in fast-moving frontier AI. Axios reported that investors hear revenue and annual recurring revenue figures that can be “inherently arbitrary and capricious,” while ARR alone does not show costs or expenses. A public prospectus should provide audited GAAP revenue and expense figures, but those disclosures will not remove uncertainty about model demand, usage volatility or future computing needs.

|---|---|
| Growth quality | What are reported revenues, customer concentration and retention, rather than only annualized snapshots? |
| Cash economics | How large are computing, cloud and infrastructure commitments, operating losses and additional financing needs? |
| Governance | How do one-share/one-vote rights compare with the founders’ Class F control and the role of the Long-Term Benefit Trust? |
| Mission constraints | How does the Public Benefit Corporation structure affect product launches, model releases and safety decisions? |
| Disclosure quality | Are the figures audited GAAP results, or loosely defined private-market ARR estimates? |
The distinction matters because a spectacular ARR number can conceal high inference costs, cloud commitments, sales concentration or continuing losses. Investors should wait for the formal financial statements rather than treating private estimates as equivalent to public-company revenue.

Numbers that put the proposed IPO in context
| Figure | Meaning and date |
|---|---|
| $87.5 billion | Global funding raised through May 26, 2026, according to Dealogic data cited by Reuters; this is a sector-wide figure, not Anthropic’s proceeds. |
| Nearly $18 million | Dario Amodei’s reported 2025 compensation, according to Anthropic’s IPO filing as reported by Reuters. |
| 80% | Share of their personal Anthropic equity that the co-founders pledged to charitable causes, according to the filing as reported by Reuters. |
| 50.1% | Proposed voting power attached to the Class F share directed by the Founder LLC. |
The compensation and charitable-pledge figures would receive closer scrutiny in a public offering because investors would be able to examine the related disclosures, equity awards and governance documents directly.
What to watch next
- A public registration statement with audited financial statements and a detailed risk section.
- The final description of Class F voting rights, the Founder LLC and the Long-Term Benefit Trust.
- Whether Anthropic sets a timetable before or after the November 2026 U.S. midterm elections.
- Evidence of customer retention, concentration, computing costs and operating losses beyond private ARR claims.
- How the company explains product exclusions and other safety spending in financial terms.
Anthropic’s confidential filing makes an IPO credible, but the proposed founder-control and public-benefit structure means the central question is not only when the shares might trade. It is whether public investors accept a company that can deliberately subordinate some commercial opportunities to its safety mission while the founders retain decisive voting power.
