If a commercial real estate development loan is approaching maturity and a conventional refinance is not available, you still have several possible paths: negotiate an extension or restructuring with the current lender, obtain additional credit, move from construction debt to bridge financing, contribute new equity, sell the project, or discuss a negotiated resolution such as a deed in lieu. None is automatic. The lender must approve any change, and your executed loan documents, project facts, guaranties, property jurisdiction, and applicable law control the result.
Start before the maturity date with a written repayment plan supported by current construction costs, leasing or sales evidence, operating projections, sponsor liquidity, guarantor capacity, collateral information, and a credible payoff source. The following options are U.S.-focused and reflect regulator guidance rather than a promise that any lender will offer a particular solution.

What to do first when maturity is approaching
Contact the existing lender as soon as a refinance appears uncertain. Waiting until the maturity date removes negotiating time and can turn a solvable timing problem into a payment default. Ask for the lender’s process, required underwriting materials, decision timetable, and any conditions it would consider for an extension, renewal, restructuring, additional advance, bridge conversion, sale, or other workout.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesPrepare one integrated model rather than separate optimistic scenarios. It should show the remaining construction schedule and costs, contingency, lease-up or sales assumptions, operating cash flow, debt service, reserve balances, projected value, sponsor contributions, guarantor resources, and the exact source and date of repayment. Regulators emphasize borrower financial strength and project prospects; a loan that appears current only because interest is paid from a reserve can still have an uncertain principal repayment.

| Extend or renew with the current lender | The project is viable but needs more time to finish, lease, sell, or stabilize. | What extension tests, fees, reserves, equity, guarantees, covenants, reporting, and payoff source will be required? The period should match realistic construction and absorption timing. |
| Restructure existing debt | Current payments or maturity do not fit a reasonable repayment plan. | Could amortization, payment timing, collateral, guarantees, or reporting be changed without creating an unsustainable plan? |
| Request additional credit | More money can complete the asset or materially improve repayment prospects. | What remains to be spent, who funds overruns, how are liens prioritized, and what documented exit supports the new advance? |
| Convert construction debt to bridge financing | Construction is complete or nearly complete, but lease-up, sales, or operating stabilization remains. | Is completion verified? Are bridge term, reserves, takeout plan, and extension options aligned with projected absorption? |
| Add an equity partner or joint venture | The project needs sponsor capital or a stronger funding plan. | Negotiate contribution timing, preferred return, distributions, governance, dilution, control, guarantees, and lender consent. |
| Sell the property or project | A sale is more credible than refinancing or holding. | Calculate net proceeds and timing, address transfer restrictions, and obtain any required lender consent. A buyer’s loan assumption is not assured. |
| Foreclosure or deed-in-lieu discussions | No credible repayment, capital, sale, or restructuring plan is available. | Evaluate title, guaranty, tax, deficiency, release, and legal consequences with deal-specific counsel. |
1. Extend or renew the current loan
An extension or renewal is often the most direct response when the project is fundamentally sound but the original maturity was too short for construction, leasing, sales, or stabilization. Interagency workout policy and public guidance from the Office of the Comptroller of the Currency recognize renewing or extending loan terms as a possible prudent workout. That recognition describes a lender option, not a borrower entitlement.
What to propose
- A specific new maturity date tied to the remaining construction, lease-up, sales, or absorption schedule.
- A month-by-month sources-and-uses forecast showing required interest, operating costs, tenant improvements, commissions, and contingency.
- Milestones such as certificate of occupancy, leasing percentages, executed sales contracts, minimum debt-service coverage, or required equity funding.
- A defined payoff source: sale proceeds, stabilized-property financing, operating cash flow, or committed investor capital.
Conditions that commonly matter
Expect the lender to examine extension fees, interest-rate changes, reserve requirements, updated guarantees, additional equity, reporting, covenants, inspections, and appraisal or valuation updates. An extension that merely moves the maturity date without fixing the repayment source can postpone rather than solve the problem. The OCC’s construction guidance says extension options should align with expected construction time and projected absorption, so an unsupported request for several extra years is weaker than a schedule linked to observable milestones.
2. Restructure the existing debt
A restructuring changes the debt’s payment or risk profile when the original terms no longer fit the borrower’s reasonable repayment ability. The interagency policy recognizes restructuring with or without concessions. Possible changes include a revised amortization schedule, temporary payment deferral, interest-only period, capitalization of permitted amounts, reserve arrangements, modified covenants, or revised collateral and guaranty terms.
Test whether the revised plan is sustainable
Model the payment after every temporary concession ends. Include realistic rents, vacancy, operating expenses, taxes, insurance, replacement reserves, sales costs, and interest-rate assumptions. A lower payment is not a solution if the balance still cannot be repaid at the revised maturity. Identify exactly which party bears construction, leasing, valuation, and market risks under the modified documents.
Document changes precisely
Require counsel to review the amendment, restated note, intercreditor terms, guaranty language, cash-management provisions, reserve controls, reporting obligations, and any release or waiver. Oral assurances do not change a maturity date or cure a default. Ask the lender to state whether concessions are contingent on new equity, collateral, or performance tests.

3. Request additional credit
Additional credit can be appropriate when a documented advance will finish construction, correct a specific shortfall, or improve the project’s prospects for repayment. OCC problem-loan guidance lists additional credit as a possible workout form, but a regulator’s recognition of that option is not a commitment to lend more money.
Build an advance case the lender can underwrite
- Update the construction budget with committed contracts, unpaid invoices, retainage, contingency, and an independent estimate of remaining costs.
- Explain why the requested amount is sufficient; repeated small advances without a completion plan undermine credibility.
- Show sponsor cash already invested and the additional contribution being offered.
- Address mechanic’s liens, title, lien priority, intercreditor rights, and whether new money receives different protections.
- Connect each advance to a measurable milestone and a credible sale, takeout, or operating repayment source.
If the project is over budget because assumptions failed, the lender may require new equity before advancing more debt. Debt that increases the eventual payoff without improving value or cash flow can make the maturity problem worse.
4. Transition construction financing to bridge financing
When construction is complete or substantially complete but the property has not stabilized, ask whether the lender can convert or refinance the construction facility into bridge financing. The OCC Comptroller’s Handbook recognizes construction-to-bridge structures during stabilization. This is different from assuming that a bridge loan will be available: the bank still evaluates completion, leasing or sales evidence, collateral, sponsor strength, reserves, and the takeout plan.
Evidence the lender will need
- Completion status, certificates, inspections, punch-list costs, and unresolved contractor claims.
- Executed leases, tenant openings, sales contracts, deposits, renewal assumptions, and realistic absorption pace.
- Current operating statements and a stabilized forecast, including concessions and tenant-improvement costs.
- Bridge term, extension mechanics, interest reserve, operating reserves, covenants, and the expected permanent-financing or sale date.
The bridge period should reflect the time actually needed for construction completion and projected absorption. A short bridge that matures before lease-up can recreate the same problem; an overly long term may cost more and face greater underwriting resistance.
5. Add project equity, an equity partner, or a joint venture
New equity can fund completion, cover a required sponsor contribution, reduce leverage, or demonstrate commitment to the lender. The Federal Reserve’s February 2026 examination manual notes that larger projects may obtain equity through equity partners or joint ventures and that a bank assesses the likelihood of raising the needed amount.

Terms to negotiate
- Amount, funding dates, permitted uses, and whether capital is common equity, preferred equity, or another instrument.
- Preferred return, return of capital, distribution waterfall, promote, and treatment of additional capital calls.
- Governance, voting rights, major-decision consent, deadlock procedures, replacement rights, and transfer restrictions.
- Dilution, sponsor fees, development fees, completion obligations, indemnities, and personal guarantees.
- Lender consent, intercreditor arrangements, pledge restrictions, and reporting access.
Equity improves the capital stack only if the investor’s money is committed and sufficient. A nonbinding expression of interest should not be presented as available capital. Bringing in a partner also changes control and economics; compare those costs with the value of preserving the project and avoiding a distressed sale.
6. Sell the property or project
A sale can be the best repayment route when a buyer can close more reliably than a new lender can refinance, or when continued ownership would require unaffordable capital. Analyze net proceeds rather than headline price: subtract the loan payoff, accrued interest, closing costs, commissions, taxes, required repairs, tenant obligations, and any other liens.
Loan assumption is not automatic
The buyer’s ability to take over the existing loan depends on the note, mortgage, guaranties, and applicable law. A contractual due-on-sale clause may allow the lender to require payoff when ownership transfers. Federal statutory frameworks encourage, but do not universally require, permitting certain assumptions. Commercial loans should therefore not be described as freely assumable. Obtain written lender consent before relying on an assumption structure.
Compare sale timing with maturity
Allow time for buyer diligence, environmental and title work, lender review, transfer documents, and closing conditions. If closing will occur after maturity, negotiate an interim extension rather than assuming the lender will tolerate an unresolved maturity. A discounted price that closes promptly may produce a better recovery than a higher asking price that cannot close before enforcement costs escalate.
7. Discuss foreclosure or a deed in lieu only when other plans fail
If the borrower cannot produce a credible repayment, capital, sale, or restructuring plan, the parties may discuss foreclosure or a deed in lieu of foreclosure. OCC guidance lists foreclosure among possible outcomes in some problem-loan situations, with the institution choosing the alternative that manages risk and seeks recovery.

These are not interchangeable shortcuts. A deed in lieu may require clear title, releases, environmental representations, and negotiated treatment of guaranties or deficiencies. Foreclosure procedures, redemption rights, deficiency rules, tax effects, and lender liability vary by jurisdiction. Obtain advice from counsel who can review the specific documents and property state before signing an acknowledgment, deed, release, or surrender agreement.

Use a side-by-side model with the same assumptions for every path. Regulators’ focus on borrower condition, project prospects, equity, repayment, and timing provides a practical framework.
| Decision axis | Questions to answer |
|---|---|
| Time versus project schedule | How many months are realistically needed for construction, lease-up, sales, or absorption? Does the proposed maturity include contingency? |
| Cash required | How much sponsor cash or new investor equity is needed now, and who funds overruns? |
| Total debt burden | What are the interest, fees, reserves, amortization, and final payoff under each option? |
| Repayment source | Is repayment based on contracted sales, signed leases, operating cash flow, a committed takeout, or only a hoped-for valuation? |
| Downside resilience | What happens if rents, prices, absorption, construction costs, or interest rates move against the plan? |
| Ownership and guarantees | Will control, distributions, dilution, completion obligations, or personal guarantees change? |
| Consents and priority | Are lender, investor, mezzanine, title, intercreditor, transfer, or lien-priority approvals required? |
| Execution risk and cost | How long will documentation, diligence, approvals, and closing take, and what professional or transaction costs apply? |
Rank each option by probability of closing, not just theoretical proceeds. A plan requiring an uncommitted equity investor and an aggressive sale price should score below a less attractive plan with documented funding and a realistic timeline.

Common mistakes and how to avoid them
Waiting for a refinance that is unlikely
Monitor lender feedback, valuation, rates, debt-service coverage, and project performance. If underwriting obstacles persist, activate extension, equity, sale, and bridge discussions in parallel rather than waiting for a single application to fail.
Showing interest reserves as repayment ability
Separate funded interest from operating cash flow and principal repayment. Explain when reserves end and what pays the balance afterward.
Overpromising completion or absorption
Use contractor schedules, signed leases, executed contracts, and documented market evidence. Add contingency for weather, permitting, supply, tenant work, and sale closings.

Assuming lender cooperation
A lender is not generally required to extend, modify, advance new funds, or permit a loan assumption. Present options as requests subject to credit approval and documents.
Ignoring control and guaranty consequences
New equity, a restructuring, or a sale can alter voting rights, distributions, recourse, collateral, and release conditions. Review those effects before accepting headline economics.
A practical sequence for the next 90 days
- Immediately: confirm the contractual maturity, notice periods, reserves, reporting duties, defaults, transfer restrictions, and due-on-sale language.
- Within the first two weeks: update construction, leasing or sales, operating, valuation, sponsor-liquidity, and guarantor information.
- Weeks two through four: deliver a written lender proposal with an extension, restructuring, additional-credit, bridge, equity, and sale fallback where appropriate.
- During lender review: obtain investor indications, broker or buyer feedback, contractor updates, and counsel’s analysis of amendment, transfer, lien, and guaranty issues.
- Before maturity: secure signed documents, committed funds, or a closing timetable. If no viable plan exists, obtain legal advice on enforcement, deed-in-lieu, and liability exposure rather than allowing an unplanned default.
Legal and geographic limits
The regulator materials underlying these options are U.S.-focused and principally qualitative. The statutory due-on-sale discussion cited in those materials comes from the 2022 U.S. Code edition; current codification and applicability should be confirmed before relying on a legal conclusion. State foreclosure, deficiency, tax, usury, licensing, environmental, and transfer rules can change the outcome. Your executed note, mortgage, guaranties, partnership or joint-venture agreement, and any intercreditor agreement control over general descriptions of these alternatives.
The practical objective is a documented path that maximizes the project’s chance of completion or orderly repayment while limiting avoidable loss. Compare the options using realistic timing, committed capital, total debt, consents, control, and a credible exit; then obtain lender and legal approval before acting.
