Akari Therapeutics’ reported September 29, 2026 amendment raises CEO Abizer Gaslightwala’s annual base salary from $475,000 to $625,000, increases his target bonus from 50% to 55% of base salary, and provides for restricted stock units (RSUs) and 174,000 options on American Depositary Shares (ADSs). The two equity awards are contingent on shareholders approving an increase in the ADS capacity of the company’s 2023 Equity Incentive Plan.
What changed in the CEO’s compensation
Investing.com reported on October 1, 2026, that Akari amended Gaslightwala’s agreement on September 29. The salary change is effective August 18, 2026—earlier than the amendment date. The report attributes the terms to an SEC filing; it does not provide a direct quotation from the CEO or the company. Investing.com’s report

The report characterizes target base salary plus target bonus as approximately $970,000. That is a target compensation figure, not a guarantee of bonus payment: the report does not establish the actual bonus payout or its performance conditions.
How the cash and equity components differ
Base salary and target bonus
The annual base salary rose by $150,000. Separately, the target bonus rate rose by five percentage points. A target bonus is distinct from guaranteed base pay; the reported percentage alone does not establish what Gaslightwala will ultimately receive.

Salary delivered as RSUs
For the 12-month period beginning August 18, 2026, $62,500 of base salary—10% of the revised annual salary—is designated for payment in RSUs rather than cash. The report says these RSUs were granted on September 29 and are scheduled to vest in four equal quarterly installments on November 18, 2026; February 18, 2027; May 18, 2027; and August 18, 2027.
Separate option award
The option grant is a separate award from the RSUs: 174,000 options on ADSs under the 2023 plan, dated as of August 18, 2026. The options are scheduled to vest in equal monthly installments over four years, with vesting deemed to have begun March 18, 2026. The reported terms do not give an equivalent cash substitute if the option award cannot proceed.

Shareholder approval is the key condition on both awards
According to the October 1 report, both RSU vesting and the option grant depend on shareholders approving a plan amendment that increases the number of ADSs reserved for issuance under Akari’s 2023 Equity Incentive Plan. The report describes different consequences for the two awards if approval is not obtained:

The reported salary increase and target bonus change are separate from this equity-capacity condition; the approval contingency specifically concerns the RSUs and options.

Context from Akari’s proxy statement
Akari’s June 2026 proxy statement says the company uses equity awards to reward contributions to long-term success and encourage future performance, and that vesting is intended to support executive retention. It describes initial stock-option awards for employee named executive officers, with annual awards thereafter in options, RSUs, or a combination. Akari Therapeutics’ 2026 proxy statement
The proxy also reports that Gaslightwala received a 2025 option award covering 2.2 billion ordinary shares, with 25% scheduled to vest on March 20, 2026, and the remainder monthly over the following 36 months. That prior award is denominated in ordinary shares; it is not the new 174,000-option ADS grant described in the amendment.
