AI startups usually carry more financing, disclosure, execution and liquidity risk than established technology companies, but “startup” and “big tech” are not risk ratings. A private company can grow rapidly yet fail to reach its next funding round; a profitable public company can still be overpriced, disrupted, hacked or weakened by regulation. Compare the specific security, business economics, valuation and portfolio role—not the AI label or company age. The framework below is educational, not a personalized investment recommendation.
Start with the risk you are actually taking
“AI startup” can mean a pre-revenue private company, a venture-backed firm with paying customers, or a later-stage business preparing for an initial public offering. “Established technology company” can mean a diversified public platform, a profitable specialist or a heavily indebted hardware supplier. Those categories contain very different securities and outcomes.

Separate four questions before comparing them:
- Business risk: Can the company attract customers, deliver its product and earn acceptable margins?
- Financial risk: Can it fund operations and investment without destructive dilution or excessive debt?
- Market risk: Does the price already assume unusually strong growth, margins or an eventual exit?
- Portfolio risk: What happens to your broader plan if the position falls sharply, becomes untradeable or takes years to realize?
A public listing improves access to information and normally makes trading easier; it does not remove the possibility of a permanent loss. Private ownership may offer earlier exposure to growth, but the investor may have less information, fewer rights and no reliable sale date.

At-a-glance comparison
| Risk axis | AI startup diligence | Established technology company diligence |
|---|---|---|
| Revenue and earnings | Is revenue recurring, diversified and supported by paying customers? How much is still a forecast? | How much growth is demonstrated, and how durable are margins, free cash flow and customer retention? |
| Financing | How many months of runway remain, what milestones must the next round achieve, and what dilution or liquidation terms could follow? | Can growth be funded internally, or are debt, acquisitions and infrastructure commitments increasing financial risk? |
| Valuation | What adoption, growth and exit assumptions are embedded in the latest financing price? | How does the share price compare with earnings, cash generation and realistic growth scenarios? |
| Competition | Does the company have defensible technology, data, distribution or customer relationships that incumbents cannot easily copy? | Are existing products protected by durable advantages, and are new competitors changing customer economics? |
| Technology and execution | Can the team retain talent, control inference and infrastructure costs, deliver reliably and adapt when models change? | Can the company keep products relevant through rapid technology cycles and add AI without damaging established businesses? |
| Regulation, data and security | Which laws, customer requirements, data rights and security obligations could block sales or increase costs? | What material regulatory, privacy, cyber, litigation and intellectual-property exposures appear in filings? |
| Liquidity and exit | Is there a realistic IPO, acquisition, tender-offer or secondary-sale path, on what timeline and under what transfer restrictions? | How liquid is the security in normal and stressed markets, and how volatile has it been? |
| Portfolio fit | Would a total loss or delayed exit impair your plan? Is exposure concentrated in one startup, fund or financing round? | Does the position duplicate existing technology-sector or AI exposure? |
This is a diligence map, not a scoring formula. Company-specific answers require current financial statements, offering documents, share terms, valuation and an investor’s objectives and liquidity needs.

Step 1: Identify the security and your rights
Private startup interests
Determine whether you are buying common shares, preferred shares, a SAFE, a convertible note, a fund interest or another instrument. Preferred shares may have liquidation preferences, participation rights, vetoes and anti-dilution provisions that materially change outcomes. A headline valuation does not tell you how proceeds would be divided among share classes after debt, preferences and future rounds.
Read the offering memorandum, capitalization table, shareholder agreement and any side letter. Confirm transfer restrictions, lockups, information rights, voting rights, fees, conflicts and the circumstances in which the issuer can repurchase or cancel interests. Ask whether the stated valuation is the price of a recent financing, an internal estimate or a secondary transaction; these are not interchangeable.
Public-company shares
For a listed company, identify the exact share class, exchange, country of incorporation and reporting regime. Read the latest annual and quarterly filings, material-event reports, earnings releases and debt documents. Public disclosure is recurring, but it can still be incomplete, delayed or difficult to interpret. Check dilution from options, restricted stock, convertibles and acquisitions rather than relying only on basic shares outstanding.

Revenue quality
For a startup, separate contracted recurring revenue from pilots, usage that has not yet converted to paid contracts, one-time services and management projections. Examine customer concentration, renewal rates, implementation time, contract length, cancellations and payment terms. A large logo is not proof of a profitable relationship.
For an established company, examine organic growth separately from acquisitions, currency effects and price increases. Track segment margins, deferred revenue, backlog, free-cash-flow conversion and the share of sales dependent on a small number of customers or distribution partners. Strong historical earnings do not guarantee that the next product cycle will preserve them.
Unit economics and AI-specific costs
Ask what it costs to serve one customer or request at the volume management expects. Include model-inference charges, specialized chips, cloud capacity, data licensing, human review, storage, security and customer support. Gross margin can deteriorate quickly if usage grows faster than pricing or if a supplier changes terms.
Use consistent definitions. A useful startup check is runway = unrestricted cash / average monthly net burn, but the average should be tested against a downside case rather than a single favorable month. For a public company, reconcile adjusted metrics with audited figures and identify which costs management excludes.

Step 3: Examine financing, dilution and capital intensity
Startup runway and future rounds
Ask how much unrestricted cash remains, the monthly burn rate, committed but unpaid expenses and the milestones required for the next financing. A company may have a high paper valuation and still face a cash shortage. Model a delayed round, a down round and a bridge loan. In each case, estimate how ownership, liquidation preferences and control would change.
Do not treat venture funding as revenue. Capital can finance research and customer acquisition, but it also creates expectations about growth and exit value. If the business needs repeated large rounds to fund inference or infrastructure, future investors may capture much of the upside or impose terms that subordinate earlier holders.
Established-company capital commitments
Scale can allow a company to fund projects from operating cash, yet AI infrastructure may require substantial equipment, data-center leases, energy contracts and research spending. Review capital-expenditure guidance, depreciation, purchase commitments, debt maturities, stock-based compensation and acquisition obligations. A strong cash balance is less reassuring when management has made large non-cancellable commitments or when returns depend on continually expanding capacity.
Step 4: Value the business and the security separately
A good company can be a poor investment at an excessive price; a troubled company can be a speculative bargain only if the price compensates for its risks. For private investments, ask what revenue growth, gross margin, customer adoption and exit multiple are embedded in the latest financing price. Because private marks can be stale and transactions infrequent, stress the valuation rather than treating it as a continuously observed market price.
For public shares, compare enterprise value and market capitalization with revenue, operating income, free cash flow and realistic growth ranges. Test what happens if growth slows, margins normalize, interest rates rise or a major product is delayed. Avoid using a single multiple as a verdict. The relevant question is whether expected cash flows justify the price after considering the probability and timing of adverse outcomes.
Step 5: Investigate competitive and technology risk
What could make a startup obsolete?
Map the startup’s dependency chain: foundation-model providers, cloud or chip suppliers, data licensors, app stores, distributors and a few key employees. Determine whether the company owns proprietary technology or data, has enforceable rights, and can switch suppliers. If a larger platform can copy the feature and bundle it at a lower price, the startup’s apparent differentiation may be temporary.
Check technical performance under real customer conditions, not only benchmark results. Reliability, latency, hallucination controls, explainability and integration effort affect retention. Ask how quickly the product can adopt a new model and whether migrating would erase the company’s margins or customer relationships.

What could weaken an established company?
Large incumbents face technology-cycle risk in a different form. A profitable legacy product can subsidize a new AI offering, but it can also make management slow to change or reluctant to cannibalize existing revenue. Review research-and-development allocation, product release cadence, customer migration, pricing changes and whether AI features are increasing retention or merely adding costs.

Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Scale does not guarantee a moat. Customers may multi-home across providers, open standards may reduce switching costs, and a cheaper model may reset pricing across an entire category. Conversely, distribution, proprietary data, compliance capabilities and embedded workflows can make an incumbent resilient even when individual models commoditize.
Step 6: Assess regulation, data rights and cybersecurity
Both private and public AI businesses can be harmed by privacy rules, sector-specific requirements, copyright and intellectual-property disputes, export controls, procurement standards and changes in liability. Identify which jurisdictions matter to customers and where data is collected, processed and stored. Confirm whether the company can demonstrate consent, provenance, retention controls and deletion procedures for training and customer data.
Security is an operating and valuation issue, not only a technical one. Look for access controls, incident response, vulnerability management, third-party audits and contractual liability. The SEC staff’s cybersecurity disclosure guidance says registrants should discuss cybersecurity risks or incidents in management’s discussion when known incidents or reasonably likely risks could materially affect results, liquidity or financial condition; theft of material intellectual property is one example. Private companies may disclose less, so request equivalent evidence directly.
A fund prospectus filed with the SEC describes AI and big-data businesses as exposed to intense competition, rapid product obsolescence, dependence on intellectual-property rights, substantial research and development spending, cyberattacks and possible regulatory scrutiny. These are disclosed risk factors, not proof that every company will suffer a loss.

Step 7: Treat liquidity and exit timing as core risks
Private holdings
Private interests may be impossible to sell when you need cash. A secondary transaction can require issuer consent, may be restricted by the shareholder agreement and may clear at a substantial discount. An IPO or acquisition is not a schedule; it can be postponed, fail or produce proceeds that favor senior securities. Lockups after an IPO can extend the wait.
Ask what percentage of your assets could be tied up, how long you could tolerate no distributions and what documentation proves the transfer process. A projected exit value years in the future should be discounted for delay, dilution, failure probability and the possibility that no market develops.

Public holdings
Exchange trading normally provides an exit, but liquidity can deteriorate during market stress. Examine average volume, bid-ask spreads, ownership concentration, short interest and historical drawdowns. A liquid share can still gap down after an earnings miss, cyber incident, regulatory action or change in technology expectations. Do not confuse the ability to click “sell” with the ability to receive a stable price.
Step 8: Put concentration and diversification in context
A single startup can fail for company-specific reasons; a fund can spread that risk while retaining exposure to the same financing cycle, geography or technology theme. A portfolio of established technology companies may look diversified by ticker yet remain concentrated in cloud spending, advertising, semiconductors or one group of customers. List exposures by economic driver, not only by company name.

Venture concentration in 2025
The OECD’s 2026 report, using Preqin data for 2025, says the five largest AI venture “mega deals” raised nearly USD 63 billion, about one quarter of total AI venture-capital investment. Deals above USD 100 million represented around 73% of reported AI venture investment value, while deals above USD 1 billion made up almost half. The report notes that deal-value coverage and methodology affect these calculations.
The same OECD comparison says that in 2025 more than half of all venture investment in the United States, the United Kingdom, Israel and Canada went to AI firms. It attributes about 75% of the reported AI venture deal value—USD 194 billion—to the United States. These estimates depend on the report’s AI classification and underlying deal data. Large funding totals show where capital is flowing; they do not establish that each funded company will succeed or that current prices are attractive.
Public-company earnings versus startup assumptions
In a November 21, 2025 speech, Federal Reserve Vice Chair Philip N. Jefferson said, “In contrast, the firms most closely identified with AI technologies in today’s market generally have well-established and growing earnings streams.” The statement describes public firms most closely identified with AI and should not be generalized to private startups or every technology company. Public earnings provide evidence, not immunity from valuation or business risk.
Jefferson also noted that dot-com firms’ share prices rose more than 200% from 1996 through 1999 and that more than 1,000 firms were publicly listed as dot-com companies at the late-1990s peak, compared with about 50 publicly traded AI-focused firms under one measure at the time of his speech. The comparison is historical context, not a forecast that today’s AI market will repeat that episode.
Best Value
Capital-cycle risk
A Federal Reserve note published July 6, 2026 said the AI-driven acceleration of intellectual-property and equipment investment relative to GDP growth was comparable to that of the 1990s, although it started from a higher base. Its investment-share measure was about 0.8 percentage points above 2024 in 2026’s first quarter and just below the 2000 peak. Aggregate investment data cannot predict an individual company’s return.
The note states: “As implied by the model, in order to drive a sustained investment boom, the technology advancement has to be sufficiently large—enough to repeatedly beat investor expectations, and the same criterion applies to AI.” Investors can rationally fund a genuine technological advance and still earn disappointing returns if productivity gains or future earnings fail to exceed increasingly optimistic expectations.
Long-run assumptions are not outcomes
J.P. Morgan Asset Management’s page, with data as of September 30, 2026, lists long-run expected returns of 10.2% for private equity and 8.5% for venture capital and says venture capital has the highest volatility among the assets it compares. These are the firm’s capital-market assumptions, not realized returns, a forecast for any individual investment or an independently established result. Private investment commentary also emphasizes illiquidity, lower transparency and high failure risk in fast-moving AI markets.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsNo reviewed source provides a universal failure-rate statistic that is directly comparable between AI startups and established public technology companies. Funding totals, a few prominent failures or a historical analogy cannot supply that missing number.
A practical diligence sequence
- Write the investment thesis in one paragraph. State the customer problem, expected economic advantage, time horizon, exit or cash-flow mechanism and the fact that would disprove the thesis.
- Collect primary documents. For a startup, obtain the cap table, financing terms, financial statements, runway calculation, customer metrics, intellectual-property assignments and security materials. For a public company, read the latest annual and quarterly filings, material-event reports, earnings materials and debt disclosures.
- Rebuild the economics. Reconcile revenue to cash collections, separate recurring from one-time sales, calculate gross margin after AI-serving costs and test customer concentration.
- Model financing stress. Run a delayed funding round, lower valuation, higher compute cost and slower customer growth. Show dilution, preference waterfalls, debt service and the cash date under each case.
- Stress the valuation. Use conservative, base and optimistic growth and margin assumptions. For private assets, include a discount for illiquidity and uncertain marks; for public assets, include a market drawdown and multiple compression.
- Map dependencies. Identify model, cloud, chip, data, distribution and key-person dependencies. Ask what happens if each supplier raises prices, withdraws access or launches a competing product.
- Verify compliance and security. Request data-rights documentation, customer security requirements, incident history, audit reports and remediation plans. Match contractual promises to technical capabilities.
- Decide the portfolio limit before buying. Include correlated holdings and all private commitments. Set the maximum amount and holding period you can tolerate without relying on a favorable exit.
- Define monitoring triggers. Examples include runway falling below a predetermined threshold, renewal rates declining, gross margins compressing, a material cyber incident, a lost supplier, unexpected dilution or a valuation that depends on a new financing.
Common comparison mistakes
- Equating age with safety. A young company may have exceptional economics; an old company may face secular decline or an inflated price.
- Using funding as validation. A large round proves that investors supplied capital under particular terms, not that customers will generate durable profits.
- Ignoring security terms. Two investors in the same startup can have very different outcomes because of seniority, preferences, conversion rights and dilution.
- Counting pilots as durable demand. AI experimentation can produce impressive usage that disappears when a customer’s budget or security review changes.
- Comparing private marks with public prices as if they were equivalent. Private valuations update infrequently and can conceal volatility.
- Assuming diversification means immunity. Several companies may depend on the same cloud provider, chip cycle, regulation or enterprise budget.
- Projecting current growth indefinitely. Competition, capacity limits, pricing pressure and model substitution can reduce growth before a valuation thesis matures.
- Treating disclosure volume as truth. Public filings improve access to information, but investors still must evaluate definitions, estimates, omissions and incentives.
Bottom line for a real investment decision
AI startups generally require a higher tolerance for uncertain information, financing dependence, dilution, technology execution and delayed liquidity. Established technology companies generally provide more disclosure, operating history and trading access, but their shares can still lose value through excessive expectations, competition, rapid obsolescence, cybersecurity events, regulation or a reversal in the capital cycle.
Before committing money, separate operating performance from the price you are paying, test whether growth can cover capital and financing needs, read the security’s actual terms and decide whether the loss or holding period fits your circumstances. A startup’s growth potential does not guarantee a successful exit, and an established company’s scale does not guarantee an attractive share price or durable earnings.
