Start with the security you would actually own, then compare liquidity, information, business maturity, valuation, AI dependencies, legal terms and your ability to absorb a total loss. A private AI investment can be difficult or impossible to sell and may provide less ongoing information. Public shares are generally easier to trade and supported by required filings, but their prices can fall sharply and public status does not remove execution, competition, legal or technology risk.
This is a US-focused educational framework, not a recommendation or personalized investment advice. No unnamed startup or public issuer can be judged without current offering documents, filings, financial data and investor-specific facts.

Define what you are comparing before judging the risk
“Private AI startup” and “public AI company” describe issuers, not identical investments. A public common share, private preferred share, convertible note, SAFE-like instrument, fund interest and employee or secondary-market security can carry very different rights and risks. Write down the exact instrument, issuer, price, fees, ownership percentage, conversion terms, liquidation preferences, voting rights, information rights and transfer restrictions before comparing outcomes.
Also identify the jurisdiction, offering exemption, investor eligibility requirements and intended holding period. US securities offers generally must be registered with the Securities and Exchange Commission (SEC) or rely on an exemption. Rules 506(b), 506(c) and 504 under Regulation D have different conditions; the exemption affects who may invest, how the offering can be marketed and what information or resale limits may apply. The SEC’s exemption overview, dated June 21, 2024, explains those distinctions. Terms in the actual documents control.

Private startup and public company risks at a glance
| Risk axis | Private AI startup | Public AI company | Questions to answer |
|---|---|---|---|
| Liquidity and exit | Exempt-offering securities are often illiquid or restricted. You may need to hold indefinitely, and an IPO is not assured. | Exchange trading usually provides a market to sell, subject to price, volume, trading halts and market conditions. | Can you transfer the security now? Is there a documented secondary process? Does the investment still work if no IPO occurs? |
| Information | Information may be limited to an offering memorandum, investor updates and requested materials. Some figures may be unaudited or forward-looking. | Periodic and event-driven filings disclose financial condition, operations, management discussion, risks and material relationships. | What is current, audited and independently verified? Which claims are forecasts rather than results? |
| Business maturity | Product, market, pricing and operating model may still be unproven. Loss of the entire investment is possible. | There may be a longer disclosed operating record, but execution, competition and strategic failure remain possible. | What customer evidence, repeat usage, revenue quality and cash runway exist? |
| Valuation | A financing price is an infrequent negotiated estimate, not a continuously tested fair value or guaranteed exit price. | A quoted market price is observable and changes constantly, but it is not proof of intrinsic value or future return. | How do revenue, margins, cash generation, growth assumptions, dilution and comparable companies support the price? |
| AI-specific exposure | Verify that the product works, customers use it, required data and compute are available, and financing can support development. | AI claims and material AI risks should be described accurately and specifically in public disclosures; branding alone proves nothing. | What is actually deployed, what does it cost, and what legal, privacy, security, reliability or dependency risks follow? |
| Legal terms and governance | Security class, liquidation preference, conversion, voting, information rights, dilution and resale limits can materially change outcomes. | Review share classes, voting control, related-party arrangements, board structure and filed agreements. | What rights do you receive, and what can existing holders or management do that affects you? |
Liquidity is the structural difference
Private securities can leave you without an exit
SEC small-business guidance says securities sold in exempt offerings are often illiquid and restricted securities may not be freely traded. An SEC investor alert also warns that private placements can be difficult to sell, may require indefinite holding and can result in a total loss. A company may promise that an IPO, acquisition or secondary sale is possible, but possibility is not a contractual exit.
Ask for the exact transfer clause. It may require issuer consent, a right of first refusal, compliance with securities-law resale rules or a waiting period. Find out whether any secondary transaction has actually occurred, who arranges it, what fees apply and whether the company can block a transfer. Treat “we expect to go public” as a scenario to test, not a liquidity plan.
Public trading improves access, not certainty
Public-company shares generally trade through a market, which can make selling faster than selling a private security. You still face bid-ask spreads, low volume, trading halts, market closures, lockups for certain holders and the possibility that a sale occurs far below your purchase price. A quoted price is an execution opportunity under current conditions, not a promise that your capital will be preserved.

Use a no-IPO test
Model the private investment as though there will be no IPO, acquisition or organized secondary market. If you could not tolerate holding until the issuer fails, buys back the security or creates another uncertain exit, the investment does not meet your liquidity needs.
Information access changes the diligence burden
What public filings provide
Reporting companies must make periodic and event-driven disclosures. Read the latest annual and quarterly filings, current reports, financial statements, management discussion, risk factors, executive compensation, legal proceedings and material contracts. Separate audited historical results from management forecasts, investor presentations and promotional language. Public reporting brings disclosure and compliance costs, but it does not prevent accounting errors, adverse events, fraud or investment losses.
What private investors must request
Obtain the offering memorandum, subscription agreement, capitalization table, charter or equivalent governing documents, financial statements, material contracts, debt schedule, intellectual-property ownership evidence and the most recent board or investor update that can legally be shared. Ask which figures are audited, reviewed or unaudited; the period covered; when the information was prepared; and what has changed since it was issued.

Questions for an early-stage AI company
- What specific workflow does the product perform, and who pays for it?
- Is the product generally available, in pilot, or still a research demonstration?
- How many customers use it repeatedly, under what contracts and at what gross margin?
- Are revenue figures booked, contracted, usage-based, deferred or merely pipeline estimates?
- How much cash remains, what is the monthly burn, and when is additional financing required?
- Does the business depend on one cloud provider, model supplier, data licensor, chip source or customer?
- Can the company legally use its training and customer data, and can it protect confidential information?
- What happens if model quality, inference prices, regulation or a competitor changes faster than expected?
These questions do not establish facts about any unnamed issuer. They identify evidence you should demand before assigning a value.
Why public maturity can be misleading
A longer operating history can make trends easier to analyze, but a public company may still have an unproven AI product, a concentrated customer base, an expensive build-out or a business model that depends on future demand. Public status is an information advantage, not a durability guarantee.

Valuation, dilution and financing risk
Private valuation is an event, not a live consensus
A private financing price is negotiated for a particular security and round. Preferred rights, liquidation preferences and conversion provisions mean that the headline price per share may not represent the economic value of common equity or your eventual proceeds. A financing at a higher valuation can coexist with weak cash generation or an unfavorable preference stack.
SEC guidance for early-stage investing recommends considering comparable valuations, competitors and broader economic conditions. Build a comparison using consistent measures: enterprise value to revenue where meaningful, gross margin, growth quality, cash consumption, customer concentration and the capital required to reach the next milestone. Do not treat a private round price as a guaranteed exit value.

Market capitalization and share price update continuously, so you can observe what the market is paying. That price still embeds assumptions about growth, margins, interest rates, competition and future capital needs. Compare reported results with the assumptions required to justify the price; do not confuse a high price with proof of a bubble or a low price with proof of a bargain.
Best Value
Model dilution in both cases
Private investors can be diluted by new preferred rounds, option-pool increases, warrants, convertible instruments and down rounds. Public shareholders can be diluted by stock issuance, acquisitions paid in shares, employee compensation and convertible debt. Request a fully diluted capitalization table for a private issuer and read outstanding-share, option and convertible information in public filings.

“AI company” can describe a model developer, an application vendor, a data business, a consulting firm or a conventional company adding automation. Identify the actual source of economic value:
- Technology: Is the system proprietary, licensed, open-source, or dependent on another provider’s model?
- Compute and infrastructure: What capacity, pricing and contractual commitments are required at the expected scale?
- Data: Does the issuer have lawful, durable access to training and customer data, and can it meet deletion and confidentiality obligations?
- Reliability: How are hallucinations, bias, security attacks, outages and model drift detected and controlled?
- Economics: Do inference, labeling, storage, support and compliance costs leave a sustainable margin?
- Legal exposure: Could intellectual-property, privacy, consumer-protection or sector-specific rules restrict the product?
- Customer dependence: Can a large customer bring the capability in-house or switch providers?
SEC Division of Corporation Finance staff guidance in 2024 emphasized defining how AI is used, describing material effects and risks with tailored disclosure, focusing on actual or proposed use, and having a reasonable basis for claims about AI prospects. Apply the same discipline to private-company assertions, while recognizing that private issuers do not face the same reporting obligations.

Legal terms, governance and investor rights
Private-offering checklist
- Which exemption is being used: Rule 506(b), Rule 506(c), Rule 504 or another provision?
- What security are you buying, and when does it convert or mature?
- What liquidation preference, participation, seniority and anti-dilution terms apply?
- Do you receive voting, inspection, information, pro-rata or approval rights?
- Can the issuer amend terms, issue senior securities or sell assets without your consent?
- Are there transfer restrictions, lockups, repurchase rights or rights of first refusal?
- What conflicts involve founders, directors, major holders, lenders or related companies?
- Which statements are forward-looking, and what remedies exist if information is wrong?
Public-company governance checklist
Review dual-class or otherwise unequal voting rights, insider ownership, related-party transactions, board independence, executive incentives, shareholder proposals and material agreements in filings. A public share can be liquid while giving you little influence over a controlling holder or board.
A repeatable diligence workflow
- Define the exposure. Record instrument, issuer, price, fees, ownership, rights, expected holding period and maximum affordable loss.
- Verify the issuer and offering. Confirm legal identity, jurisdiction, exemption, investor eligibility, filing status and whether the person soliciting the investment is authorized.
- Read primary documents. For a private deal, review the memorandum and definitive agreements. For a public company, start with current SEC filings rather than summaries or social posts.
- Reconstruct the business. Map product, customer, pricing, revenue recognition, gross margin, retention, competition and dependencies. Ask for evidence rather than accepting “AI” as a business description.
- Analyze cash and financing. Calculate burn, runway, debt maturities, capital commitments and the funding needed to reach break-even or the next milestone.
- Normalize valuation. Compare the same ownership basis and include options, warrants, convertibles, preferences, future rounds and plausible changes in growth or margins.
- Test downside cases. Include total loss, failed fundraising, a down round, delayed product launch, customer loss, higher compute costs, regulatory limits and public-market price declines.
- Check exit mechanics. Document how and when you could sell, what approvals are needed and what happens if there is no IPO or acquisition.
- Decide position size. Keep the exposure consistent with your emergency reserves, debts, time horizon and broader diversification. Early-stage investing is particularly risky; SEC guidance discusses diversification across businesses, stages and asset classes.
- Obtain specialist advice where needed. A securities lawyer or tax professional can interpret terms that a general investment comparison cannot, especially for restricted securities, cross-border issues or complex conversions.
Stress-test the two choices side by side
| Scenario | Private startup consequence | Public company consequence | Evidence to monitor |
|---|---|---|---|
| Fundraising fails | Operations may stop, terms may be renegotiated or existing equity may be wiped out. | Share price may fall and the company may cut spending, issue shares or raise debt. | Cash balance, burn, debt covenants and financing announcements. |
| AI costs rise | Runway and gross margin may deteriorate before the next round. | Reported margins and guidance may decline; the market can reprice expectations immediately. | Unit costs, supplier concentration and pricing power. |
| Product underperforms | There may be no liquid market to exit while the company pivots or shuts down. | You can generally sell, but at a potentially severe loss. | Retention, usage, cancellations, refunds and revised forecasts. |
| Regulatory or legal challenge | Limited disclosure can make exposure hard to assess and the company may lack resources for defense. | Material proceedings and risks may be disclosed, while fines, injunctions and reputation damage can still reduce value. | Filings, contracts, notices, compliance controls and insurance. |
| Successful growth | Upside may be substantial, but preferences, dilution and the absence of an exit can delay or reduce proceeds. | Shares may appreciate, but future issuance, competition and valuation compression can limit returns. | Ownership on a fully diluted basis, cash generation and sustainable margins. |
Common comparison mistakes
- Comparing a private preferred round with a public common share by headline price. Rights and seniority can be different.
- Assuming an IPO is the plan. Treat it as one uncertain scenario and perform the no-IPO test.
- Using a pitch deck as audited evidence. Reconcile claims to contracts, bank records, filings and independent customer evidence where available.
- Equating disclosure with safety. Public filings improve information access but cannot prevent losses.
- Ignoring dilution. Model future financing and equity compensation, not just today’s percentage.
- Accepting AI terminology without unit economics. A technical demonstration is not proof of demand or profitable deployment.
- Relying on a single outcome. Evaluate failure, flat performance, moderate success and exceptional success separately.
- Putting illiquid money into a near-term obligation. Match the security’s liquidity to your actual cash needs.
When each structure may fit a risk decision
A public share may better fit an investor who needs a market-based exit, regular disclosures and the ability to diversify across issuers, while accepting daily price volatility and no guarantee of principal. A private startup security may fit only an investor who can tolerate a long or indefinite holding period, limited information, complex terms and a possible total loss without relying on an IPO. Neither description determines suitability; your finances, tax position, legal status and objectives do.
Bottom line
The key question is not whether the issuer uses AI. It is whether you understand the instrument, can verify the business, can survive the downside and have a realistic exit. Private offerings concentrate liquidity, information and financing risks in a security that may be impossible to sell. Public companies provide more observable prices and required disclosures, but market losses and AI execution failures remain real. Compare documented rights, evidence and assumptions, then size the exposure so an adverse outcome does not threaten your financial plan. Recheck current filings, offering terms and applicable rules before investing because securities requirements and company facts change.
