You must assess four separate issues: the technical method, rights in the data and examples, the teacher provider’s contract and platform rules, and rights in the student model and its outputs. The result can differ by country, model license, dataset, and intended use.
What is AI model distillation?
Distillation transfers useful behavior from a larger teacher model into a smaller student model. The student is optimized to produce answers that resemble the teacher’s answers, often with lower inference cost, latency, memory use, or hardware requirements. The student does not become a copy of the teacher in any simple legal or technical sense.

How an API-based workflow works
- A developer writes prompts that represent the tasks the student should perform.
- The prompts are sent to a teacher service, or run against a teacher that the developer hosts.
- The resulting prompt-response pairs, and sometimes scores or other signals, are stored as training examples.
- The student is fine-tuned or otherwise trained on those examples, then evaluated against task-specific tests.
Some techniques use additional information, such as probability distributions, intermediate representations, or other signals exposed by the teacher. Other workflows use only observable outputs. Access to outputs does not imply access to the teacher’s original training files or model weights.

Copying or converting model weights is a different act from teaching a student through examples. A method that never receives the teacher’s weights may still raise questions about prompts, outputs, source material, contracts, and market effects. Conversely, a license that permits use of weights may impose conditions on modification or redistribution. Do not assume that every technical route receives the same legal treatment.

Is AI model distillation legal?
There is no universal yes-or-no answer. Analyze these four layers independently:

| Student and outputs | What license, ownership, and distribution rights apply to the resulting weights and generated material? | Rights to operate or sell the student are separate from rights in its training inputs. |
An answer at one layer does not settle the others. For a commercial deployment, have counsel assess the actual jurisdiction, model, data, contract, and distribution plan rather than relying on the label “distillation.”
Does distillation avoid training-data copyright problems?
No. A student trained on teacher-generated answers might not directly ingest the same books, code, images, or other files that the teacher used. That fact alone does not establish permission. The answers could contain protected expression, the prompts could incorporate protected material, and the process of obtaining or storing outputs could be restricted by contract or law.
Ask separately whether you may submit each prompt, retain each response, and use the resulting examples for model training. Also ask whether the teacher’s terms limit automated collection, reverse engineering, competition, benchmarking, or development of a substitute service. A provider’s statement about output ownership may not address training use, and an output license may not cover material supplied by a third party.

The U.S. Copyright Office’s Part 3 report, identified on its study page as a pre-publication version released May 9, 2025, examines generative-AI training through licensing, fair-use factors, and potential market effects. It is not a court judgment. The report says the availability of licensing can weigh against fair use under the market-effects factor, but fair use remains a fact-specific analysis involving purpose and character, the nature of the work, the amount used, and market consequences.
Do I need permission to use AI-generated outputs as training data?
Sometimes you may have permission; sometimes you do not. Check three sources of authority:
- Your own inputs: You need the rights required to submit prompts, documents, code, or personal information to the teacher and to reuse them in a training set.
- The teacher’s terms: Read the current service terms, output clauses, acceptable-use rules, rate or automation limits, and any separate enterprise agreement. Terms can distinguish personal use from commercial model training.
- Third-party material in an answer: An answer may quote or reproduce material that the teacher does not own. A clause assigning rights in generated output cannot automatically transfer rights held by someone else.
Keep a record of the terms in force when data was collected, the account or license used, the prompts and outputs, filtering decisions, and any permission or opt-out signal. If a provider changes its terms, do not assume the new wording retroactively authorizes earlier collection or future use.
How do EU rules affect distillation?
Commercial text and data mining under the DSM Directive
The European Commission’s IP Helpdesk describes commercial text-and-data mining under Article 4 of the Digital Single Market Directive as subject to rights holders’ ability to reserve their rights. A reservation can make a license or another agreement relevant. The framework is not equivalent to “all EU training needs a license,” and opt-out mechanisms do not operate identically in every fact pattern.

Before collecting material for a European deployment, identify the source, check for a machine-readable or contractual rights reservation, and preserve evidence of the permission or reservation status. The Commission also advises examining platform terms for ownership and use of both inputs and outputs.
EU AI Act obligations for general-purpose-model providers
The European Commission’s current FAQ says that, from August 2, 2025, providers of general-purpose AI models must maintain technical documentation, provide information to downstream providers, maintain a policy to comply with EU copyright law and respect rights reservations, and publish a sufficiently detailed summary of training content. The Commission says it will enforce full compliance with all obligations from August 2, 2026.
These are provider obligations under the AI Act. They do not automatically decide whether your particular distillation act infringes copyright, nor do they replace a review of the teacher’s contract or the student’s distribution license.

The U.S. Copyright Office’s Part 3 analysis treats training disputes through existing copyright doctrines, including fair use. The four statutory factors are purpose and character, nature of the copyrighted work, amount used, and effect on the potential market. The Office’s May 9, 2025 Part 3 document remains identified as pre-publication material on the official study page; it is guidance for analysis, not binding law.

The Office’s study received more than 10,000 comments by December 2023. That volume shows the issue’s significance, not the legality of any particular dataset or student. Courts can weigh the same facts differently, and a licensing market, a commercial substitute, or the type of source works can change the result.
What is the position in the United Kingdom?
The UK consultation materials describe the application of existing copyright law to AI training as disputed. They emphasize rights holders’ interests in controlling use and receiving remuneration. Do not present the consultation as a settled new statutory rule or as a blanket authorization for distillation. A UK project still needs a fact-specific review of sources, permissions, contracts, and the intended market.
Who owns a distilled AI model?
“Ownership” can mean several different things: copyright in source material, copyright in a human-authored output, rights in software and weights, a contractual license to operate the model, or permission to distribute and commercialize it. No universal rule says the distiller owns everything or that the teacher provider owns the student.

Read the actual teacher license and service agreement. A license may permit commercial use while requiring attribution, preserving notices, limiting redistribution, or prohibiting certain competitive uses. A hosted service may grant rights to use outputs without granting rights to extract weights or to train a competing model. Your own data-contribution agreement, contractor terms, and employment policy can also affect who may exploit the student.
For a defensible ownership position, document who created the prompts and evaluation set, who paid for generation and training, which licenses cover every component, and which entity will hold and enforce rights in the student’s software, configuration, and weights. This documentation does not create rights that a source license withholds, but it helps establish the chain of permission.

Output copyrightability is separate from ownership of the student model. The U.S. Copyright Office’s Part 2 announcement states that AI-assisted output can receive protection when a human author determines sufficient expressive elements. Examples include human-authored material that remains perceptible in the result or a sufficiently creative human arrangement or modification. Merely writing prompts is not, by itself, enough to establish copyright protection under that account.
“Where that creativity is expressed through the use of AI systems, it continues to enjoy protection. Extending protection to material whose expressive elements are determined by a machine, however, would undermine the constitutional goals of copyright.”

This statement concerns U.S. copyrightability of outputs. It does not determine rights in model weights, training data, or outputs under every other country’s law. Preserve drafts, edits, selection decisions, and other human contributions if ownership of a particular output matters.
Should I use an open-weight teacher or a hosted API?
Neither option is automatically safer. Compare the concrete rights and obligations before collecting examples.

What should a compliant distillation workflow look like?
- Define the use case and markets. Record whether the student is internal, open to the public, sold commercially, or used in regulated sectors, and list every country in which it will be trained or offered.
- Inventory the teacher and components. Identify the exact model version, access route, license, service terms, software dependencies, and date of acceptance. Separate teacher weights from outputs.
- Map every input. Classify prompts, uploaded documents, code, personal data, and evaluation material. Confirm that your organization may submit and reuse each category.
- Check output and automation rules. Look for clauses on retention, scraping, bulk requests, reverse engineering, model training, competition, attribution, and redistribution. Obtain written permission when the wording is unclear.
- Screen examples. Remove secrets, personal data, third-party confidential material, and unnecessary verbatim passages. Keep provenance and filtering records rather than treating all outputs as ownerless.
- Choose the student license. Reconcile your intended distribution with obligations inherited from the teacher, code, tokenizer, datasets, and other components. State restrictions and notices clearly.
- Document evaluation and human contribution. Retain test sets, edits, selection criteria, and release approvals. These records support both compliance and any later claim about human authorship.
- Recheck before release. Provider terms, model licenses, EU obligations, and court decisions can change. Revalidate the documents and the geographic scope immediately before commercial deployment.
What are common mistakes?
- “The teacher produced it, so it is free to train on.” An output can include protected expression or be contractually restricted.
- “Distillation never touches copyrighted training data.” You may avoid direct access to the teacher’s files while still using protected prompts, outputs, or signals.
- “An open-weight license settles ownership.” Weight rights do not automatically cover datasets, software, outputs, or your student’s distribution terms.
- “EU opt-outs work the same everywhere.” Rights reservations and technical implementation depend on the source and legal context.
- “Prompting makes every output copyrightable.” The U.S. Copyright Office’s Part 2 account requires sufficient human determination of expressive elements; prompting alone is not enough.
- “A provider’s output clause is a model-training license.” Confirm that the contract expressly permits collecting and using outputs to train another model.
What is the practical bottom line?
Distillation is a technical shortcut for transferring behavior, not a legal shortcut around copyright or contracts. Treat the teacher’s outputs as materials with provenance and terms, not as automatically unowned data. Then analyze the source rights, provider agreement, jurisdiction, student license, and human contribution independently. The legally and commercially workable design is the one whose permissions, documentation, and intended distribution all line up before training begins.
