After nearly buying Warner Bros., Netflix is laying off 1,000 workers. What happened?

Netflix’s Warner Bros. acquisition did not close, and the company’s decision to walk away was followed months later by about 1,000 layoffs. The failed deal was a factor, but Netflix described the cuts as part of broader organizational changes aimed at matching its staffing and spending with slower engagement growth, tougher competition and a more selective content strategy.

The layoffs represent about 6% of Netflix’s workforce. Product, technology, legal and human-resources teams were expected to see the largest effects, even as the streaming company remained highly profitable.

What happened to the Netflix–Warner Bros. deal?

Netflix announced on Dec. 5, 2025, that it planned to acquire Warner Bros. Discovery’s film and television studios, HBO Max and HBO. Netflix valued the proposed transaction at approximately $82.7 billion in enterprise value and $72.0 billion in equity value.

Date Development
Dec. 5, 2025 Netflix announced the proposed acquisition of the Warner Bros. film and television studios, HBO Max and HBO.
Feb. 26, 2026 Netflix said Warner Bros. Discovery had judged Paramount Skydance’s latest offer to be a “Superior Proposal.”
Sept. 30, 2026 Co-CEO Ted Sarandos said Netflix was not growing as quickly as he wanted at a Bloomberg Screentime event.
October 2026 Netflix announced about 1,000 job cuts, or roughly 6% of its workforce.

Why Netflix did not make a higher bid

Netflix said it declined to raise its offer because matching Paramount Skydance’s price would make the transaction financially unattractive. In its Feb. 26 statement, the company characterized the acquisition as “a ‘nice to have’ at the right price, not a ‘must have’ at any price.”

That decision ended Netflix’s proposed purchase; Netflix did not acquire the Warner Bros. studios, HBO Max or HBO. The layoffs therefore did not follow a completed merger or an integration of Warner Bros. employees.

Why did Netflix cut jobs while still making billions?

Profitability does not eliminate the need to restructure. The Associated Press reported that Netflix earned $3.4 billion in net income on $12.56 billion in revenue in the second quarter of 2026. Net income was up 9% year over year and revenue rose 13%. However, Netflix’s forecast for the third quarter was below Wall Street expectations, signaling that investors were looking for faster growth.

The Los Angeles Times reported that Netflix had more than 325 million subscribers, but viewing time in the first half of 2026 increased only 2% from a year earlier while content spending rose 11% to $20 billion. The same report noted a 42% one-year decline in Netflix’s share price. Those figures describe a company with scale and earnings, but also rising pressure to get more engagement and more successful shows and films from each dollar spent.

Indicator Reported figure What it indicates
Subscribers More than 325 million Netflix remains a very large global service.
First-half 2026 watch-time growth 2% year over year Engagement was growing slowly relative to the company’s size.
2026 content spending $20 billion, up 11% Investment was increasing faster than reported viewing time.
Second-quarter 2026 net income $3.4 billion The layoffs were not a response to quarterly losses.
Second-quarter 2026 revenue $12.56 billion, up 13% Revenue continued to grow, although forecasts still mattered to investors.
One-year share-price change Down 42% Market confidence had weakened despite profits.

What pressures were behind the restructuring?

Slower engagement growth

Netflix’s challenge is no longer simply adding subscribers. With more than 325 million members, even modest changes in viewing time can affect how efficiently the company’s content budget is working. The 2% first-half watch-time increase reported by the Los Angeles Times was far below the 11% increase in content spending.

Fewer breakout franchises

Reporting on the cuts pointed to difficulty producing enough new breakout franchises. A large release can attract new subscribers, keep existing members watching and create durable value across multiple seasons or films. When fewer titles become major hits, Netflix has to examine which projects, teams and internal processes deserve continued investment.

Competition for attention

Netflix is still a dominant streamer, but it competes for viewing time with HBO Max, Apple TV, Hulu, YouTube, Prime Video and Disney+. The pressure is not limited to subscription totals: rivals compete for the same evenings, household budgets and cultural attention.

More disciplined spending

Netflix co-CEOs Ted Sarandos and Greg Peters wrote to employees: “Our mission — to entertain the world — is ambitious, and delivering on it requires us to be disciplined about where we prioritize our people and resources.” They also wrote, “Decisions like these are never easy, and we don’t take them lightly.” The wording presents the cuts as a reallocation of resources rather than an emergency caused by losses.

Why the Warner Bros. deal still mattered

The proposed acquisition would have expanded Netflix’s ownership of major film and television production assets and added HBO Max and HBO to its portfolio. Walking away avoided paying a price Netflix considered unjustified, but it also removed a potential source of high-profile franchises and library content at a time when Netflix was looking for ways to grow viewing faster.

Netflix’s Feb. 26 decision and the October layoffs should therefore be read together, but not as a one-for-one cause-and-effect chain. The acquisition failed because the price rose beyond Netflix’s financial threshold. The job cuts addressed a wider question: how many people and how much spending should Netflix commit while engagement growth, franchise hit rates and investor expectations are under pressure?

What the 1,000 layoffs reveal about Netflix’s next phase

The largest expected effects in product, technology, legal and human resources suggest a companywide reorganization rather than a cut limited to film and television production. Netflix is trying to preserve its ability to make and distribute successful entertainment while reducing or reshaping work that no longer fits its priorities.

Sarandos said at the Sept. 30 Bloomberg Screentime event, “Overall we’re not growing as fast as I want us to, and we’re working on making that move faster.” That comment helps explain why strong current earnings did not end the restructuring debate: Netflix is managing for the growth rate it wants next, not merely the profits it has already produced.

The bottom line

Netflix did not buy Warner Bros. because Paramount Skydance’s offer was judged superior and matching it would have made Netflix’s transaction financially unattractive. Months later, Netflix cut about 1,000 jobs—roughly 6% of its workforce—as part of a broader effort to control costs and improve execution. The company was profitable, but slower viewing growth, heavier content spending, competition and a weaker market reaction made a leaner organization necessary in Netflix’s view.
