They also approved changes to authorized share limits and several proposed securities issuances. Those approvals authorize possible future actions; they do not establish that any financing, share issuance or strategic transaction has taken place.
What happened at Aethlon Medical’s annual meeting?
The annual meeting was held virtually on October 1, 2026. On the August 10, 2026 record date, 711,136 common shares were outstanding. Holders of 399,752 shares—about 56.21% of shares entitled to vote—were represented, establishing a quorum. These figures are reported by Aethlon Medical in its October 1, 2026 Form 8-K.
Who was elected to the board?
Stockholders elected all five nominees. Each director is to serve until the next annual meeting or until a successor is elected and qualified, subject to earlier death, resignation or removal.

How many shares were added to the equity incentive plan?
Stockholders approved an amendment adding 100,000 shares of common stock to the number authorized for issuance under Aethlon’s 2020 Equity Incentive Plan, as amended. The board had approved the amendment subject to stockholder approval on July 10, 2026; it became effective October 1, 2026.

The proposal received 204,289 votes for, 8,407 against and 2,509 abstentions. The filing also reports 184,547 broker non-votes. These results appear in the company’s Form 8-K.

The adjournment proposal also passed. The meeting chair did not adjourn because the other proposals had passed.

The common-share increase and preferred-stock authorization change the company’s available share capacity; they are not evidence that Aethlon has issued the additional shares or completed a transaction. In its 2026 proxy statement, the board said it sought the authorizations to provide flexibility for potential future strategic transactions, including mergers, acquisitions or other business combinations. That explanation is the board’s stated rationale, not confirmation that a specific deal is planned.

The authorization of preferred shares also gives the board authority to establish series and terms. Depending on those terms, preferred shares could have rights senior to or different from common shares, subject to applicable legal and listing requirements.

How should investors read the results?
- Separate approval from execution. A vote authorizing a potential issuance or transaction does not show that the company has used that authority.
- Keep proposal types distinct. The director election and executive-compensation vote concern governance; the equity-plan amendment concerns plan capacity; charter changes establish authorized share limits; and the Nasdaq and future-issuance proposals address specific or possible securities issuances.
- Use the filing for the official tally. The company’s 8-K reports the meeting results, while its proxy statement provides background on the share-authority proposals.
