What Should a Website Development Contract Include? A Practical Checklist

A practical checklist for defining website development scope, payments, ownership, security, ongoing support, and a clean handover in your contract.

A website development contract should clearly define the work, payment, ownership, responsibilities, and what happens when the project ends. For a usable agreement, spell out scope and deliverables, review and acceptance, fees and changes, intellectual property, privacy and security, accessibility, testing and support, third-party services, liability, termination, and handover. The legal effect of any clause depends on the governing law and project facts; the federal examples below apply only in specified government contexts.

1. Identify the parties and define the scope

Name each contracting party, the project contacts, and who has authority to approve work or changes. Describe the website’s purpose and the work the developer will perform. Put detailed specifications in an attached statement of work if they would make the main agreement unwieldy.

Make the scope concrete enough to review against later. Depending on the project, specify pages, functions, integrations, supported devices or browsers, content migration, hosting assumptions, technical constraints, and accessibility expectations. Also identify what is excluded or depends on a separate agreement.

  • Who supplies copy, photography, branding, and other content?
  • Are SEO work, analytics, payment processing, migration, hosting, or ongoing maintenance included?
  • Which third-party systems or client-side resources must be available for the developer to do the work?

2. List deliverables, milestones, and acceptance criteria

List the actual items the client will receive, such as designs, source code, configuration, documentation, migrated content, and launch assistance. Set dates or milestone targets and identify dependencies, including when the client must provide content, credentials, or feedback.

Define how review works: who reviews each submission, how long the review period lasts, how the client reports defects, what standard the work must meet, and how the developer corrects rejected work. State what constitutes acceptance. An undefined promise that a site will be “finished” or “satisfactory” can leave both sides arguing over whether the work is complete.

3. Set fees, expenses, and a written change process

State whether the fee is fixed, hourly, milestone-based, or a combination, and specify invoice timing, due dates, approved expenses, taxes, disputed invoices, late-payment terms, and any right to pause work. The appropriate pricing and payment arrangement depends on the project; there is no universal private-project rule established here.

Require written approval before a change to scope, cost, or delivery timing takes effect. The change record should include the developer’s estimate and the client’s authorization, and should be approved before the changed work begins. This makes trade-offs visible instead of turning an informal request into an unexpected bill or missed deadline.

4. Specify copyright ownership and licenses

Payment for web development does not by itself mean the client owns all copyright in the work. Under U.S. law, the U.S. Copyright Office explains that paying a web designer does not automatically transfer exclusive copyright rights; a signed written agreement is required for such a transfer. See the U.S. Copyright Office Compendium, Chapter 1000. Cornell’s Legal Information Institute summarizes that commissioned work qualifies as a “work made for hire” only in limited statutory circumstances, including a signed written agreement for specified categories: Work made for hire.

Identify which deliverables are newly created for the client and whether rights will be assigned or licensed. Say when the transfer or license takes effect—often after payment—and address territory, duration, exclusivity, modification, sublicensing, and transfer rights as appropriate. Do not rely on the words “work for hire” alone; include an effective assignment or license if that is the intended result.

Separately identify the developer’s pre-existing tools and reusable components, plus third-party themes, libraries, fonts, stock images, and open-source software. State what rights the client receives in each category and who is responsible for recurring license charges.

5. Address confidentiality, privacy, and security

Define confidential information, permitted uses, and any limits on disclosure. If personal information is involved, tailor the agreement to the data and the parties’ actual roles: identify what the developer may access or collect and why, who may process it, required safeguards, incident notification and cooperation, subcontractor rules, retention, return or deletion, and restrictions on other uses.

Where relevant, address credential handling, backups, vulnerability fixes, software updates, and revoking access when work ends. Applicable privacy and security duties depend on the jurisdiction, data, and parties; a contract should match those facts rather than assume a one-size-fits-all rule.

Federal terms illustrate why scope matters. 48 CFR § 752.239-72, the “USAID-Financed Project Websites” clause dated May 2024, addresses data collection, security safeguards and incident response, and transition or decommission planning for its defined USAID-funded, contractor-operated websites. It is not a general template for private websites: 48 CFR § 752.239-72. Separate federal IT security and privacy rules also apply to covered federal IT services, not automatically to every commercial website: 48 CFR § 839.106-70.

6. Make accessibility expectations specific

State the accessibility standard the project is expected to meet, how and when testing will occur, who fixes identified issues, and which party is responsible for accessible content and supplied components. Avoid a vague promise of an “accessible” site without a standard or process that the parties can assess.

For example, 48 CFR § 739.106(c) requires an accessibility clause in specified information and communications technology procurements for federal employee or public use. The USAID website clause also includes accessibility requirements for its covered sites. These federal rules do not establish that the same clause automatically applies to a private project; applicability depends on the client, use, and governing requirements. See 48 CFR § 739.106(c).

7. Define testing, warranties, launch, and support

Set out who tests the site and what launch readiness means. If the developer warrants that deliverables conform to agreed specifications, state the correction period and remedy. Distinguish fixing defects from adding features or changing approved requirements.

Specify any post-launch services rather than assuming they come with development. If included or separately offered, describe support hours, response targets, maintenance tasks, backups, hosting operations, updates, security fixes, and fees. Also make clear who is responsible for launch steps and any ongoing hosting account.

8. Inventory third-party services and accounts

List material dependencies such as the domain, hosting provider, content management system, plugins, APIs, payment services, and analytics. For each, clarify who opens and owns the account, pays recurring charges, controls renewals, and holds administrator credentials. Address what happens if a vendor changes its terms, discontinues a service, or has an outage. Confirm that client-supplied content and assets may lawfully be used for the intended purpose.

9. Allocate liability and set a dispute process

Decide how responsibility is allocated for third-party infringement claims, client-supplied materials, security incidents, and losses caused by either party. Any indemnities, liability caps, or exclusions should fit the project’s risks and applicable law; there is no universally appropriate cap or clause amount.

Include governing law, venue, required notices, and any escalation or mediation steps. These terms are jurisdiction-sensitive, so a clause that works for one project may not be suitable for another.

10. Plan termination and handover

State the circumstances in which either party may terminate, any notice or cure period, fees due at termination, and whether the client receives work in progress. Explain how the parties will transition the site and its data without leaving the client dependent on inaccessible accounts or undocumented configuration.

Specify which source files, credentials, configuration, documentation, exports, and data must be handed over; whether migration help is available and at what price; and how data will be returned or deleted. Include account transfer and any plan to retain, archive, or decommission the site. The USAID clause requires disposition planning in its covered federal setting, but that is an example rather than a universal private-project requirement.

How to compare contract drafts or developer proposals

When reviewing alternatives, compare the practical protections rather than relying on broad promises:

  • Is the scope complete and testable, including exclusions and client dependencies?
  • Are acceptance and changes documented with a clear approval path?
  • Can you identify total costs for development, hosting, licenses, and post-launch support?
  • Are rights to code, design, content, data, and accounts clear?
  • Do privacy, security, and accessibility commitments fit the site and the parties?
  • Can the client take over or migrate the site, with necessary files and credentials?

Because the governing law, locations, industry, audience, data, and customer type determine which legal requirements apply, have a lawyer in the governing jurisdiction review a binding agreement and its statement of work.
