Transocean’s 2025 revenue grew 13%, but revenue alone says little about whether the offshore driller can strengthen its finances. The more consequential evidence is that free cash flow improved, debt principal declined by June 2026, and new contract awards added backlog—while the company still carried more than $5 billion in debt and remained exposed to rig utilization and future contract timing.
Revenue grew in 2025, but the GAAP loss was still large
Transocean reported operating revenue of $3.965 billion for 2025, up from $3.524 billion in 2024. Yet it also reported a $2.915 billion net loss attributable to controlling interest. Adjusted EBITDA was $1.37 billion. These measures tell different parts of the story: revenue reflects work performed and related activity, adjusted EBITDA is a non-GAAP operating measure, and net income includes expenses and accounting items that EBITDA does not. Adjusted EBITDA should not be read as cash available to repay debt. (Transocean’s 2025 results release)
Cash generation improved, but definitions matter
Transocean reported $749 million in cash flows from operating activities and $626 million in free cash flow for 2025, compared with $193 million of free cash flow in 2024. That is a material improvement in the company’s reported cash generation. The figures are company-reported; free cash flow is a non-GAAP measure, so comparisons with another company—or with a different period—are most useful when the calculation is checked in the relevant release. Cash flow from operations and free cash flow are also not interchangeable: free cash flow reflects the company’s stated adjustment for investment spending. (Transocean’s 2025 results release)
The second quarter of 2026 offered a more recent data point. Transocean reported $236 million in net cash from operating activities and $212 million in free cash flow for the quarter. Those results show positive quarterly cash generation, but one quarter does not establish a durable run rate. The company also attributed lower contract drilling revenue in Q2 partly to an expected reduction in rig utilization, a reminder that cash generation can move with the operating schedule. Debt declined, but remained above $5 billion
Transocean reported debt principal of $5.686 billion at December 31, 2025, and $5.107 billion at June 30, 2026. In March 2026, it paid $365 million to retire $358 million principal of 8.375% senior secured notes due in 2028. The principal reduction is relevant to deleveraging, but it does not mean the balance sheet is lightly indebted: reported debt principal at the end of June was still substantial. Liquidity is not the same as cash on hand
At June 30, 2026, Transocean reported $509 million of unrestricted cash and $286 million of restricted cash. Its Q2 release reported total liquidity above $1.3 billion, a figure that includes an undrawn revolving credit facility rather than cash alone. The June filing describes a $510 million secured credit facility maturing June 22, 2028; it is secured by eight ultra-deepwater drillships and two harsh-environment semisubmersibles and has financial covenants, including liquidity and collateral-coverage requirements. Restricted cash is not equivalent to unrestricted funds available for general use, and an undrawn facility is borrowing capacity subject to its terms—not cash already held. Q2 shows how rig utilization affects revenue
Contract drilling revenue was $966 million in Q2 2026, down from $1.081 billion in Q1. Transocean said the sequential decrease primarily reflected the expected reduction in rig utilization during the second quarter. The company reported $212 million of Q2 free cash flow, but lower revenue alongside positive free cash flow illustrates why the operating schedule and cash conversion matter more than topline growth alone. Backlog supports the cycle case, not guaranteed cash flow
Transocean added $292 million of contract backlog in Q2 at an approximately $461,000 weighted-average dayrate. Backlog represents contracted work, not revenue already collected, profit assured, or a guarantee that work will convert to cash on a particular schedule. The company’s June filing said tendering activity and contract awards increased in the first half of 2026, and management anticipated further awards for projects starting in 2027 and 2028. It identified incremental ultra-deepwater opportunities in West Africa, the Mediterranean, Southeast Asia, and India. These are company statements about its pipeline and outlook, not independent market-wide findings. (Q2 results release; June 2026 Form 10-Q)

CEO Keelan Adamson said in the August 5, 2026 Q2 release: “We expect to see demand for our highest specification rigs increase in the coming years with industry utilization for deepwater and harsh environment assets projected to move well into the 90% range during 2027.” That is management’s forward-looking forecast, not an independently verified utilization statistic or a settled outcome. The same release cited awards in Norway, Australia, the U.S. Gulf and Ivory Coast, as well as a $1.0 billion Equinor agreement for three harsh-environment semisubmersibles, as evidence that customers continue to secure rig capacity. Transocean describes itself as an international provider of offshore contract drilling services focused on technically demanding ultra-deepwater and harsh-environment work. As of June 30, 2026, it reported 27 mobile offshore drilling units: 20 ultra-deepwater drillships and seven harsh-environment semisubmersibles. Its filing also notes that hydrocarbon prices remain sensitive to geopolitical events, macroeconomic conditions, policy decisions and short-term supply fluctuations. Thus, even a promising tender pipeline does not remove uncertainty around demand, contract timing or utilization. (Transocean’s June 2026 Form 10-Q)

What to watch next
- Free cash flow over multiple periods: whether positive cash generation continues and supports debt reduction, rather than depending on a single quarter.
- Debt principal and financing terms: whether debt keeps declining, alongside the company’s ability to meet facility covenants and obligations.
- Cash versus reported liquidity: the split between unrestricted cash, restricted cash and undrawn borrowing capacity.
- Contract conversion: whether announced awards and backlog translate into rig utilization and revenue on schedule, at economics that produce cash.
Transocean and Valaris entered a business combination agreement on February 9, 2026, under which Valaris shares would be exchanged for 15.235 Transocean shares per Valaris share, subject to the agreement’s terms and conditions.
