Evaluate a token launch by checking whether its promises are specific, consistent, and verifiable: what the token does and grants, how supply and unlocks work, where sale proceeds go, what the team must deliver, who controls the code and treasury, and how liquidity is expected to work. Treat missing or contradictory evidence as a diligence gap—not as proof of fraud or a prediction of price.
Start by defining the offer and who it is for
Before judging a token’s merits, establish what is actually being offered. Record the issuer, promoters and affiliates; the countries or regions being targeted; who may participate; how the sale works; and whether there have been earlier or concurrent sales. Keep the sale terms, website, white paper, and other marketing materials together so you can compare their claims.
Legal treatment depends on the facts, the people involved, the token’s features, the distribution, and the applicable jurisdiction. The SEC’s interpretive release issued March 17, 2026, effective March 23, addresses certain crypto assets and transactions; it is not a blanket ruling on every token launch. SEC Corporation Finance FAQs issued September 25, 2026, and updated September 28, 2026, state staff views that have no legal force or effect. For a real offering, ask specialist counsel to assess the actual structure rather than relying on a general checklist or a project’s label for its token.
Check what the token does and what a holder can claim
Separate functionality that exists today from proposed future utility, governance aspirations, and promotional claims about value. Establish whether the product is live, on testnet, or still planned, then compare that status with what launch materials imply. Ask what a holder can do now and whether the token gives contractual rights such as access, redemption, or participation in governance—or whether those uses are only intended or hoped for.

Also identify which entity, if any, remains responsible for developing and operating the product after launch. The CFTC’s consumer advisory recommends understanding the rights attached to a token, factors that may affect its value, and how sale proceeds will be used. A token’s stated purpose alone does not establish that a functioning product or enforceable holder right exists.
Reconstruct supply, allocation, and unlocks
A headline circulating-supply number is not enough to show how much supply may reach the market later or who can change the rules. Ask for a supply and distribution schedule supported by primary documents and, where applicable, on-chain records.

SEC Division of Corporation Finance guidance dated April 10, 2025, identifies supply, issuance, treasury reserves, vesting and lockups, authority over supply rules, and market-maker arrangements as topics that may be relevant to disclosure in securities offerings. Its scope is securities offerings and registrations; it does not make every listed item a universal legal requirement for every token.

Follow the proceeds and test the project’s runway
Find out how much the offering aims to raise, how subscriptions are allocated, and what happens if demand exceeds the available allocation or a minimum target is not met. Check fees and expenses, any refund terms, and how the project plans to divide proceeds among development, operations, marketing, liquidity support, and other stated uses. Compare the budget with the milestones it is meant to fund.

Distinguish money held for project purposes from funds controlled by founders, affiliates, or other parties. Look for documented treasury controls, including who can authorize spending and how that authority is monitored. The CFTC advises buyers to understand how their money will be used and whether it can be returned. MiCA asset-referenced-token white-paper items cover matters including target amounts, oversubscription, refunds in specified minimum-goal cases, expenses, and conflicts; those items are specific to that category and should not be generalized to every crypto-asset.

Assess each promised feature as a delivery commitment rather than as a general vision. For every milestone, look for:

- Status: Is the feature live, in development, or only proposed?
- Owner and dependencies: Who is responsible, and what technical or external dependencies could block completion?
- Timing and resources: Is there a date or defined sequence, and does the stated budget or staffing support the work?
- Evidence of completion: What observable product change, documentation, or other evidence would show that the milestone was met?
- After launch: Who will maintain the software, network, or service once the initial sale is over?
Compare the roadmap across the website, white paper, code repository, and sale terms. Material differences should have an explanation. Keep product demand separate from demand for the token: a feature can be useful without proving the token will appreciate, and an exchange listing is not itself product utility. The August 15, 2025, written submission by SEC Commissioner Hester M. Peirce proposes disclosure categories such as development stage, roadmap, funding, and token utility; it is a recommendation, not binding law. The CFTC also warns against buying solely in the hope of reselling at a higher price.
Inspect code, privileged controls, and security evidence
Match the project’s stated token contract to the deployed address and chain. Check whether the source code is verified and identify permissions that could materially change how the system works or how holders can use their tokens, including minting, upgrades, pausing, freezing, blacklisting, or other administrator functions. Establish which people or entities control those permissions and whether actions require multiple signers or are subject to a timelock.
Review audit reports for their scope, date, findings, and documented remediation rather than treating the word “audited” as a security guarantee. Check dependencies such as bridges, key and wallet procedures, recordkeeping, and incident-response arrangements. SEC Division of Corporation Finance’s 2025 disclosure guidance discusses code modification, wallets and keys, recordkeeping, and third-party audit status and results as potentially relevant topics in securities offerings. No audit can rule out future vulnerabilities or prove that every part of a system was examined.

Evaluate liquidity as a dependency, not an exit guarantee
If a project describes market makers, liquidity providers, exchanges, or other trading venues, ask what is confirmed and what is only being pursued. For any market-making or liquidity arrangement, seek the contract or other documentation showing who pays, whether inventory is borrowed or supplied, what obligations apply, how long support lasts, and what conflicts may exist. Look for public evidence that the stated arrangement is in place.
Consider what happens if support ends or trading is thin. A venue announcement or liquidity arrangement does not guarantee a market at a particular price—or that a holder can sell when they want. The SEC’s 2025 disclosure guidance identifies market-maker or liquidity arrangements as potentially relevant disclosure, while the CFTC lists liquidity among factors that may affect token value.

There is no universal score that establishes which project is best. Record what is documented, what is unclear, and what evidence would resolve each open question; do not turn an incomplete disclosure into an assumed fact.
Use jurisdiction-specific disclosure examples carefully
ESMA’s MiCA single-rulebook entry for asset-referenced-token white papers includes structured information on offer purpose, amounts and token quantities, purchaser restrictions, refunds in specified minimum-goal cases, oversubscription and allocation, price phases, delivery, purchaser technical requirements, costs and conflicts, rights and transfer limits, supply adjustments, liquidity, technology, audit outcomes, and risks. It is a useful example of how detailed launch information can be organized, but it applies to asset-referenced tokens and is not a complete statement of requirements for every crypto-asset under MiCA.
What a sound evaluation can—and cannot—tell you
A well-documented plan lets a reader test a project’s claims before participating: compare the promised token rights with product reality, trace the supply schedule and controls, connect spending to delivery, and identify who can make consequential changes. Unexplained control powers, undocumented unlocks, vague proceeds plans, unsupported return claims, and promotion that conflicts with product status are reasons to seek evidence or reassess participation.
This process identifies gaps and dependencies; it does not establish a token’s fair value, predict returns, guarantee liquidity, or replace legal advice tailored to the offering and the relevant jurisdictions.
