TIM and Claro wanted Brazil’s telecom regulator, Anatel, to finish its review of the Oi Móvel asset sale quickly so the transaction could move to closing. The pressure concerned a 2022 delay, not a transaction still awaiting approval: Anatel granted unanimous prior consent on January 31, 2022, and the sale closed on April 20, 2022.
The buyers—TIM, Claro and Telefônica Brasil, which operates under the Vivo brand—were acquiring Oi’s mobile operating business and assets, not buying the entire Oi group. The transaction, valued at approximately R$16.5 billion in contemporaneous company and market reporting, was a key part of Oi’s judicial-reorganization plan.
What TIM and Claro were asking Anatel to do
The companies wanted Anatel to complete its telecom-sector review promptly. They were not asking the agency to abandon scrutiny; they wanted a decision so the parties could transfer customers, network assets, spectrum, numbering resources and related authorizations under whatever conditions Anatel imposed.
Anatel’s prior consent was one regulatory gate. Brazil’s Administrative Council for Economic Defense (Cade) separately examined the transaction under competition law. Approval by one agency did not replace the other’s role.

Why the timing mattered to Oi and the buyers
Oi’s restructuring
Oi was in judicial reorganization, and selling the mobile business was one of the most important elements of its recovery and debt-reduction plan. A prolonged review delayed a major source of proceeds and kept the future ownership of the operation uncertain. Reuters reporting carried by UOL described the sale as central to Oi’s recovery plan.
Operational uncertainty
Until the approvals and closing, customers, employees, suppliers and creditors could not know exactly how the mobile operation would be run. The carriers also needed a timetable for integrating subscribers and infrastructure without interrupting service.
Network and spectrum planning
Certainty was important for assigning customers, frequencies, numbering resources and wholesale obligations among the three buyers. Anatel later issued authorizations for TIM, Claro and Vivo to use frequencies associated with Oi Móvel, including arrangements involving network sharing or secondary use. The postponed meeting and rescheduled vote were reported by Reuters and in a separate report on the board member’s request for additional time at UOL. Anatel’s official announcement records the unanimous January 31 decision: Anatel authorizes the sale of Oi.

Oi was Brazil’s fourth-largest mobile operator, while the purchasers were three major national carriers. The concern was that a four-player market would become concentrated among three large operators.
Concerns raised by opponents
- Fewer independent network operators could reduce competitive pressure.
- The buyers would obtain customers, spectrum and infrastructure from the same seller.
- Smaller or newer competitors might find it harder to expand.
- Wholesale customers could become more dependent on the three national carriers.
The Federal Public Prosecutor’s Office recommended that Cade reject the deal on competition grounds, illustrating why a fast Anatel decision did not end the broader regulatory debate. Reuters reported the MPF recommendation.

How the buyers defended it
TIM said the arrangement complied with Anatel’s regulatory caps and denied that the purchasing structure was a cartel. Claro argued that dividing Oi’s assets would strengthen TIM, then the third-largest operator, rather than simply reinforcing the market leader. The companies also pointed to efficiency and investment benefits and proposed additional remedies during the Cade process. Their positions are summarized in TIM’s statement and Claro’s comments.
Conditions attached to Anatel’s consent
Anatel’s decision combined approval with safeguards covering customers, technical continuity and competition. Reported obligations included:

The Antarctic requirement was added during the final approval meeting. Claro, TIM and Vivo had to negotiate with Oi to preserve the existing cooperation arrangement through its expected end date of January 21, 2024. What happened between approval and closing
Prior consent did not instantly complete the sale. The buyers still had to implement spectrum and licensing arrangements and meet obligations designed to preserve access for other providers. Before closing, TIM, Claro and Vivo submitted reference wholesale offers intended to satisfy those requirements and support competitor access. TeleTime reported the offers and the April 20 closing.
What the deal meant for Oi customers
Oi mobile customers were transferred or migrated within the regulatory framework rather than simply losing service. The conditions addressed continuity of voice, data and messaging and required communication channels for the migration.
Service continuity did not guarantee that every customer would retain the same commercial plan, price, benefits or network experience indefinitely. Those outcomes could vary by location, plan, network arrangement and migration schedule. A customer account transfer was also distinct from transfer of the underlying network facilities.

The transaction covered Oi’s mobile business. Oi’s fixed-line, infrastructure and other remaining operations were separate from the mobile-asset sale.
The lasting significance
The episode illustrates a recurring regulatory trade-off. Faster action could reduce uncertainty for a financially distressed seller and allow network planning to proceed, while a rushed process could be criticized for leaving too little time to test competition concerns. Anatel’s January 31 decision attempted to balance those objectives through service, numbering, wholesale, compliance and special-purpose obligations, while Cade handled the antitrust analysis separately.
