東証は2025年8月31日、AI企業オルツの株式を上場廃止にしました。JPX（日本取引所グループ）が第三者委員会の調査報告書について説明した内容では、2021年12月期から2024年12月期までの売上高の約8～9割が過大計上でした。オルツは2025年7月に民事再生を申し立て、再生計画は同年12月に認可され、2026年2月に認可決定の確定を公表しています。
オルツで何が起きたのか
オルツは2014年11月、パーソナル人工知能「P.A.I.」の開発を目的に設立されました。会社はAIプロダクトの提供や、AI活用を検討する顧客へのコンサルティングを事業として説明していました。

問題の中心となったのは、AI議事録サービス「AI GIJIROKU」の販売パートナー向けライセンス売上です。2025年7月30日、JPXは第三者委員会の調査報告書に基づき、2021年12月期から2024年12月期までの売上高の大半、約8～9割が過大計上だったと説明しました。JPXの説明によれば、経営幹部が関与し、2021年6月頃から2025年3月まで、販売代理店向けのライセンスについて、アカウント発行の実態を伴わない売上計上が行われていました。

「8～9割過大計上」と告発資料の売上高はどう違うか
JPXが示した約8～9割は、第三者委員会報告書についての説明で、対象は2021年12月期から2024年12月期までの売上高です。一方、証券取引等監視委員会の2025年10月28日の発表は、有価証券届出書や有価証券報告書の記載額と、同委員会が示す実際の売上高との差を、金融商品取引法違反の嫌疑に関する告発内容として期間別に掲げています。

これらは監視委員会が公表した告発内容に記載された数字です。告発は検察への手続であり、裁判所が有罪を認定した判決を意味しません。JPXの説明と監視委員会の資料は、発表主体も手続上の位置づけも異なるため、同一の調査結果として混同しないことが重要です。

なぜ東証は上場廃止を決めたのか
東証は2025年7月30日、上場廃止を決定しました。JPXの公表によると、理由は新規上場申請に係る宣誓事項への重大な違反に該当するためです。整理銘柄の指定期間は7月30日から8月30日までで、上場廃止日は8月31日とされました。

これは取引所による上場制度上の判断です。会社の民事再生や、監視委員会による検察への告発とは別の手続です。上場廃止によって株式の取引所上場は終了しましたが、その決定だけで告発に関する刑事手続の結論が決まるわけではありません。

民事再生の申立てと、その後の会社の状況
オルツは2025年7月30日、東京地方裁判所に民事再生手続開始を申し立て、同日受理されたと発表しました。会社資料では、裁判所が弁済禁止などの保全処分と監督命令を出し、監督委員を選任したと説明されています。申立て資料に記載された負債総額は、2025年6月30日現在で約24億円です。
民事再生は、裁判所の監督下で再生計画を進める手続です。申立て時、会社は事業を継続しながらスポンサーを探索し、事業承継を通じた再建を目指す方針を示していました。その後、2025年12月24日に再生計画案が債権者集会で可決され、裁判所の認可を受けたと会社が発表。2026年2月2日には認可決定の確定を公告したとIRページに掲載しました。

会社の説明によると、認可された計画には、清算に向けた準備として裁判所の許可を得て100％減資を行う内容が含まれます。会社IRページは2026年3月31日付で100％減資等の実施に関する公告を掲載しています。これら後続の公表を踏まえると、2025年7月の申立て時に示されたスポンサー探索の方針だけを、現在も続く再建計画として扱うことはできません。
告発と裁判所の判断は別の段階
証券取引等監視委員会は2025年10月28日、虚偽有価証券届出書等提出の嫌疑で法人1社と嫌疑者4名を東京地方検察庁に告発したと発表しました。これは監視委員会が嫌疑に基づいて検察に告発したという発表です。告発されたこと自体は、刑事裁判の有罪判決や確定した裁判結果を示すものではありません。
一方、上場廃止は東証の上場制度に基づく措置、民事再生は会社の債務や事業の再生に関する裁判所の手続です。それぞれ判断主体と目的が異なります。オルツの一連の経過を読む際は、JPXが説明した第三者委員会報告書の内容、監視委員会の告発、東証の上場廃止決定、民事再生の認可とを分けて捉える必要があります。
