パナソニックグループは解散していません。パナソニック ホールディングスは2025年2月5日、報道内容を訂正し、再編の対象は傘下の「パナソニック株式会社」であり、「パナソニックグループを解散することはありません」と説明しました。その後、2026年4月1日にグループの新体制が発足しています。旧パナソニック株式会社の事業移管・吸収合併と、同じ名称を引き継いだ新会社の発足を分けて見ることがポイントです。
「パナソニックグループ」と「パナソニック株式会社」は別のもの
混乱の原因は、「パナソニックグループ」というグループ全体の呼称と、グループ傘下にあった個別の会社「パナソニック株式会社」が、似た名前で使われていることです。

2025年2月5日の発表で、パナソニック ホールディングスは、前日に説明したグループ経営改革が対象としていたのは傘下のパナソニック株式会社の再編だと明確にしました。同社は「パナソニックグループを解散することはありません」と述べ、パナソニックブランドをグループの重要な資産と位置付けました。

- 2025年11月27日：同社は、旧パナソニック株式会社の主な事業を3つの事業会社に移したうえで、2026年4月1日付で同社を吸収合併する方針を発表しました。
- 2026年4月1日：新体制が発足。旧パナソニック株式会社のくらし事業などを引き継いだ新パナソニック株式会社のほか、パナソニック エレクトリックワークス株式会社、パナソニック HVAC & CC株式会社がそれぞれ事業を開始しました。

旧パナソニック株式会社は吸収合併
旧パナソニック株式会社は、主な事業を移管した後、2026年4月1日付で親会社のパナソニック ホールディングスに吸収合併されました。これは個別の法人に関する変更であり、グループ全体の解散を意味しません。

同じ名称の新パナソニック株式会社が発足
新会社は、パナソニック エンターテインメント＆コミュニケーションを改称して発足しました。旧パナソニック株式会社のくらしアプライアンス社と中国・北東アジア社の主要事業も、吸収分割によって新会社に移っています。新会社の事業領域には、主要家電、小型家電、AVC製品、関連機器、ソリューション、電動自転車などが含まれます。
同じ「パナソニック株式会社」という名称でも、旧会社と2026年4月に発足した会社は、同一の法人がそのまま存続したという関係ではありません。旧会社の吸収合併と、新会社の発足・改称は別の手続きです。

ほかの事業会社も新体制で始動
パナソニック エレクトリックワークス株式会社は電気設備などを、パナソニック HVAC & CC株式会社は空調・空質やコールドチェーン事業などを担う会社として、同じく2026年4月1日に発足しました。したがって、再編によって事業の所属や会社の構成は変わりましたが、それをグループ解散と呼ぶのは正確ではありません。
