Is OpenPayd going public?
OpenPayd and Titan Acquisition Corp. announced a definitive business combination agreement on June 1, 2026. The proposed transaction would make OpenPayd Global Holdings Limited the listed parent on Nasdaq, with OpenPayd as its operating subsidiary and OP as the intended ticker. This is a SPAC business combination, not a conventional IPO. The SEC-filed transaction materials and the June announcement describe a proposal subject to approvals and other conditions.
The SEC filing dated September 2, 2026 continued to describe a Q4 2026 expected close. That was a forecast, not confirmation of completion. The available status information here does not establish whether a later filing, shareholder vote, or closing changed the proposal by October 3, 2026.
How the proposed transaction works
Under the announced structure, Titan would merge into OpenPayd Global Holdings Limited, the proposed listed parent, which would acquire OpenPayd Holdings Limited. Several financial figures in the announcements refer to different parts of this transaction and should not be treated as interchangeable.

What OpenPayd says it will use the capital for
OpenPayd said the transaction would strengthen its balance sheet and accelerate expansion of its financial infrastructure. It named the United States as an immediate geographic focus and cited investment in technology, people, and regulatory compliance, including licences. The June announcement does not specifically say that transaction proceeds are allocated to acquisitions, despite the acquisition language in some descriptions of the proposal. OpenPayd’s announcement
OpenPayd describes its platform as infrastructure for programmable money movement. Through one API, it says businesses can access global accounts, foreign exchange, domestic and cross-border payments, open-banking capabilities, and stablecoin on- and off-ramp infrastructure. What the 43-state licence expansion means
A September 2, 2026 SEC-filed update said OpenPayd was integrating MSB USA Inc., a U.S.-based state-licensed money-services business. OpenPayd said the integration would bring 43 state Money Transmitter Licences under its umbrella following regulatory approvals. The filing presents this as a step in U.S. expansion, not proof that every state is covered or that every OpenPayd service can be offered throughout those states. September 2 SEC filing
CEO Iana Dimitrova described the move as responding to increasingly global clients and demand for compliant U.S. payment infrastructure. What the company’s reported figures do—and do not—show
OpenPayd reported more than $85 million in annualized recurring revenue as of March 2026 and more than $240 billion in annualized transaction volume. These are company-reported metrics, not independently verified figures in the cited materials. Annualized transaction volume measures money moved on an annualized basis; it is not revenue.
