That is approximately 8.6% of the 31,347,063 Blue Bird common shares outstanding on September 28, 2026. The filing creates a route for selling stockholder Groupe Autobus Girardin Ltée (GAG) to resell eligible shares; it does not establish that GAG has exchanged or sold any shares, or that it intends to do so.
What Blue Bird’s filing does—and does not—mean
Blue Bird filed a prospectus supplement on October 1, 2026, covering resales from time to time of up to 2,702,180 shares of its common stock. The shares may be issued following exchange, retraction or redemption of MB Exchangeco Inc. non-voting exchangeable shares, or in connection with specified liquidation, dissolution, winding-up or insolvency events. This is a selling-stockholder resale registration, not a new sale of shares by Blue Bird to raise capital for itself. The prospectus makes a resale route available, but registration alone does not mean the shares will be offered or sold. The timing, method and price of any disposition are up to GAG, subject to contractual transfer restrictions. Blue Bird says it will receive no proceeds from any such sales.
Where the shares came from
Blue Bird completed its acquisition of the remaining 50% of Micro Bird on April 1, 2026. As part of the consideration, it issued 2,702,180 exchangeable shares through its indirect wholly owned Canadian subsidiary MB Exchangeco Inc. Those shares are exchangeable one-for-one for Blue Bird common shares. GAG is the selling stockholder named in the prospectus.

The prospectus reports an aggregate purchase price of $205,899,042, subject to customary working-capital and net-debt adjustments. After closing adjustments, approximately $63,021,286 was paid in cash; approximately $142,877,755 was attributed to equity consideration, based on an adjusted share value as of April 1, 2026. How large is the potential resale?
Blue Bird reported 31,347,063 common shares outstanding as of September 28, 2026. Against that dated denominator, the maximum registered amount of 2,702,180 shares is approximately 8.6%. This percentage is not a live measure of the public float and does not indicate how many shares will actually reach the market.

When transfer restrictions release
The prospectus says transfers were prohibited during the six months after the April 1, 2026 acquisition closing, through October 1, 2026. After that initial period, the restrictions release in stages:

The approximate share counts above are calculated from the prospectus’s percentages and maximum registered amount, so rounding means they may not sum exactly to 2,702,180. A scheduled release makes a tranche eligible under the stated lock-up schedule; it does not prove that GAG will sell it on that date.

What it could mean for BLBD shareholders
Blue Bird identifies a risk that sales of substantial amounts of common stock—or the market’s perception that such sales may occur—could adversely affect the share price. The filing does not quantify any potential effect, forecast a price move or establish that selling has taken place. The registered maximum is potential supply, not realized selling volume.
For investors assessing the filing, keep three distinctions clear: registration versus an actual exchange or sale; shares outstanding on September 28 versus any later share count; and contractual eligibility versus GAG’s decision to sell. Later company filings are needed to establish any subsequent changes or reported activity.
