The filing permits resale under the applicable registration statement and offering documents; it does not say that holders have sold the securities or exercised the warrants.
What UWM registered for resale
UWM’s October 1, 2026 Form 8-K says the company registered securities for resale by selling stockholders pursuant to its Form S-3ASR registration statement and a related prospectus supplement. The quantities and initial warrant exercise prices stated in the filing are:

UWM’s August 5, 2026 Form 8-K says each warrant entitles its holder to purchase one Class A common share, subject to the applicable agreement and adjustments. The October filing lists both warrant classes and the shares underlying them; the underlying shares are not evidence that those warrants have been exercised.
What “registered for resale” means
A resale registration covers securities already held by selling stockholders and provides a registration framework under which those holders may resell them, subject to the registration statement, prospectus and applicable securities-law requirements. It is distinct from a company’s initial issuance of securities to raise capital.

UWM’s October 1 Form 8-K describes a registration, not a completed transaction in the market. It does not report that a holder sold any of the covered securities, that a warrant was exercised, or that UWM received new proceeds from a resale. The broader Form S-3ASR permits UWM to offer several types of securities from time to time; the October filing identifies the particular securities covered by this resale event. How the registration relates to the August financing
The registered securities trace to UWM’s August 5, 2026 financing, entered into with funds or investment vehicles affiliated with Oaktree Capital Management, L.P., SFS Holding Corp., Mathew Ishbia and SFS Group Capital, LLC. UWM reported $1.65 billion in gross proceeds from that financing. The financing included 1.5 million Series A-1 preferred shares for Oaktree-affiliated purchasers, 150,000 Series A-2 preferred shares for an Ishbia purchaser, and warrants covering up to 330 million Class A common shares in total.

The October resale registration lists the Series A-1 shares, the two warrant classes and their underlying common shares. It does not list the Series A-2 preferred shares. UWM’s August filing also described registration rights under an investor-rights agreement, including a requirement to file a registration statement within 45 days for resale of the warrants and common shares issuable upon exercise, alongside demand and piggyback rights for certain securities under stated conditions. The August 5, 2026 Form 8-K sets out the transaction terms.
Warrant terms and limits on what can be inferred
The $6.00 and $2.00 figures are the initial exercise prices stated for the Class A and Class B warrants, respectively; they are not stock-price targets or proof that exercising either warrant would be economically attractive. The August filing describes cash exercise, anti-dilution adjustments, beneficial-ownership limits with exceptions, and transfer restrictions. It also describes a stockholder-approval condition on exercise of warrants issued to the Ishbia purchaser. These are features of the original warrant terms, and should not be assumed to apply identically to every registered warrant without reviewing the relevant agreement.

Keep the separate rights offering distinct
UWM’s August financing materials also describe a planned rights offering of up to 200 million new Class A common shares, with a minimum gross-proceeds target of $400 million and a backstop structure. That is a separate offering to stockholders, not a resale by existing holders of the securities covered by the October 1 registration. The rights-offering prospectus discusses potential dilution, price pressure and the possibility that its subscription price could exceed the prevailing market price; those are disclosed risks of that distinct offering, not demonstrated effects of the resale registration.
