Teads Holding Co. elected Stuart Kovensky to its board on September 29, 2026, expanding the board from 10 directors to 11. Kovensky is a Class I director whose term runs through the 2028 Annual Meeting of Stockholders; he also joins the board’s Financing Committee. Teads linked the appointment to its ongoing capital-structure initiatives.
What Teads announced
The board approved increasing its size from 10 to 11 and elected Kovensky to the newly added seat on September 29, 2026. Teads reported the action in a Form 8-K signed by CEO David Kostman on October 1, 2026. The filing identifies Kovensky as a Class I director and assigns him to the Financing Committee.
His term expires at Teads’ 2028 Annual Meeting of Stockholders. The filing does not give a specific calendar date for that meeting.
Why Teads says it appointed him
Teads framed the appointment around its ongoing efforts to optimize its capital structure, enhance financial flexibility and position its balance sheet for long-term strategic growth. The company said Kovensky’s expertise in capital markets, lender engagement and strategic financing would be valuable as it pursues those objectives. This is Teads’ stated rationale, not evidence that the appointment will produce a particular financial outcome.
