Everest Group completed the sale of its Canadian Retail Insurance operations to The Wawanesa Mutual Insurance Company on October 1, 2026. The deal transferred the shares of Everest Insurance Company of Canada for agreed consideration of C$410 million, subject to adjustment. Everest says the divestiture supports its plan to focus on reinsurance and global wholesale and specialty insurance; the disclosed terms do not establish the sale’s eventual effects on earnings, customers, staff or capital.
What Everest sold and when the deal closed
Everest announced completion on October 1, 2026, after receiving required regulatory approvals and satisfying customary closing conditions. The buyer was The Wawanesa Mutual Insurance Company, commonly called Wawanesa. The transaction covered all outstanding shares of Everest Insurance Company of Canada (Everest Canada), which represented Everest’s Canadian Commercial Retail Insurance operations. Everest’s completion announcement confirms the closing; its SEC-filed transaction disclosure describes the shares and terms.
What the disclosed deal terms include
Everest’s SEC filing states that the agreed consideration for all outstanding shares was C$410 million, subject to adjustment. Everest’s October 1 completion announcement does not give a final adjusted amount, so C$410 million should not be treated as a confirmed final payment.
Pre-close liabilities and transition support
The filing also describes a loss portfolio transfer reinsurance agreement: Everest Reinsurance Company’s Canadian branch would reinsure certain liabilities relating to insurance business written before closing. A transition services agreement was also part of the transaction. The available disclosure does not specify here the full scope or duration of those services.

Why Everest says it made the sale
Everest has described the Canadian divestiture as another step in its plan to exit Commercial Retail Insurance and concentrate capital and capabilities on Reinsurance and Global Wholesale and Specialty Insurance. In the completion announcement, CEO Jim Williamson said the deal “further sharpens Everest’s portfolio” and positions the company to concentrate on those businesses. That statement conveys management’s strategic intention; it does not demonstrate that the sale has already improved results.
Wawanesa said the acquisition would add specialty commercial insurance products, talent and expertise to its business. That is the buyer’s stated view, not a quantified forecast of the transaction’s impact.

How this differs from Everest’s 2025 sale to AIG
The Canadian transaction is distinct from Everest’s earlier sale to AIG. The two deals transferred different assets and closed at different times:

The AIG transaction was a sale of renewal rights, not the sale of the Canadian insurer’s shares. Its SEC disclosure records the separate transaction and its terms.

What the completion announcement does not establish
The cited transaction disclosures confirm closing and describe the stated consideration and related agreements. They do not establish post-close effects on Everest’s earnings, premiums, customers, employees or capital position. Those outcomes should not be inferred from the sale announcement or from management’s strategic rationale.
