Grindr has agreed to acquire PurposeMed, the parent company of Freddie, an online PrEP and HIV-prevention care provider, for $250 million in base consideration. The deal is still pending: Grindr said it expects to close in Q4 2026, subject to closing conditions. The planned combination would bring Freddie’s telehealth services into Grindr Health, but the announced integration is not yet a live feature.
What Grindr has agreed to buy
On September 30, 2026, Grindr Inc. announced an agreement to acquire PurposeMed Inc., the company behind Freddie. Grindr describes Freddie as a telehealth provider focused on PrEP and HIV-prevention care. The SEC filing says the acquisition also includes PurposeMed’s partnerships with affiliated clinical networks. The companies’ boards approved the agreement; completion remains subject to closing conditions.
Freddie was founded in Canada in 2020. Grindr’s announcement says the service had helped more than 55,000 patients in Canada and the United States and served patients in all 50 U.S. states at the time of the announcement. How the $250 million purchase price works
The announced $250 million is the base consideration, not the maximum possible payment. Under the agreement, Grindr would pay $190 million in cash and $60 million in Grindr common stock. An SEC filing specifies 3,851,684 shares for the stock portion and values them at $15.58 per share. Grindr said it expected Freddie to generate more than $80 million in 2026 revenue and more than $10 million in 2026 adjusted EBITDA. Those are management projections, not reported actual results. What the planned Grindr Health experience could include
Grindr’s announcement describes a proposed pathway for connecting users with Freddie’s care. It is a plan, not confirmation that each feature is already available inside Grindr. The company says participation would be voluntary for both Grindr users and Freddie patients.

- The service could arrange testing and, when appropriate, a prescription.

Why Grindr is making the move
The strategic rationale is to combine Grindr’s audience and existing relationship with users with Freddie’s telehealth infrastructure and clinical-network partnerships. Grindr also relayed Freddie’s estimates that its services prevent approximately 385 new HIV transmissions each year and could produce $270 million to $580 million in future annual treatment-cost savings across Canadian and U.S. healthcare systems. If the transaction closes and Grindr delivers the announced integration, users may have another route to learn about and access telehealth-based PrEP care, including clinician consultation, testing arrangements, prescriptions when appropriate, medication delivery, and follow-up support. The announcement does not establish when the in-app experience will launch, whether every planned feature will be available at launch, or how access and coverage will work for an individual patient. It also does not make prescribed PrEP an ordinary retail purchase: the described service involves clinicians and care arrangements.

For now, the key distinction is between the agreed acquisition and the future product plan. Grindr announced an expected Q4 2026 closing, but that timing is an expectation conditional on closing requirements, not a completed transaction. Grindr’s acquisition announcement
