ITG, Inc. (Nasdaq: ITG) completed its IPO on July 2, 2026, selling 22,439,025 Class A shares, including the exercised overallotment, at $16 per share. Its Form 10-Q reports $338.4 million in proceeds after underwriting discounts and commissions. The money was used to purchase interests in ITG Parent LLC; the operating parent primarily used the proceeds to repay revolving-credit and term-loan borrowings. Neither that article nor the company filings reviewed establish a definitive reason for the share move. That makes the mismatch between reported results and share price a question, not proof that investors overreacted.
How strong were ITG’s Q2 2026 results?
For the quarter ended June 30, 2026, revenue rose substantially year over year, while earnings measures moved in different directions. The figures below are company-reported comparisons with Q2 2025; adjusted EBITDA, adjusted net income, and free cash flow are non-GAAP measures.

The top-line growth is real, but it does not tell the whole earnings story: GAAP net income fell considerably, and adjusted EBITDA margin contracted even as adjusted EBITDA dollars increased. Growth across both service lines
Engineering & Maintenance generated $239.4 million in Q2 revenue, up 45.6% year over year. Infrastructure Deployment contributed $165.2 million, up 29.1%. ITG says revenue growth reflected acquisitions, expanded activity with existing and new customers, work under recently awarded contracts, and favorable demand trends; those are management’s explanations, not an independently measured breakdown of each driver. Year-to-date results add context
For the six months through June 30, revenue was $738.6 million, up 42.6% from $517.8 million a year earlier. GAAP results shifted from $13.2 million of net income to an $11.4 million loss. Over the same period, adjusted EBITDA was $88.4 million, up 25.4%, and free cash flow was $72.4 million, up 73.1%. What does ITG’s backlog say—and what does it not say?
ITG reported next-twelve-month (NTM) backlog of $1.517 billion as of June 30, 2026, compared with $1.259 billion a year earlier and $1.430 billion on March 31, 2026. The company defines NTM backlog as estimated revenue it expects to earn over the next 12 months from services under master service agreements and other contractual arrangements. Backlog therefore offers a view of expected work, not a guarantee that the full amount will convert to revenue on schedule. ITG cautions that project timing can change and actual results may differ materially from the estimate. The figure is useful operating context, but it cannot by itself establish future revenue or explain the share price.

ITG CEO Andy Parrott described the quarter as reflecting “continued momentum across the business and strong execution of our growth strategy” in the company’s August 12, 2026 release. That is management’s assessment. It should be read alongside the lower GAAP net income and adjusted EBITDA margin, rather than as an independent explanation of investor behavior.
ITG provides digital-infrastructure services spanning planning, design, construction, operation, maintenance, and expansion across broadband, wireless, data-center, utility, and civil infrastructure. It describes two service lines—Engineering & Maintenance and Infrastructure Deployment—and says it operates in 49 states.
