Instagram is owned by Meta Platforms, Inc., the parent company formerly known as Facebook, Inc. Facebook announced its agreement to acquire Instagram on April 9, 2012, for approximately $1 billion in cash and Facebook stock. Mark Zuckerberg controls Meta’s voting power, but Instagram is owned by the corporation—not by Zuckerberg as a personal asset.

Meta’s current Form 10-K lists Instagram among its Family of Apps products and reports it within the Family of Apps business segment. Meta Platforms is the corporate parent; Instagram is not a separately traded public company.

How Instagram became part of Meta
Instagram was created by Kevin Systrom and Mike Krieger. On April 9, 2012, Facebook, Inc. announced an agreement to acquire the photo-sharing company for approximately $1 billion in a combination of cash and Facebook shares. The transaction was completed later that year.

The $1 billion figure was the announced transaction value, not a guaranteed current valuation or a verified personal payout to either founder. Because stock formed part of the consideration, its eventual economic value could vary with Facebook’s share price.
Facebook said Instagram would join its company while retaining its own brand, product experience and community identity. That operational independence did not mean separate legal ownership.
Facebook versus Meta: what changed?
“Facebook” can refer to the social-networking app or, historically, the corporation that acquired Instagram. In 2021, Facebook, Inc. changed its corporate name to Meta Platforms, Inc. Facebook remains one of Meta’s products, alongside Instagram, Messenger, WhatsApp and other services.

Saying “Facebook owns Instagram” is understandable historical shorthand, but it can incorrectly suggest that the Facebook app is a separate parent company.
Does Mark Zuckerberg own Instagram?
That depends on what “own” means:

Zuckerberg is Meta’s founder, chairman and chief executive officer, and his voting control gives him effective control over the parent company. That is different from personally holding Instagram as property. The company owns the service; Zuckerberg controls the company’s voting decisions.
Is Instagram a separate company?
Instagram is a distinct brand and app, but it is not a separately listed public corporation. Meta groups Instagram with Facebook, Messenger and other products in its Family of Apps reporting segment. Meta also integrates advertising, technology infrastructure and business tools across its services.
Therefore, “Instagram operates independently” should be read as a statement about product or organizational identity, not ownership. It can have its own user experience and brand while remaining under Meta’s corporate governance and control.
Could Instagram be separated from Meta?
There is a legal possibility worth distinguishing from the current facts. The Federal Trade Commission’s antitrust case challenges Meta’s strategy and acquisitions involving Instagram and WhatsApp and seeks remedies that could include divestiture or reconstruction.

A lawsuit, allegation or requested remedy is not a completed ownership change. The latest filing reviewed here still identifies Instagram as part of Meta. As of August 18, 2026, Instagram remained a Meta product. A future separation would require a later court order, settlement or corporate filing confirming it.
