Devin AI is owned and operated by Cognition, the privately held artificial-intelligence company formerly often called Cognition Labs. Scott Wu is Cognition’s co-founder and chief executive, while venture firms—including Founders Fund—hold undisclosed investments in Cognition. Public information does not establish that Wu, Founders Fund, Peter Thiel, Microsoft, Google or OpenAI personally owns Devin or controls Cognition.
What Devin is—and what Cognition owns
Devin is Cognition’s autonomous software-engineering product. Cognition describes it as an AI agent that can plan work, write and modify code, run tests, use development tools and help ship software. The company markets Devin through its own service and documentation, including the Devin application and billing documentation.
The names refer to different things:
- Devin: the product and AI software-engineer brand.
- Cognition: the company that develops, sells and operates Devin.
- Cognition Labs: the earlier name commonly used for the company.
- Windsurf: a separate coding product whose business and assets Cognition acquired in 2025.
- Foundation models and cloud services: outside technologies Devin may use or run on; their providers do not thereby own Devin.
Cognition’s official site identifies the company as the operator of Devin. That is the clearest public answer to “Who owns Devin?” in a product and commercial sense.
Who legally controls the business?
Cognition is a private company, not a publicly traded subsidiary with a continuously updated public share register. Its corporate entity owns or controls the product rights and sells the service, but the complete shareholder agreement and voting structure have not been published in the sources available for this article.

That means several common uses of “owner” need to be separated:

Cognition’s data-processing documentation lists operational vendors such as cloud providers. Those relationships support the service but do not make AWS, Microsoft Azure, Google Cloud or another vendor Devin’s parent company (Cognition data-processing agreement).
Did Scott Wu personally own Devin?
Scott Wu co-founded Cognition and is its CEO. Launch coverage identified him as Cognition’s founder and chief executive, and later company materials continue to present him as the company’s leader (launch coverage; Cognition funding announcement).
He may hold shares, as founders commonly do, but the public sources do not disclose Cognition’s complete cap table. A title such as CEO does not prove majority ownership or voting control. The accurate formulation is: Wu leads Cognition, and Devin is Cognition’s product—not that Devin is his personally owned project.
Who founded Cognition?
Early reporting associated the launch with Scott Wu and senior technical leader Steven Hao. Company and industry profiles also identify Walden Yan among the founding leadership (Cognition’s company history; industry profile). Founders, employees, advisers and investors have different legal and economic relationships, so membership of the early coding team is not proof of an individual ownership percentage.
Is Founders Fund—or Peter Thiel—the owner?
No. Founders Fund was an early and prominent investor in Cognition. Cognition’s investor and funding announcements also name firms such as Lux Capital, 8VC, General Catalyst, Bain Capital Ventures, Ribbit Capital, Atreides and Layer Global (Cognition about page; Series D announcement).
Peter Thiel is associated with Founders Fund, but that does not make him Devin’s owner. An investment normally gives a fund an equity interest and possibly contractual governance rights; it does not automatically make the fund the parent company or give it control. The specific percentages and rights have not been publicly disclosed.

Funding timeline: valuation is not ownership
- March 2024: Cognition publicly launched Devin as an AI software engineer (contemporary launch report).
- September 2025: Cognition announced more than $400 million raised at a reported $10.2 billion post-money valuation (announcement).
- July 14, 2025: Cognition announced an agreement to acquire Windsurf.
- May 27, 2026: Cognition announced more than $1 billion in financing at a reported $26 billion post-money valuation (Series D announcement).
A post-money valuation is the implied value of the company after an investment round. It is not revenue, cash on hand or evidence that one named investor owns a particular percentage.
Did Microsoft, Google or OpenAI buy Devin?
The reviewed evidence does not show an acquisition of Cognition or Devin by Microsoft, Google or OpenAI. Cognition has partnerships, integrations and relationships involving large technology companies, but a partnership, cloud contract, model integration or distribution arrangement is not an acquisition. For example, Cognition announced enterprise collaborations with Cognizant and Infosys (Cognizant announcement; Infosys announcement).
Do not infer ownership from the model technology Devin uses, where it is hosted, or who resells or integrates it.
Why Windsurf causes confusion
In July 2025, Google reportedly made a separate licensing and talent arrangement involving Windsurf. Cognition then announced its own acquisition of Windsurf’s remaining business. Cognition’s announcement says the transaction included Windsurf’s product, intellectual property, trademark and brand, business and customer base, and employees; it did not disclose a purchase price (official announcement; TechCrunch report; Bloomberg report).
Therefore, “Google bought Devin” is wrong. The Windsurf transaction expanded Cognition’s product portfolio; it did not transfer Devin to Google. By 2026, Cognition described Windsurf-related capabilities—including Devin Desktop and Devin in Windsurf—as part of a broader ecosystem (Cognition product update).

Is Devin an independent company?
Not in the ordinary consumer-facing sense. Devin has its own brand, web app and documentation, but it is a product and commercial offering of Cognition rather than a separately identified parent company. Cognition is the entity customers contract with and the company behind the software.

Check the official self-serve pricing page and signup page immediately before purchasing. Plan names, quotas, model access, integrations and credit rules can change; older articles may mention retired Core or Team plans. A low subscription price is not necessarily the total cost for heavy usage.

What the ownership answer means for buyers
If you need an autonomous, hosted engineering agent, Devin is a Cognition product. If you prefer an editor-centered assistant, consider GitHub Copilot or Cursor. Terminal-focused users may prefer Claude Code; organizations already committed to OpenAI or Google ecosystems can evaluate Codex or Jules. These alternatives do not change who owns Devin.
