President Donald Trump signed Executive Order 14352 on September 25, 2025, recognizing a proposed U.S.-controlled TikTok restructuring as a “qualified divestiture” and directing the Justice Department not to enforce the federal TikTok law for 120 days. The order created a path for TikTok to keep operating while the proposal was implemented; it was not, by itself, proof that a sale had closed.
The short version
- What Trump signed: Executive Order 14352, titled “Saving TikTok While Protecting National Security.”
- What it accepted: A proposed framework for a U.S.-based joint venture, majority-owned and controlled by U.S. persons, with ByteDance retaining less than 20%.
- What it said about security: The proposed arrangement put the U.S. operation, recommendation algorithm, source code, moderation decisions, and sensitive U.S. user data under U.S.-side controls, with Oracle serving as a security provider.
- What happened to enforcement: The order directed the attorney general not to enforce the relevant law for 120 days while the transaction was completed.
- Was TikTok definitively sold? The order facilitated and recognized a proposed deal framework. It did not itself establish that the commercial transaction had closed.
Why TikTok faced a U.S. ban
The dispute stemmed from the Protecting Americans from Foreign Adversary Controlled Applications Act, enacted as Division H of Public Law 118-50. The law restricted the distribution, maintenance, updating, and hosting of covered applications controlled by a foreign adversary. The covered prohibitions took effect on January 19, 2025, according to the September order.
The statutory concern was broader than whether TikTok had U.S. employees or millions of American users. It focused on ownership and control, operational relationships, data sharing, and cooperation over recommendation algorithms. A qualifying divestiture had to sever foreign-adversary control and prohibited operational ties. In this context, “qualified divestiture” is a legal standard—not simply a synonym for selling an app to an American company.

What the proposed U.S. structure looked like
The administration described a new U.S.-based joint venture that would operate TikTok’s U.S. application. Under the White House fact sheet, U.S. investors would own and control a majority, while ByteDance and its affiliates would retain less than 20%. The proposed board would have seven members, with ByteDance selecting one director; ByteDance would not sit on the security committee.
The fact sheet also described Oracle as the security provider, monitoring U.S. operations and hosting sensitive U.S. user data in a trusted U.S.-based cloud environment. These were elements of the proposed framework, not evidence that every implementation detail had already been completed. The administration’s outline is in the White House fact sheet.
Contemporary reports identified Oracle, Silver Lake, and Abu Dhabi-based MGX among the proposed investors. Because the complete ownership table and final transaction terms were not established in the published order, reported stakes and governance rights should not be treated as settled closing terms. Likewise, Vice President JD Vance cited an approximate $14 billion valuation; that was a deal-related estimate, not necessarily the final purchase price, equity value, or independently audited valuation. The algorithm, code, and data were central—not side issues
The administration said operation of the recommendation algorithm and source code would move under the new joint venture’s control. It also said the new entity would control content-moderation decisions, retrain recommendation models using U.S. user data, and subject software updates, algorithms, and data flows to monitoring by trusted U.S. security partners.
That description should not be simplified to “the algorithm was sold.” The order set out a control and governance framework; it did not, on its own, establish that the entire global TikTok algorithm had been transferred or explain every technical and contractual connection that might remain. Important implementation questions include whether the U.S. recommendation system would be a distinct model, how it would be trained and updated, what technical assistance ByteDance could provide, and how changes would affect the content users see.
The same distinction applies to data security. Storing data in the United States addresses where it is held, but does not alone determine who can access it, who controls the company, or who can change code and systems. A full assessment would also depend on administrator permissions, encryption-key control, overseas employee and vendor access, backups, telemetry, customer support, source-code repositories, and software-update signing. The order presented security as a package of ownership, governance, technical control, data handling, and monitoring—not just a U.S. cloud location.

What the executive order did legally
The order determined that the proposed framework qualified as a “qualified divestiture” for purposes of the statute, relying on a framework agreement and contemplating later implementation agreements. It then directed the attorney general to refrain from enforcing the act for 120 days, including by not imposing penalties on covered providers for conduct during the specified period. The order also addressed protection for providers in connection with specified past conduct.
That was more than a routine deadline extension: it was a direction to pause federal enforcement while the proposed arrangement was carried out. But the law remained the legal backdrop. The order did not repeal the statute or make the proposed sale complete merely by being signed. Its legal effect and the ultimate status of the transaction depend on the order’s terms and subsequent implementation, not on headlines that describe TikTok as simply “sold.”
Which apps were included?
The order’s framework was not limited to the TikTok app. It also referred to Lemon8, CapCut, other applications or websites operated by the new joint venture, and associated or affiliated websites. That matters because the law and proposed restructuring concerned covered applications and related operations, not just one icon on a phone.

What was said about China, and what remains uncertain?
At the signing event, Trump said he had spoken with Chinese President Xi Jinping and that Xi had given the arrangement a go-ahead. That is Trump’s account; the cited primary materials do not independently establish that China formally approved every final transaction term. The Senate Democratic Caucus transcript records the remarks.
The order and administration fact sheet describe the proposed framework, but do not resolve every question a completed transaction would answer: final ownership and board rights, contractual ties with ByteDance, how algorithm licensing or technical relationships would work, the detailed operation and auditing of data safeguards, and whether all implementation steps were completed. Ownership percentage alone would not answer who can approve updates, access source code, alter recommendation models, or authorize data flows.
What users, creators, and advertisers should expect
The immediate purpose was continuity: to let TikTok continue operating in the United States during the implementation period rather than go dark while the proposal proceeded. The administration said the service had about 170 million U.S. users; that is its figure, not an independently verified current count. The order did not announce a new app, account migration, login system, or immediate redesign of privacy settings, creator monetization, advertising, or moderation.

For creators and small businesses, continuity meant the platform remained available during the pause, but not a guarantee that future policies or product systems would never change. If governance and technical systems were reworked, potential areas of change could include recommendations, moderation, advertising controls, monetization, and privacy disclosures. Advertisers and agencies would have reason to watch for concrete information about data governance, brand-safety processes, and operational responsibility rather than infer outcomes from the ownership headline alone.
The order therefore offered a legal route for the service to remain available while a proposed restructuring moved forward. Whether that route settled the national-security and operational questions depended on implementation—not just the announcement.
