Ability’s SEC case was about alleged deception of investors in a 2015 merger—not a prosecution for hacking phones. The Israeli company sold interception and surveillance technology, which shaped the allegations and drew separate regulatory scrutiny. But the SEC’s civil action focused on what Ability and its executives allegedly told investors about revenue, customer orders and a product called ULIN. Israeli investigations into possible export-control violations and other alleged offenses were a distinct legal track.
What Ability did
Ability Computer & Software Industries Ltd. was based in Tel Aviv and led by founders Anatoly Hurgin, its CEO, and Alexander Aurovsky, its CTO. It sold communications-intelligence products, including systems marketed for interception and geolocation, to government and law-enforcement customers. Ability also sold through resellers and agents, a structure that became relevant to the SEC’s questions about its products and revenue. The federal court described the company as selling “cell phone and satellite interception products.” (2022 federal court opinion)
News reports sometimes described Ability as a spyware company or said it sold phone-hacking tools. Those terms need care. “Phone hacking” can mean compromising software on a handset, intercepting communications through a network, locating a device, or exploiting telecom signaling systems. Those are not interchangeable techniques. Ability’s public profile centered on commercial surveillance and interception technology, but the cited public case materials do not establish that it hacked a named person’s phone or that a particular product was deployed against a particular target. Product claims and reports about capabilities should not be mistaken for proof of specific use. (CyberScoop; Forbes)

In 2015, Ability merged with Cambridge Capital Acquisition Corporation, a publicly traded U.S. special-purpose acquisition company, or SPAC. Cambridge shareholders approved the transaction on December 22, 2015, creating the public company Ability Inc. Investors were asked to assess the business in part through merger materials describing Ability’s prospects, orders and expected revenues.

The SEC’s investigation, reported to be underway by February 2017, examined the merger disclosures, Ability’s business information and a 2016 financial restatement. In 2018 Ability disclosed that SEC staff was considering enforcement action. A Wells notice or similar notice is a procedural warning that staff may recommend an enforcement case; it is not a finding that a recipient violated the law. (CTech, 2018)
In June 2019, the SEC filed a civil complaint alleging securities-fraud and proxy-solicitation violations tied to the merger. Its claims included alleged misrepresentations about the size and firmness of the order backlog, anticipated business with Mexico’s federal police, revenue projections, and whether Ability owned and had developed ULIN. The SEC invoked antifraud and proxy provisions of federal securities law; the case was about investor disclosures, not a criminal charge of phone hacking. Mexico orders: disputed backlog, not a settled finding
A central dispute concerned orders associated with Mexico’s federal police. The SEC alleged that investors were given an exaggerated impression of a substantial backlog of signed purchase orders, including orders that did not exist in the form represented. Ability’s revenue after the merger fell far short of the projections in the merger materials. The court record says the company recognized about $13.6 million in revenue from the Mexican federal police for the end of 2015 and all of 2016.

They said Ability had a mix of written and verbal orders, and argued that anticipated sales failed later because of changes to Mexico’s cellular network and the reseller’s failure to pay. They also pointed to evidence that the reseller acknowledged owing Ability several million dollars. Those arguments do not resolve whether the original statements were accurate when made; conversely, a later failure to collect or deliver does not by itself prove the earlier projections were fraudulent.

In its September 2022 summary-judgment opinion, the court found material factual disputes and denied summary judgment to both the SEC and the individual defendants. It did not decide that the Mexico allegations were proven or that the defendants were exonerated. (court opinion)
Why ULIN mattered
ULIN—described in reporting as “Ultimate Interception”—was an interception product highlighted during the merger roadshow. The court record says Hurgin described it as a “game changing” product and represented that Ability had developed and owned it. The SEC alleged that this presentation was misleading because Ability did not own and develop ULIN in-house as suggested.

The court record describes Ability as a reseller of the technology, whose owner was Telcostar. Under the reseller agreement, Ability had to share 50% of ULIN revenue with Telcostar. Ability publicly disclosed that arrangement about five months after the merger. The record also says ULIN remained in development in 2016, although Ability received some revenue from “demo ULIN.” These facts made the distinction between owning a technology, developing it, reselling it and earning revenue from demonstrations important to the disclosure dispute. They do not mean ULIN was fake, nor do they establish a particular method of phone compromise.

A separate Israeli investigation
Israeli authorities pursued a separate track involving Ability-connected employees and export controls. Contemporary reporting said employees were arrested in an investigation involving alleged fraud, smuggling and money laundering, while the Israeli Defense Ministry examined whether surveillance tools had been exported without proper authorization. Reports said an export license was revoked or suspended amid those suspicions. A gag order limited public information, including details about suspects. (CyberScoop)
These reports describe allegations and investigative steps, not proof of guilt. The export-control question was whether particular products and transactions required authorization and whether relevant entities complied—not whether every Ability product or sale was illegal. This Israeli inquiry was separate from the SEC’s civil investor-disclosure action.
What happened in court
- Ability entities: Ability entities consented to judgments without admitting or denying the SEC complaint’s allegations. The NYU enforcement database records a final judgment against Ability Inc. on December 10, 2019. A consent judgment is not the same as a court finding that every allegation was proven. - Hurgin and Aurovsky: On September 23, 2022, the federal court denied summary judgment motions by the SEC, Hurgin and Aurovsky. It identified disputes over whether the proxy materials were misleading, Hurgin’s state of mind, and Aurovsky’s duty concerning the materials’ accuracy. That ruling was not a final merits verdict. The cited records establish the entity judgment and the 2022 ruling, but do not establish the individual defendants’ ultimate disposition. It would therefore be inaccurate to say on this record that the executives were finally found liable, cleared, or convicted.

The bottom line on “phone hacking”
Ability’s surveillance business explains the attention the company attracted, but the phrase “SEC phone-hacking case” conflates different issues. The SEC alleged that investors were misled about orders, financial prospects and ULIN in connection with a public-company merger. Israeli authorities separately investigated possible export-control and other offenses. Neither an interception product’s marketing claims nor an investigation alone proves that a specific person’s phone was hacked, that every sale was unlawful, or that the individual executives were found liable.
